    Defendants.

    WHEREAS Plaintiffs Domenico De Sole and Eleanore De Sole commenced the abovecaptioned action on March 28, 2012;
    WHEREAS Plaintiffs and Defendants Knoedler Gallery, LLC d/b/a Knoedler &
    Company ("Knoedler''), 8-31 Holdings, Inc. ("8-31 "), and Michael Hammer have agreed to settle
    the above-captioned action on the terms reflected in a certain Settlement Agreement, dated
    February 9, 2016, which has been provided to the Court for in camera review.

    IT IS HEREBY STIPULATED AND AGREED, by and between Plaintiffs and


    Defendants Knoedler, 8-31, and Michael Hammer that all claims against Knoedler, 8-31, and
    Michael Hammer are voluntarily dismissed with prejudice and without costs or fees to any party.
    The parties to this Order and Joint Stipulation hereby agree, and the Court SO ORDERS,
    that the Court shall retain jurisdiction to address any disputes that may arise as to the parties'
    settlement of the claims raised in this lawsuit.
