GARDNER NEW HAMPSHIRE SECRETARY OF STATE THE UNDERSIGNED, ACTING AS INCORPORATOR OF A CORPORATION UNDER THE NEW HAMPSHIRE BUSINESS CORPORATION LAW, ADOPTS THE FOLLOWING ARTICLES OF INCORPORATION FOR SUCH CORPORATION: EIRST: The name of the corporation is DIGITAL CLONE, INC. SECOND: The Corporation shall have authority to issue One Million (1,000,000) shares of no par value stock e All of such shares shall have unlimited voting rights and shall carry the right to participate ‘ona pro rata besis in any distribution of net assets upon dissolution of the corporation. ‘The Board of Directors shall have the right to determine any further preferences, limitations and the relative rights of any class of shares before the issuance of any shares of that class, or any series within a class before the issuance of any shares of that series.
