    Tommy Hilfiger is an American sportswear brand with a worldwide consumer reputation for high quality and perceived
    value. Tommy Hilfiger has spent over 25 years marketing its products to create consumer and trade awareness and
    appreciation for the quality and value its trademark represents. As a select distributor (re-seller) desiring to offer the
    brand in this channel, you must agree to insure the integrity of the brand will be maintained in this channel, and adhere
    to standards of consistency in your sales and marketing efforts.
    As a qualified distributor (re-seller) of Tommy Hilfiger products, you agree and adopt, and faithfully adhere to the
    following re-selling policy as it pertains to all Tommy Hilfiger products.
    1. Tommy Hilfiger products will only be offered to distributors/customers that support ongoing brand development
    with investments in marketing, promotions and sales efforts consistent with insuring the brands integrity.
    2. Tommy Hilfiger products will not be sold into the following channels or companies: retail stores, discount retail
    stores, warehouse clubs, off-price retailers, Internet retailers, jobbers, or entities intending to re-sell the
    products into any of these channels.
    3. Tommy Hilfiger products will not be sold to any other promotional products distributors, ASI companies or other
    unauthorized entities intending on re-selling the products through this channel which are not on-going corporate
    customers of our authorized distributors.
    4. Distributor will not re-sell Tommy Hilfiger products directly to consumers through its own website or otherwise
    via the Internet.
    5. Distributor will not re-sell, directly or indirectly, Tommy Hilfiger products to companies involved in the alcohol or
    tobacco industries without prior written approval from Bodek and Rhodes and Idea Workshop.
    6. Distributor must provide the identity of the corporate customer, the purpose of how Tommy Hilfiger products will
    be used, and the logo application that will be applied to all products.
    7. All Tommy Hilfiger products must be embroidered with the corporate clients logo prior to delivery to the corporate end-user. Any order over 250 units must be embroidered with the customers logo by an Idea Workshop
    approved embellisher, or by Idea Workshop directly, prior to shipping. Separate decorating charges apply.
    8. Distributor acknowledges the great value of the goodwill associated with the Tommy Hilfiger trademarks and
    acknowledges that the Trademarks and all the rights therein, and the goodwill attached thereto, belong
    exclusively to Tommy Hilfiger Licensing, LLC. Distributor shall not use the Trademarks, logos, or creative
    materials for any purpose without prior approval from Idea Workshop and Tommy Hilfiger Licensing, LLC.
    9. All photography and marketing of Tommy Hilfiger products must be pre-approved by Bodek and Rhodes and
    Idea Workshop.
    Bodek and Rhodes reserves the right to refuse to sell Tommy Hilfiger products to any distributor that, in Bodek and
    Rhodes sole opinion, refuses or fails to comply with the above outlined policies. These policies are subject to change
    without notice. Distributor agrees to indemnify Bodek and Rhodes from and against any and all losses and damages,
    injuries, claims, demands and expenses, of whatever nature arising from, or related to any breach of the policies,
    obligations, representations or warranties contained in this agreement. Any violation of the policies that damages the
    Tommy Hilfiger brand and/or Bodek and Rhodes relationship with the brand will be subject to legal action.
