    Dear Sirs,
    ENTRY IN PC SCHEME
    In consideration of your having admitted me to Companys PC Scheme and provided me with
    a Tablet Samsung N-7100 Sl. No. 355056055915840 (hereinafter called the PC) with effect
    from 03 Jan 13 on the terms and conditions of the said Scheme, I undertake to the
    Company as follows:

    The PC purchased under the above scheme is in the name of the Company and will
    remain the property of the Company till the closure of the Scheme.

    When the period of 3 years expires, it is understood that I shall at that time receive from
    the company and be paid the amount of the deposit, if any, made by me, without any
    interest. The Residual Value, if any, payable by me to the Company will be on my
    account and the refund of deposit, if any, mentioned above, will be subject to the
    settlement of the Residual Value.

    I will be responsible to ensure legal compliance in respect of use of hardware and


    software on the PC.

    If I resign/retire from Companys employment or the Company terminates my services for


    any reason whatsoever, before expiry of the PC period, I shall be entitled to receive and
    be paid the amount of deposit, if any, made by me, free of interest. Residual Value of the
    PC as defined under the PC Scheme, as on the relieving date will be on my account and
    the refund of deposit, if any, will be subject to the settlement of that amount.

    If I should die before the expiry of the PC period, my heirs/legal representatives shall,
    however, be entitled to receive and be paid the amount of deposit, if any, made by me,
    free of interest. The Residual Value of the PC as on the relieving date will however, be on
    my heirs/legal representatives account and the refund of deposit, if any, will be subject to
    the settlement of that amount by my heirs/ legal representatives.

    This agreement shall bind in all respect my heirs, executors, legal representatives and
    myself. I further agree that the Company shall have the same rights against my heirs,
    executors and legal representatives, as it has against me under this agreement.

    Any difference, dispute, controversy, or claim (Dispute) which may arise between the
    parties out of or in relation to or in connection with this Agreement, or the breach,
    termination, effect, validity, interpretation or application of this Agreement or as to their
    rights, duties or liabilities hereunder, other than a Dispute for which provisions specifically
    made in this Agreement, shall be settled by the parties by mutual negotiations and
    agreement. If, for any reason, such Dispute cannot be resolved amicably by the parties,
    the same shall be settled by way of arbitration proceedings by a sole arbitrator, appointed
    by the Company. The arbitration proceedings shall be held in accordance with the
    Arbitration and Conciliation Act 1996, or any subsequent enactment or amendment
    thereto. The decision of the arbitration tribunal shall be final and binding upon the parties.
    The venue of the arbitration shall be Mumbai. The arbitration proceedings shall be in
    English language. This clause shall survive termination or expiry of this Agreement

    which has been received by me.
