    OAKLAND CITY COUNCIL

    RESOLUTION NO. ~ ~ ~ ~' ~__- C. M. S.

    A RESOLUTION APPROVING THE EXECUTION BY THE OAKLAND ALAMEDA COUNTY COLISEUM


    AUTHORITY OF A PROJECT AGREEMENT BETWEEN THE AUTHORITY AND FOSTER INTERSTATE
    MEDIA, INC. RELATING TO THE PROPOSED CONSTRUCTION AND OPERATION OF CERTAIN
    IMPROVEMENTS TO THE COLISEUM COMPLEX

    WHEREAS, pursuant to Section 4.5 of the Amended and Restated Management Agreement, dated as of July 31,

    1996, among the City of Oakland (the "City"),the County of Alameda (the "County") and the Oakland Alameda County
    Coliseum Authority (the "Authority"), the Authority is required to seek the "advice and approval" with respect to the

    negotiation of license agreements;

    WHEREAS, the Authority and Foster Interstate Media, Inc. Foster


    (" Interstate")have previously entered into an
    Exclusive Negotiating Agreement relating to a proposed license to construct and operate certain improvements to the
    Coliseum Complex;

    WHEREAS,pursuant to such ExclusiveNegotiating Agreement, Authority, City and County staff have negotiated
    and presented to this meeting a Project Agreement t(he "Agreement");

    WHEREAS, the Authority has approved the execution of the Agreement to provide enhancement to the appearance
    of the ColiseumComplex and additional revenue to the Authority, subject to appropriate approvals;

    WHEREAS, the City desires to approve the execution by the Authority of the Agreement;

    WHEREAS, a form of the Agreement has been presented to this meeting; now therefore be it

    RESOLVED: that the City Council hereby fords, determines, declares and resolves as follows:

    Section 1. All of the recitals above set forth are true and correct, and the Boazd so fords and determines.

    Section 2.The City hereby approves the execution by the Authority of the Agreement, in the form presented to this

    meeting, with such changes as the appropriate officers of the City deem necessary, upon consultation with the City Attorney.

    Se n . The appropriate officers of the City aze hereby directed to do all things and take any and all actions and
    execute and deliver any and all instruments, and other documents, upon consultation with and approval of the City Attorney,
    that they may deem necessary or advisable in order to effectuate the purposes of this resolution.

    cti n 4.This resolution shall take effect from and after its adoption and approval.
