Q.1 (a) The directors of Radiant Industries Ltd. had paid rupees five thousand out
of its capital as interest to Mr. Khan on the shares that were held by him in the
company. In some time the business was not doing well and unfortunately due to
some reasons the company went into liquidation. During the proceedings the official
liquidator asked the directors to refund the said amount of five thousand to the
Radiant Industries Ltd. Is Mr. Khan liable to pay the amount?

(b) LORD OHAGAN The original purchase of the island of Sombrero was
perfectly legitimate, and it was not less so because the object of the purchasers was
to sell it again, and to sell it by forming a company which might afford them a profit
on the transaction. The law permitted them to take that course and provided the
machinery by which the transfer of their interests might be equitably and beneficially
effected for themselves and those with whom they meant to deal. But the privilege
given to them for promoting such a company for such an object involved obligations
of a very serious kind.. The power to nominate a directorate is manifestly capable
of great abuse, with very evil consequences to multitudes of people who have little
capacity to guard themselves. It should be watched with jealousy, and restrained from
employment in such a way as to mislead the ignorant, the unwise, or the unwary. In
all such cases the directorate nominated by the promoters should stand between
them and the public,.. If they have not those qualities, they are unworthy of trust;
they are the betrayers and not the guardians of the company they govern, and their

Q.2 (a) Renolyds Super Ltd (R) and Link Excel Ltd (L) were producing pens and
other related stationeries for a considerable period of time. They had their
manufacturing units established in the proximity. The promoters of these two
companies were childhood friends. R subsequently entered into a contract with L to
supply electricity from their power generation plant. However after the supplies were
made for three months, it was discovered that this was beyond the scope the MOA.
The respective shareholders of the R ratified the contract by an ex-post facto general
body resolution. R refuses to make payment. Can Reynolds Super Ltd be compelled to

(b) Mr. Puru, a financial analyst and also an expert, on the request and on the
specific instructions given on the 6th of July 2010 by the promoters of Parx Ltd., had
prepared the MOA and the AOA. On the 7 th of August 2010 the company was formed
and the said promoters became the directors of the company. Thereafter against the
services rendered by him in the past, Mr. Puru claimed his costs and charges from
the company. The company refuses to pay. Decide the case and establish the point of
law with the help of provisions whether the company can be exempted from the said

Q.3 (a) The memorandum of association of a company was formed to improve and
encourage promotion, production of jute and its end products and therein it
contained a provision that no remuneration should be paid to the members of the
governing body of the company. But thereafter the concerned company subsequently
passed a special resolution providing for equitable remuneration to such members for
their respective services that were rendered by them. The shareholders objected to it.
With respect to the above mentioned facts, can the alteration be confirmed?
