AND WHEREAS the parties here to are desirous of recording the terms and condition of
their MEMORANDUM OF UNDERSTANDING in writing.
NOW THIS MEMORANDUM OF UNDERSTANDING WITNESSTH AS UNDER:-
The parties hereto record that this Memorandum of Understanding reflects the broad terms of their
Memorandum of Understanding and they agree to execute and signed a detailed Authority Letter and
such further documents in writing as may be required from to time to give effect to the terms & condi-
tions of this Memorandum of Understanding in the best possible way.
INTRODUCTION-;
This MEMORANDUM OF UNDERSTANDING has been made for the process of investment strate-
gy in share market of second party.
Second party has been agreed to pay remuneration / fees to first part as mutually agreed in between
them. First party agrees to help second party in the suggesting investment strategy
SCOPE OF WORK
1. Second party has been appointing first party for the suggesting investments strategy and first
party as committed to help the second party for the service & suggestion are given in Annex I.
2. First party should complete their work within time as committed from the date of signing this
Memorandum of Understanding and the period will extended only if both parties will be agreed.
3. Second party has agreed to pay 12000/- annual fees from the time of signing the Memorandum
of Understanding by both parties.Also with understanding of both parties.
OR.
Second party will also share______% of profit month to month if second party don’t want to pay an-
nual fees to first party. In this regard first party will issue receipt of acknowledgment time to time.
4. First party shall be responsible if there is any misuse of data / information / personal details of
second parties email ID / contact numbers. Or any other data which will be access by them for the
purpose of investment.
5. Second party need to sign the authority letter or relevant communication documents from time
to time for purpose of Investments.
6. If the first party will fail to complete his work fully or partially within the stipulated time. first
party shall refund the remaining payment after deduction of complete work charges with the men-
tioned charges, any other dues or administration charges. First party shall refund this payment within
15 days after termination of this MOU.
7. Second party shall not revoke / stop this process within the agreed period and if the second par-
ty wants to stop the process, then monthly service charges money will be forfeited and will not be re-
fund in any circumstances.
8. If any unauthorized transaction made in the name of Sai Investment without permission of com-
petent or authorized person, first party will be responsible wholly. In this regard no objection / objec-
tions will be entertained.
9. Second party shall inform the first party in case received any call/email/any kind of communica-
tion from company and shall not hide anything in this process.
@ TERMS & CONDITIONS ( FOR 1st PARTY )
@ Type of activity. -: For consultant SAI INVESTMENT will take 12000/- as Annual fees.
II) This is 12 month contract between client and SAI INVESTMENT. Contract shall end immediately
when contract period over.
III) SAI INVESTMENT has not considered of client brokerage charges, DP charges, any charges as
per SEBI rules and regulation, this responsibility client only.
IV) Client should be able to trade in DEREVATIVE (FNO) segment and (CASH) segment as per
investment strategy by SAI INVESTMENT.
V) Daily closure report summated to client through E-mail only.
VI) Client should buy at least 100 qty. per trade it is mandatory as per investment strategy by SAI IN-
VESTMENT.
@ Security -: Client capital amount should be minimum 50000/-& more. All investment amount and
shares will be holding in client DP and trading account as per contract duration.
@Withdrawal -: (A) In case of immediate withdrawal client will get the only funds/shares which cli-
ent is eligible as per date of withdrawal.
(B) In Immediate withdrawal client is neither liable for investment (Capital) amount nor for the bene-
fited amount. Holding share and margin money in trading account as per date of withdrawal is appli-
cable.
I understood all rules and regulation of SAI INVESTMENT & I agree with all rules
and regulation of SAI INVESTMENT. Also I make contract with SAI INVESTMENT with brief all
best of my knowledge.
