    MEMORANDUM OF AGREEMENT

    KNOWN TO ALL MEN BY THESE PRESENTS:

    Visayas State University (VSU),


    an institution of higher learning established under P.D. no. 470 as amended by P.D. 700,
    and converted into a state university by virtue of R.A. 9158 and 9437,
    with principal office at
    Visca, Baybay City, Leyte,
    represented by
    Dr. Edgardo E. Tulin, University President,
    hereinafter referred to as VSU

    and

    City of Ormoc, Leyte


    a local government unit established and existing under the laws and regulations of the Republic of the
    Philippines,
    with postal address
    Aunubing Street, Ormoc City, 6541
    represented by
    Hon. Richard Gomez, City Mayor of Ormoc,
    hereinafter referred to as LGU Ormoc

    and

    Team Advance,
    an undergraduate Civil Engineering Project team under the Department of Civil Engineering VSU,
    created specifically for the fulfillment of requirements for the course
    CEng 156 (Civil Engineering Project) SY 2017-2018
    of the BS Civil Engineering program of the Visayas State University,
    with postal address
    Dept. of Civil Engineering, Engineering Building Annex,
    Visca, Baybay City, Leyte,
    represented by
    Jessie B. Corrales, Team Leader,
    hereinafter referred to as Team Advance

    WITNESSETH:

    WHEREAS, the course CEng 156 (Civil Engineering Project) of the BS Civil Engineering program of
    the Visayas State University requires teams of undergraduate students to conduct studies and projects on
    the science of civil engineering.

    WHEREAS, the heavy traffic in Ormoc exposed the need for technical assistance in addressing the
    problem of insufficient traffic movement techniques implemented/used in the city of Ormoc.

    WHEREAS, Team Advance, expresses intent and capability of investigating and proposing a solution to
    the aforementioned problem of insufficient traffic movement techniques implemented/used in Ormoc
    City, Leyte.

    NOW, THEREFORE, in consideration of the foregoing premises, the parties hereby stipulate the
    following conditions:

    Team Advance will conduct a project entitled “A Traffic Investigation and Data Analysis on the Two (2)
    Major Intersections of Ormoc City Proper” in collaboration with LGU Ormoc, from January 2018 to
    May 2018, as a recognized CE Project of the course CEng 156 (Civil Engineering Project) of the BS Civil
    Engineering program of the Visayas State University.
    Role of VSU:

    1. VSU shall provide project guidance for Team Advance and LGU Ormoc through a faculty
    member of the Department of Civil Engineering VSU acting as project adviser.

    2. VSU shall monitor and control the timeframe of the project activities and shall define the project
    outputs to be submitted by Team Advance to LGU Ormoc through a faculty member of the
    Department of Civil Engineering VSU acting as CE Project Coordinator.

    Role of LGU Ormoc:

    1. LGU Ormoc will permit Team Advance to conduct project activities (e.g. data collection, site
    investigation, etc.) on areas or locations under the jurisdiction of LGU Ormoc as long as the said
    activities are planned by representative/s of both parties.
    2. Whenever necessary, LGU Ormoc will provide person/s who can accompany and assist
    representatives of Team Advance in areas under the jurisdiction of LGU Ormoc where some
    project-related activities must be performed (e.g. collection of data, site investigation, etc.)
    3. Whenever necessary, LGU Ormoc will advise Team Advance, on some safety, health and
    security risks involved when working in areas under the jurisdiction of LGU Ormoc, and will
    provide, if possible, the necessary protection for Team Advance, against such risks.
    4. LGU Ormoc will permit Team Advance, to observe and participate in operations of LGU
    Ormoc that are related to the project activities.

    Role of Team Advance:

    1. Team Advance, shall submit to LGU Ormoc a copy of the objectives and plan of activities of
    the aforementioned project.
    2. Team Advance, shall coordinate with representatives of LGU Ormoc for planning and
    coordination of project activities.
    3. At the end of the aforementioned project, Team Advance, shall submit to LGU Ormoc a copy of
    the relevant project outputs as determined by the CE Project Coordinator of VSU.

    It is further understood that the intellectual property produced as a result of the conduct of the project will
    be subject to the rules as stated in the governing Research Manual of Visayas State University during the
    publishing of the project manuscript and other outputs.

    This agreement may be terminated by any or all parties, if in their judgment, the welfare of any or all
    parties are not served well.

    This agreement shall take effect upon signing hereof and may be terminated, modified or supplemented
    only by written agreement of all parties.

    IN WITNESS WHEREOF, the parties hereto have hereinto set their hands this ______ day of
