Articles of Incorporation
of
CALBI ESTATES, OPC
KNOW ALL MEN BY THESE PRESENTS:
The undersigned, of legal age, citizen and resident of the Republic

of the Philippines, has this day voluntarily formed a One Person
Corporation (OPC) under the laws of the Republic of the Philippines and
certifies the following:
First: That the name of said corporation shall be:
“CALBI ESTATES, OPC”
Second: That the purposes for which said corporation is

incorporated are:
PRIMARY PURPOSE
To acquire by purchase, exchange, assignment, gift or otherwise,

and to own, use, improve, subdivide, operate, enjoy, sell, assign, transfer,
exchange, lease, let, develop, encumber, deal in, hold for investment and
to exercise all rights, powers and privileges of ownership over, real estate
properties of every kind and description, wherever situated and to the
extent permitted by law.
SECONDARY PURPOSE
1. To maintain, operate and administer space for rent, commercial

centers, recreational sites and other forms of real estate facilities;
2. To engage in the accommodation business like bread and

breakfast, guesthouses and hostels;
3. To provide, for profit or advantage, agricultural, commercial and

residential related equipment such as water pumps, tanks, solar
panels, and similar energy supplies;
4. To provide real estate consulting services; and
5. To perform and manage business activities that are incidental or

related to those mentioned above.
Third: That the principal office of the OPC is located in S4-303 Fini
Homes, Ramon Delfin Street, Marulas, Valenzuela City;
Fourth: That the OPC shall have perpetual existence;
Fifth: That the name, nationality, and residence address of the

single stockholder/ director/ president of the OPC are as follows:

Million Pesos (P30,000,000.00), divided into 1,200,000 shares with a par
value of Twenty-Five Pesos (P25.00) per share.
Eighth: That the number of shares of the authorized capital stock

above-stated has been subscribed as follows:

Ninth: That within fifteen (15) days from the issuance of its
certificate of incorporation, the OPC shall appoint a treasurer and notify
the Commission thereof within five (5) days from appointment.
Tenth: That I undertake to change the name of the OPC

immediately upon receipt of notice from the Commission that another
corporation, partnership or person has acquired a prior right to the use of
such name, that the name has been declared not distinguishable from a
name already registered or reserved for the use of another corporation, or
that it is contrary to law, public morals, good customs or public policy.
Eleventh: That no transfer of stock or interest which shall reduce

the ownership of Filipino citizens to less than the required percentage of
capital stock as provided by existing laws shall be allowed or permitted
to be recorded in the proper books of the OPC, and this restriction shall
be indicated in all stock certificates issued by the corporation.
Twelfth: That the fiscal year of the OPC shall begin on the 1st day of
July and shall end on the 30th day of June of each year.
IN WITNESS WHEREOF, I have hereunto signed these Articles of

Incorporation, this 1st day of November 2019 in the City/Municipality of
Manila, Republic of the Philippines.
