Terms and Conditions

 Our HSN CODE – Product/Upgradation –998314 & AMC - 998313

 Taxes as Applicable: GST @ 18% on 100% of the Value.
 Additional User Licenses: Focus SQL additional user licenses [CALs] can be purchased @
INR. 5,500.00 /- per user.
 Implementation of Focus ERP will be done for One Business Company. Any other
Company/Entity Implementation will be done by charging 60% of the Base License value.
 GST Module Patch is developed on .Net Technology and compatible with .Net
Framework 4.6 Version, which User has to arrange to install on respective machines
(Pcs)
 Focus SQL runs on Microsoft SQL Server Database. Microsoft 2008R2 & above database
licenses to be arranged by Siddhi InfraCon.
 Focus connects the remote locations through FIXED IP & Internet, to be arranged by the
Siddhi InfraCon
 The Project would be delivered to the client in the English language only. This would also
include all documentation including system studies as well as User and Help Manuals.
 The commercial proposal is in view of the fact that standard FOCUS Products meet the
mentioned performance parameters for application software as specified during the
demonstration. Any customization that is required to be carried out outside the scope of
Focus SQL will be documented in Business Requirement Document (BRD, SRS) would be
additionally charged. External Development is charged @4500 per man day.
 Support warranty will be provided free for a period of 1 month from date of Go-Live
Certificate.
 18% of the total value will be charged towards the Annual Maintenance Fee, which will
be effective for a period of 12 months from the date of expiry of the 1 month of free
support period. This is an optional service and a separate contract can be signed to avail
the maintenance support services.

  All expenses at actual (Travel, local conveyance, boarding & lodging) for all locations
outside Visakhapatnam to be borne by the Siddhi InfraCon
 License
In the event that the Licensee fails to pay to customer the agreed value as per this
agreement for using the license of Focus Solutions, the Licensor Focus Softnet shall have the
right to revoke the Licensee’s license with immediate effect and/or, at its sole option, give
the Licensee the opportunity to pay the balance by which the balance amount of the agreed
value as per this agreement or at its sole option and terminate this Agreement with
immediate effect.
 Indemnity Clause:
FOCUS shall ensure application is implemented there upon and within the available scope of
the software license only or as specifically implied in this contract. Apart from this, FOCUS
shall not be held responsible under any circumstances or liable for any damages or losses
due to any delay, theft, mishandling, virus attack, sabotage, system crash, natural calamities
or any other such natural or supernatural occurrences.
 Employee Non-Solicitation Clause:
The client agrees not to offer employment to employees of Focus Softnet directly or
indirectly or fulltime or part time for a period of 12-months from the date of resignation of
the employee from Focus Softnet or its partners.
