DECLARATION CUM INDEMNITY
I, Deepak Chandulal Shewani, aged 37 years, residing at B-1502, Gemini

Building, Hiranandani Meadows, Pokharan Road No.2, Apna Bazar, Thane,
Maharashtra, 400 601, do hereby state and declare that -
1. I was appointed as a Managing Director of Mupro India Private Limited

("Company") on 18* November 2014, and thereafter I resigned as
Managing Director of the Company on 28* November 2018.

2. During my tenure as Managing Director of the Company, I had created a
drop-box for the Company using my personal credentials and contact
details. I confirm that the private and confidential data of the Company was
stored in the said drop-box. From the date of creation of the said drop-box
till today, I had and continue to have the sole access of the drop-box. I
hereby confirm that the Company data contained therein is not being used
or misused by me or any third party. I indemnify the Company and/or its
Management against any loss, claims or damage caused to them on
account of use or misuse or breach of data contained in the aforesaid drop-
box. I also confirm that I have deleted all data which belongs to the
Company, from the aforesaid drop-box, and do not have any duplicate copy
of the same on the date of signing this Declaration cum Indemnity.
3. I was instructed by Management of the Company to create a data back-up

of the Company data in external hard-disk purchased by the Company. The
said external hard-disk was in my possession till the date of resignation and
I handed over the same to the representative of the Company post my
resignation. However, it is Company's stand that the external hard-disk
returned by me is different from the external hard-disk purchased by the
Company. I hereby confirm that the external hard-disk purchased by the
Company is not in my possession and that I have not copied Company data
in any hard-disk other than the one which i handed over to the Company, i
indemnify the Company and/or its Management against any loss, claims or
damage caused to them on account of use or misuse or breach of data
contained in the aforesaid external hard-disk.
4. Secura Industriebeteiligungen AG, affiliate of the Company, had given me

a laptop (Details - ) which I scrapped without any
express management approval. I hereby confirm that the data contained
therein is not being used or misused or copied by me or any third party. I
indemnify the Company and/or its Management against any loss, claims
or damage caused to them on account of use or misuse of data contained
in the aforesaid laptop.
5. I hereby assure the Company that I will not represent myself on any platform
(online and offline), except as the Managing Director of the Company for
the term as stated in paragraph 1 hereinabove.
6. I hereby confirm that I am not in possession of the Company files containing

the visiting cards of both actual and potential dealers, customers,
manufacturers, vendors etc. which was maintained by the Company.
I hereby irrevocably indemnify and shall at all times keep the Company and its
management indemnified, saved and harmless from and against all actions
including but not limited from the regulators/enforcement authorities, claims,
losses, damages,
costs, liabilities, charges and expenses incurred, suffered or paid by the

Company / its Management or required to be incurred, suffered or paid by the
Company / its
Management and against all demands, actions, suits or proceedings made, filed
or instituted against the Company / its Management in connection with or arising
out of or relating to the use or misuse of the Company data which was or is in my
possession before or after the date of resignation from the Company.
Upon default, I further agree to pay all reasonable attorneys' fees necessary to
enforce this Declaration cum Indemnity.
This Declaration cum Indemnity is in addition to and not in derogation of any other
Indemnity/Guarantee and/or Security which I have executed in favour of the
Company and/or its Management.
