1 Introduction

General
This EMBRAER Legacy 650 Executive Jet Technical Description applies to a transport
category aircraft developed for passenger transportation in the business and corporate
aviation market, being conceived and designed to meet the increasing demand for a
business aircraft that offers the best combination of low acquisition and operating costs
in a long range, large cabin environment with high reliability.
The EMBRAER Legacy 650 Executive Jet (type designation EMB-135BJ with ventral
tank and AE 3007A2 engines) is predominantly of metallic construction and is a low-
winged monoplane, “T” tailed vertical and horizontal stabilizers with retractable tricycle
type double-wheeled nose and main landing gear. With a MTOW of 53,572 lb (24,300
kg), is equipped with two high bypass ratio Rolls- Royce AE 3007A2 turbofan engines
mounted on aft fuselage pylons. Fuel is stored in integral wing tanks located in each
inboard wing section, two tanks located in the forward portion of the fuselage-to-wing
fairing, two tanks located aft of the baggage compartment and one aft ventral fuel tank.

Certification
The EMBRAER Legacy 650 Executive Jet is certificated in the Transport category
aircraft standards by the ANAC – Brazilian Civil Aviation National Agency and EASA -
European Aviation Safety Agency, complying with the RBHA 25 and CS-25 Transport
Category Aircraft. The EMBRAER Legacy 650 Executive Jet will be certificated in the
Transport category aircraft standards by FAA - United States Federal Aviation
Administration complying with the FAR 25 Transport Category Aircraft.

2 Standard Configuration

Multifunction Displays (MFD) and 1 Engine Indication and Crew Alerting System

2. Buyer is responsible for obtaining approval for operation from the relevant aviation authority, which
may require additional equipment to comply with Operational Requirements, in specific operations
circumstances, regions or countries.
3. In the event that Buyer elects to have the airplane complying with additional requirements,
eventually defined by Operational requirements, or Airworthiness Standards (other than FAR 25,
RBHA 25, or JAR 25), Buyer shall inform Embraer the country of aircraft registration and any
additional equipment or systems required for the intended registration and operation. Buyer will be
responsible for the additional aircraft modifications and costs after lead-time confirmation.

8.3 Cross Section

8.4 General Description


The interior arrangement provides accommodations for two pilots and one flight
observer in the cockpit, one flight attendant (optional) at the entrance area and thirteen
passengers in the cabin area (in the standard configuration). Additional optional cabin
passenger layouts are available.
8.5 General Cabin
The passenger cabin in the baseline layout is approximately 6ft 11 in (2.10 m) wide and
approximately 6ft (1.82 m) high. The typical arrangement for the passenger cabin is
divided in three compartments. These compartments may be configured with a variety
of options to accommodate the baseline and optional passenger positions with a full
range of amenities. The forward compartment includes a galley, entertainment cabinet
and closet. The mid compartment (passenger cabin) comprises three zones for
passenger seating. The aft compartment provides a complete lavatory with a vanity,
toilet, coat storage and an access door to the in-flight accessible baggage compartment.

8.6 Forward Cabin


At the entrance area there is an acoustic curtain. The forward cabin provides a cabinet
for storage of audio/video source equipment, emergency equipment and other auxiliary
aircraft systems.
The aircraft is equipped with one Blu-ray Player, stereo speaker system, Moving Map,
and two (2) 17,5” HD widescreen monitors located at the forward LHS bulkhead and on
the aft cabin at the aft RHS bulkhead. Next to the entertainment cabinet a storage
cabinet is provided with a removable coat rod and adjustable shelf allowing for open
storage and coats. Optionally, an externally serviced forward crew lavatory can replace
this storage cabinet.

8.7 Galley
A forward galley is located on the RHS of the aircraft with dedicated space for food and
beverage storage, preparation and service. The galley is equipped with the following
features:
• Crystal sliding doors in Lexan®
• Solid sliding compartment doors
• Plated faucet with swivel goose neck spout (mixed for hot and cold water)
• Corian® Countertop sink
• Miscellaneous storage
• Trash container (11.8gal)
• Ice drawer with overboard drain (with clean ice compartment)
• Microwave oven (optionally, a convection oven may replace the microwave oven)
• Customs seals on latches
• Three (3) Universal electrical outlets behind the solid sliding compartment doors

In order to separate the galley from the passenger zone, while avoiding wasting of
space, a dual pocket door is provided.

8.8 Mid Cabin


The standard passenger cabin compartment comprises three zones, which provide
seating for 13 passengers: a forward zone consisting of 2 single club seats (4 places in
total), a mid zone with one double club seat on the LHS and a credenza on the RHS (4
places in total); an aft zone with a full berthing, three-place divan on the right hand side
and a single club seat on the LHS (5 places in total).
8.9 Passenger Seats
Each seat has a single control lever for base tracking that allows the seat to move
forward, aft and laterally as well as swiveling. The executive single seats have a recline
control button inside of the armrest. Passenger seat movement and reclining in
proximity to an emergency exit path or blow out panel may be restricted. All seats have
life-vest storage in the seat base and, in some seats, there is an escape path lighting
system installed, as defined by the standard certification requirements. Optionally, the
seats may have lumbar adjustment and leg rests.
8.10 Cabin Interior Outer Shell
The cabin interior outer shell is comprised of the following items: a headliner running
from front to back of the aircraft, valance panel including reading lights, table lights,
oxygen dispensing units and individual directional air vents throughout the passenger
cabin, and in the lavatory an upper sidewall is provided with an oxygen dispensing unit,
a dispenser unit and directional air vent. In addition, an upper sidewall unit including all
pleated window shades is installed throughout the passenger cabin.
8.11 Cabin Sideledge
Sideledges are located in the passenger compartment outboard walls. The sideledge
includes fold out tables, storage boxes, cabin management control panels and
communication devices.
8.12 Lavatory
The standard lavatory is located in the rear of the aft cabin. The lavatory features an
externally serviced toilet on its RHS and a vanity featuring a sink, faucet, soap
dispenser, self-sealing trash container, toilet tissue dispenser, tissue holder, mirror,
miscellaneous storage and one (1) universal 110V power outlet. An additional closet is
located in the LHS of the lavatory. This space features storage for full-length garments
and adjustable shelves. The baggage compartment can also be in-flight accessed
through a service door located in the aft lavatory.
8.13 Baggage Compartment
The available volume is 6.8 m3 (240 ft3) and total load capacity is 454 kg (1000 lb). A
baggage compartment door located on the LHS of the rear fuselage is 43.7 in (1.11 m)
high and 39.4 in (1.00 m) wide. A coat road and supports for the towbar and towbar
head are installed in the baggage compartment. A stainless steel protection plate is
installed on the cargo doorsill area to prevent minor damages to the fuselage during
loading and unloading services. The floor is designed for uniformly distributed loading
and is provided with anchor plates for high-density load tie-downs.

In addition, the baggage compartment incorporates the following features:


• An approved smoke detector system, with warning indication in the cockpit
• A built-in fire extinguishing system, which may be activated from the cockpit
• A ventilation system, which allows partial control of compartment temperature

9 Exterior

The aircraft will be painted in a polyurethane paint according to the Buyer’s color and
paint scheme choice. The standard paint scheme is a white base color (Embraer Snow
White) with up to three stripes. In the event the Buyer elects to have a customized
design for the aircraft paint scheme, Embraer will provide a price estimate for such paint
scheme.
Leading edges of the wings, horizontal stabilizer and engine inlets are polished
aluminum.
Embraer applies only solid coatings on the aircraft lower lobe fuselage (bilge area) due
to the following reasons:
- Effect coatings (acrylic-polyurethane base) can be damaged by Skydrol or Fluids
spills;
- Solid colors are more resistant and best suited for the aircraft lower lobe fuselage
(bilge area);
In case Buyer opts to have effect coatings applied on the aircraft lower lobe fuselage
(bilge area), then the Aircraft paint warranty on such area shall not be covered.
Antennas areas shall not be painted due to the fact that coatings may cause electrical
interferences.

10 Engines

Propulsion system consists of two Rolls-Royce Allison AE 3007A2 high bypass ratio
turbofan engines installed at the aft fuselage pylons.
Two redundant Full Authority Digital Electronic Controls (FADEC) controls each engine.
The maximum take-off thrust, for the standard engine with all engines operating is 9,020
lb (sea level, static, thrust available up to ISA + 15 ºC). The engine compartments are
enclosed in a cowling with conveniently located access doors on the bottom of the
nacelle for inspection and maintenance.

11 Structure

The primary aircraft structure is made of aluminum with formed sheet machined and
extruded parts. Chemical milling is extensively used in the manufacturing process to

optimize strength and weight characteristics. Metallic materials other than aluminum are
used in areas with unique structural requirements. Composite materials are used for
secondary structures and were selected to reduce weight, optimize manufacturing, and
provide for ease of component replacement and to protect areas subject to common
damages.

12 Thrust Reversers

The Thrust Reversers, which are pivoting door type, are standard and assist in
decelerating the aircraft during landing or in the event of a rejected takeoff (RTO) by
deflecting the engine exhaust forward. When stowed, the thrust reversers are a part of
the exhaust nozzle.

13 Fuel System

Fuel is stored in integral wing tanks located in the inner sections of the left and right
semi-wings, as well as in the fuselage. The fuselage has two externally mounted fuel
tanks located in the forward portion of the fuselage-to-wing fairing, one additional aft
ventral tank and two additional fuel tanks located aft of the baggage compartment.
The tanks are pressure refueled and defueled through a single point connection located
on the right side of the fuselage, forward to the wing, allowing quick and easy access.
The total usable fuel is 3,086 US gallons (11,681 liters) using gravity fueling method.
The tanks are equipped with capacitance-type fuel quantity transmitters with fuel
quantity displayed in the cockpit on the EICAS/MFD and also at the pressure refueling
control panel.
Direct measuring sticks can be used as an alternate method to read fuel quantity on the
ground. They are located under the wing.
The Fuel system was designed in order to allow a simplified refueling process, through
an optimized refueling interface. Also the fuel system adopts reliable and reduced
number of components for simplified maintenance procedures and weight reduction.
There is a maintenance panel used to manage the fuel quantity between all tanks in
order to reduce the maintenance time. The transference system has two sources of
pressure to increase the system availability during flight. There are indications on MFD
fuel page to facilitate the interface between the crew and the system, including
information about system operation and status.

14 Hydraulic System

Hydraulic power is provided by two independent systems. An engine-driven pump and a


back-up electric motor-driven pump power each system with a nominal pressure of
3,000 psi.

15 Flight Controls

The aircraft is equipped with dual primary flight controls consisting of control yokes,
columns, and rudder pedals. Sub-systems are mechanically interconnected.
The aileron and elevator controls incorporate a disconnection feature that allows
operation of a single control in the event of control jamming.
Each set of rudder pedals is electrically adjustable (fore and aft) for pilot comfort. The
mechanical rudder control is fully duplicated with rudder commands also generated by
the Autopilot system.
The elevators are mechanically actuated and the ailerons and rudder are hydraulically
assisted. Rudder and aileron control systems provide artificial feedback to the pilots
relative to the aerodynamic loads imposed to their associated surfaces. Electrical
actuators accomplish trimming of these two control surfaces.
Flaps are electrically actuated and electronically controlled and spoilers are
hydraulically actuated and electronically controlled.

16 Landing Gear

The landing gear is a hydraulically actuated, electronically controlled tricycle type


landing gear. Both the left and right main landing gears retract laterally inboard and the
nose gear retracts forward. The main landing gear is in a trailing link configuration.
Shock absorbers are of the air-oil type.
Each landing gear leg is equipped with two wheels and each main gear is equipped with
two brake assemblies.
An electrical override system and a mechanically actuated free-fall extension capability
are provided for landing gear emergency extension.

The nose landing gear is equipped with hydraulically operated and electronically
controlled nose-wheel steering.

17 Electrical System

The electrical power system is a 28 VDC with four 400 Ampere rated generation
channels. In case of failure of any generator, the remaining generators will automatically
be paralleled to supply all buses without operational restrictions or additional workload.
The system also has a 400-Ampere rated, 28 VDC Auxiliary Power Unit (APU) starter-
generator that may be used to power aircraft systems at any time.
System management is performed by two logic controllers, which provide automatic
control, protection and load shedding to reduce pilot workload.

18 Pneumatic System

An integrated bleed air system fed by the engines, the APU or an external pneumatic
source is used to supply conditioned and pressurized air to the cabin, and hot and high-
pressure air to other pneumatic systems minimizing the number of parts for the whole
aircraft.
The air is distributed, as required, to the following systems:
• Air Conditioning

19 Auxiliary Power Unit

The APU is a Hamilton Sundstrand model APS 500R and is installed in the tail cone of
the aircraft.
The APU supplies pressurized air to all pneumatic systems and is also an electrical
power source for the aircraft while on the ground or in-flight.
Fuel for the APU is supplied by the normal aircraft fuel system.

20 Ice and Rain Protection

The following areas of the aircraft are protected to permit unrestricted operation into
known or forecasted icing conditions within certification limits:

21 Oxygen System

The crew oxygen subsystem incorporates a light-weight composite material oxygen


cylinder with 50 ft3 capacity serviced through an external servicing panel located on the
forward lower right side of the fuselage.
The gaseous passenger oxygen subsystem incorporates a light-weight composite
material oxygen cylinder with 115 ft3 (3,25m3) capacity serviced through an external
servicing panel that is provided with a pressure gauge and a pressure correction chart
to monitor cylinder pressure during the recharging process. An additional 77 ft3 (2,18m3)
oxygen bottle may be selected as an optional.
The oxygen is stored at high pressure (1,850 psi) and distributed under low pressure
through a regulator to the crew and passengers.

22 Pressurization System

The Cabin Pressure Control System (CPCS) provides a maximum cabin to ambient
differential pressure of 8.4 psi. The system maintains the cabin altitude at 8,000 ft up to
41,000 ft of flight altitude. The minimum cabin altitude rates change during intermediate
flight phases. Cabin pressure is automatically controlled by a digital electro pneumatic
subsystem or a pneumatic redundant subsystem (manual back-up mode).

23 Avionics

The aircraft avionics system makes extensive use of the latest technologies in a highly
integrated and automated architecture from Honeywell as well as other vendors. It

complies with the current market requirements and offers capability and flexibility for
future requirements.
The system architecture is based on two Integrated Avionics Computers (IC), which
combine a display processor and flight director plus Category II fail-passive autopilot.
The flat panel Radio Management Units (RMU) serve as a backup for navigation
display, Engine Indication and Crew Alerting System (EICAS), and as a controller for
the Traffic and Collision Avoidance System (TCAS). Such arrangement results in fewer
units and a cost effective system to maintain.
The EICAS integrates the multitude of the old-fashioned electromechanical instruments,
increasing safety and decreasing pilot workload by simplifying information and providing
advisory.
Two Air Data Computers (ADC) compatible with Reduced Vertical Separation Minimum
(RVSM) capability provides accurate performance.
The color weather radar is a fully attitude-stabilized radar showing weather in four
intensity levels at ranges from 5 to 300 nautical miles. Doppler turbulence detection
locates moderate or stronger areas of turbulence.
Simplicity and safety drive the Legacy 650 avionics system. The Traffic Collision and
Avoidance System (TCAS) and Enhanced Ground Proximity Warning System (EGPWS)
with wind-shear detector and escape guidance provide maximum safety against
Controlled Flight Into Terrain (CFIT) and other air traffic threats.
VNAV is the functionality that provides to the aircraft the ability to fly a vertical
navigation. VNAV computes guidance commands for the Autopilot or Flight Director
follow the vertical guidance.
The flight profile reflects all speed and altitude restrictions specified in the guidance
flight plan while honoring airplane operating limits.
Required Navigation Performance (RNP 0.3) is a key component of next-generation
performance-based navigation system. It utilizes global positioning and inertial
reference system navigation, allowing aircraft to fly predetermined paths loaded in their
flight management computers.
Note: Coupled VNAV and RNP 0.3 functionalities are follow-on certification items which
may not be available at the delivery.

23.1 Display and Controls


The Legacy Avionics system incorporates an all glass cockpit with five 8" x 7” Liquid
Crystal Displays (LCD) driven by two Integrated Computers.
Displays in the front left and right sides are full Primary Flight Displays (PFD)
encompassing attitude, compass, air data and all relevant navigation data, including
autopilot/flight director functions and TCAS Radio Altimeter indications.
Pilot/Copilot displays, identified as Multi Function Displays, (MFD) are primarily used as
navigation displays, FMS navigation as well as weather radar and TCAS traffic
advisories. The lower section of each MFD is used to display other system data.
In case of malfunctions on the adjacent PFD or EICAS display, the MFD can be used as
a back up for any of these. They can also be used to display maintenance data, as well
as check lists.
The central display is fully dedicated to EICAS primary indications.
Other relevant features of the cockpit control arrangement are the control panels on the
glare shield, the two centralized Radio Management Units (RMU) in the instrument
panel and the FMS Control Display Units (CDU) located on the central pedestal.

23.2 Engine Indication and Crew Alerting System (EICAS)


The EICAS is a powerful multi-system indicator and crew alerting system, able to show
through its own display and part of MFD:
• Engine Data
• Aircraft Configuration Data: Landing gears, flaps, trims, etc
• System indications
• Warning and caution messages
23.3 Central Maintenance Computer (CMC)
The Central Maintenance Computer stores maintenance messages and engine trend
and exceedance data. Many of the maintenance messages can be displayed on the
MFD. All maintenance messages and engine data can be downloaded to an external
personal computer for further analysis on the ground.
23.4 Communication, Navigation and Identification
Radio and pulse based equipment are enclosed in a large integrated chassis and
incorporate centralized frequency management and control, through two Radio
Management Units.
23.5 Flight Management System (FMS)
The aircraft is equipped with dual FMS/GPS systems capable of providing navigation
based on the blending of data from external navigation sensors. The FMS incorporates
a database, which will allow storage of worldwide Standard Instrument Departures
(SID), Standard Terminal Arrival Routes (STAR) holding patterns, navigation aids and
airport locations as well as pre-defined routes.
23.6 Global Positioning System (GPS)
The GPS is made up of a 12-channel receiver that receives the transmissions from the
NAVSTAR GPS satellite constellation. The GPS tracks a minimum of four satellites,
processes the signals received and determines the aircraft latitude, longitude, altitude,
time, and velocity.
23.7 Traffic Collision Avoidance System (TCAS) / MODE S Diversity Transponder
Traffic Collision Avoidance System and two Mode S diversity transponders (TDR) are
included in the standard configuration.
23.8 Audio
Audio equipment is designed using digital technologies with control panels dedicated to
pilot, copilot and flight observer.
23.9 Enhanced Ground Proximity Warning System (EGPWS) with Windshear
Detector
The Enhanced Ground Proximity Warning System (EGPWS) includes the windshear
detection function.

23.10 Crew Alerting System


The crew alerting system (CAS) is composed of the EICAS, two sets of Master Warning
and Master Caution lights (one at the pilot station and one at the copilot station) and an
aural warning unit. The aural warning unit (AWU) provides chimes plus voice outputs
through the pilots and observer headphones and cockpit speakers.
23.11 Passenger Warning System
The passenger warning system consists of the following signs:
"Fasten Seat Belts" and "No Smoking".
23.12 Stand-by Instruments
The Integrated Stand-by Instrument System (ISIS) is a solid-state, self-contained unit
with built-in air data sensors and uses a 3-ATI high-definition Active Matrix Liquid
Crystal Display (AMLCD).
The system is fitted with a dedicated pitot static pressure sensor.
The equipment provides standby indication of:
• Attitude
• Airspeed
• Standard or barometric corrected altitude and the associated barometric pressure
adjustment
• Mach number
• VMO/MMO (Maximum Operating Speed)

24 Aircraft Limited Warranty

24.1 Embraer, subject to the conditions and limitations hereby expressed, warrants the
Aircraft as follows:
a) For a period of sixty (60) months, or five thousand flight hours (5,000 FH),
whichever occurs first, from the date of delivery of the Aircraft to Buyer, the
Aircraft will be free from:
• Defects in design, materials, workmanship and manufacturing processes
in relation to parts manufactured by Embraer or by its subcontractors
holding an Embraer part number;
• Defects inherent to the design of the Aircraft and its parts designed or
manufactured by Embraer or by its subcontractors holding an Embraer
part number.
b) For a period of thirty-six (36) months from the date of delivery of the Aircraft to
Buyer, the Aircraft will be free from:
• Defects in design, materials workmanship and manufacturing processes
and operation of Embraer’s vendors (suppliers) manufactured parts, (not
including the engines and engines accessories, Auxiliary Power Unit
(APU) and APU’s accessories, and the avionics manufactured by
Honeywell Inc.), as well as failures of such parts due to incorrect
installation or installation not complying with the instructions issued or
approved by their respective manufacturers.
c) For a period of twenty-four (24) months or 1,000 flight hours, whichever
occurs first, from the date of delivery of the Aircraft to Buyer, the Aircraft will
be free from defects in materials, workmanship and manufacturing processes
in relation to the exterior painting of the Aircraft.
d) For a period of twenty-four (24) months from the date of delivery of the Aircraft
to Buyer, the Aircraft will be free from defects in design, manufacturing or
installation of interior items installed in the cockpit or in the passenger cabin.
This warranty coverage for interior items is in lieu of any warranty coverage
described in paragraphs 24.1(a) and 24.1(b) herein above.
e) For a period of thirty-six (36) months from the date of delivery of the Aircraft to
Buyer, Embraer shall provide kits of parts related to the airworthiness
directives (the “AD”) of Embraer’s responsibility (excluding AD’s resulting from
modifications in the certification regulations) issued either before or after the
delivery of the Aircraft which time for compliance is within thirty-six (36)
months from the date of delivery of the Aircraft to Buyer.

24.2 The obligations of Embraer as expressed in this Warranty are limited to:
a) Replacement or repair, at Embraer's sole discretion, of parts found to be
defective within the specific periods stipulated in this certificate, provided such
defective parts are returned to Embraer or to its representatives within a
period of thirty (30) days after the occurrence of the defect. The costs of
transportation, including but not limited to industry standard package, freight,
insurance, customs duties shall be borne by buyer. Should the defective part
not be returned to Embraer within such thirty (30) day period, Embraer shall
have the right, at its sole discretion, to deny the warranty claim.
NOTE: Notification of any defect claimed under this Warranty must be given to
Embraer within fifteen (15) days after such defect is found.
Parts supplied to Buyer as replacement for defective parts are warranted for
the remaining warranty period of the original defective parts exchanged.
However, freight, insurance, taxes and other costs eventually incurred during
the shipment to Embraer or its representative are buyer's responsibility.
Delivery terms of the repaired and / or replacement parts will be FCA/Fort
Lauderdale - USA or FCA/Villepinte - France or FCA / São José dos Campos -
Brazil (Incoterms 2000) or as otherwise agreed between Embraer and Buyer
in the Purchase Agreement.
b) Embraer shall reimburse to Buyer the labor costs required to remove any
defective part from the Aircraft and its reinstallation in the Aircraft, as well as
any removal and replacement as the result of improper installations by
Embraer or by Embraer’s authorized service center not including the engines,
Auxiliary Power Unit (APU) and their accessories (“Vendors Parts”) provided
that:
(i) the work is performed by Embraer or by an Embraer authorized service
center.
(ii) the obligations of Embraer are limited to cover the labor expenses related
to the repair or replacement of part(s) as mentioned above.
(iii) buyer informs Embraer by means of a written notice to be issued within
fifteen (15) days after the occurrence of any defective part removal from the
Aircraft, as well as its replacement or reinstallation, and the Embraer’s
authorized service center where such event has taken place.
24.3 Embraer Warranty does not cover:
a) Indirect expenses such as, but not limited to freight, insurance, shipping,
handling, custom taxes, surcharges, overtime, travel expenses, per diem, etc.
b) Routine services (such as, but not limited to, inspections, cleaning,
adjustments, scheduled maintenance).
c) Labor expenses to remove and replace parts that deteriorate from wear and
tear or inadequate exposure or labor expenses to remove and replace
consumable items.

d) Labor expenses for installation of any AD.


e) Any down-time expense that may be incurred due to the incorporation of any
AD.
24.4 Embraer will accept no warranty claims under any of the circumstances listed
below:
a) When the Aircraft has been used in an attempt to break records, or
competition, or subjected to experimental flights, or in any other way not in
conformity with the flight manual or the airworthiness certificate, or subjected
to any manner of use in contravention of the applicable aerial navigation or
other regulations and rules, issued or recommended by government
authorities of whatever country in which the Aircraft is operated, when
accepted and / or recommended by I.C.A.O. (International Civil Aviation
Organization);
b) When the Aircraft or any of its parts have been altered or modified by Buyer,
without prior written approval from Embraer and or from the manufacturer of
the parts through a service bulletin;
c) Whenever the Aircraft or any of its parts have been involved in an accident, or
when parts have been installed which are either defective or not complying to
the manufacturer's design or specification;
d) Whenever parts have had their identification marks, designation, seal or serial
number altered or removed;
e) In the event of negligence by the Buyer, misuse or maintenance services done
on the Aircraft, or any of its parts not in accordance with the respective
maintenance manual;
f) In cases of deterioration, wear and tear, breakage, damage or any other
defect including those resulting from the use of inadequate packing methods
when returning items to Embraer or its representatives.
g) In case that Buyer does not maintain complete records of operations and
maintenance of the Aircraft and engines and fail to make those records
available to Embraer for eventual inspection whenever deemed necessary by
Embraer.
24.5 This Warranty does not apply to Buyer furnished equipment or Buyer installed
equipment, consumable items, and materials or parts subject to deterioration.
24.6 TO THE EXTENT PERMITED BY LAW, THE WARRANTIES, OBLIGATIONS
AND LIABILITIES OF EMBRAER AND REMEDIES OF BUYER SET FORTH IN
THIS LIMITED WARRANTY CERTIFICATE ARE EXCLUSIVE AND IN
SUBSTITUTION FOR, AND BUYER HEREBY WAIVES, RELEASES AND
RENOUNCES, ALL OTHER WARRANTIES, OBLIGATIONS AND LIABILITIES

DOCUMENT, INFORMATION OR SERVICE, INCLUDING BUT NOT LIMITED
TO:
a) ANY IMPLIED WARRANTY OF MERCHANTABILITY OR FITNESS FOR A
PARTICULAR PURPOSE;
b) ANY IMPLIED WARRANTY ARISING FROM COURSE OF PERFORMANCE,
COURSE OF DEALING OR USAGE OF TRADE;
c) ANY OBLIGATION, LIABILITY, RIGHT, CLAIM OR REMEDY IN CONTRACT
OR TORT, WHETHER OR NOT ARISING FROM THE NEGLIGENCE,
STRICT LIABILITY OR OTHER RELATED CAUSES OF EMBRAER OR ANY
ASSIGNEE OF EMBRAER, WHETHER ACTIVE, PASSIVE OR IMPUTED;

d) ANY OBLIGATION, LIABILITY, RIGHT, CLAIM OR REMEDY FOR LOSS OF
OR DAMAGE TO ANY AIRCRAFT, FOR LOSS OF USE, REVENUE OR
PROFIT WITH RESPECT TO ANY AIRCRAFT OR FOR ANY DIRECT,
INCIDENTAL OR CONSEQUENTIAL DAMAGES.
24.7 Any remaining term of this Warranty can be transferred, except (i) to any of
Embraer’s competitors, any person or entity, with which the Parties may be legally
restricted to enter into an agreement, to a debarred person or entity or in case
such assignment would infringe US export control regulations or any other
applicable law or (ii) as otherwise agreed between the Parties. Such assignment of
remaining Warranty will only be considered effective upon Embraer’s receipt of a
written notice from Buyer informing the new owner of the Aircraft.
24.8 No representative or employee of Embraer is authorized to establish any Warranty
other than the one hereby expressed to Buyer nor to assume or extend any
additional obligations, relative to the matter in the name of Embraer and therefore
any such statements eventually made by, or in the name of Embraer, shall be void
and without effect.

25 Limited Warranty Terms and Conditions for the Engines, APU and
Avionics

EMBRAER DOES NOT WARRANT ENGINES AND APU.


Engines, APU, and Honeywell avionics warranties are to be provided to buyer directly
by their suppliers.
The terms and conditions below are for buyers’ information purpose only and they must
be understood as a brief overview of the current general terms and conditions of the

warranties provided by the engines’ and APU’s suppliers. Other terms and conditions
apply to the engines warranty and APU warranty.
The warranties terms and conditions provided by the engines’ and APU’s suppliers shall
prevail over any information presented herein.

25.1 Engines Limited Warranty

25.1.1 Basic conditions:


Engines installed in the Aircraft are warranted by their manufacturer, Rolls Royce
Corporation (“Rolls Royce”) and all terms and conditions of such warranty are available
for Buyer directly from Rolls Royce. The basic conditions of such warranty are as
follows:
Rolls Royce warrants that at the time of the Aircraft delivery, the engines and its
accessories manufactured by Rolls Royce will be free from defects in material and
workmanship.
The warranty will be for a period of sixty (60) months or 2,500 operating hours,
whichever occurs first, after the date of delivery of the Aircraft to Buyer. The remaining
warranty is transferable to subsequent owners of the aircraft other than buyer subject to
the provisions, limitations and exclusions of the warranty.

25.1.2 Coverage / procedures:


During the warranty period Rolls Royce will, at its sole discretion, repair or replace any
parts found to be defective. Such replacement may, at Rolls Royce criteria, be made
with new parts or serviceable parts.
Buyer is responsible for the costs of scheduled maintenance during the warranty period,
including but not limited to, routine line maintenance and adjustments, hot section
inspection and refurbishment, and engine overhaul. Removal of a part from service
because of hourly, cyclic, normal wear and tear or other limitations on its continued use
specified in Rolls Royce maintenance or service documents will not constitute a defect
under this warranty.
Notice of a warranty defect must be provided to Rolls Royce within fifteen (15) days of
the occurrence, and Rolls Royce reserves the right to refuse any claim received more
than ninety (90) days after removal from operation of any engine or engine part.

25.1.3 Application:
This warranty for new Engines applies only to engines in non-military Aircraft used for
corporate or private transportation service (including Part 135 charter operations).

25.1.4 Buyer’s responsibilities:


Buyer is responsible for operating and maintaining the Engines in accordance with the
applicable manuals and recommendations. All warranty repairs must be performed at a
facility designated by Rolls Royce. Rolls Royce shall not be responsible for defects or

damages, and the costs thereof, resulting from improper use or maintenance, normal
wear and tear, accident, foreign object damage (FOD), erosion, corrosion, or any other
cause beyond Rolls Royce’s control.

25.1.5 Limitations:
The warranty provided by Rolls Royce is the only warranty applicable to the Engines,
and is given and accepted in place of all other warranties or remedies, express or
implied, including without limitation any warranties as to merchantability or fitness for
purpose. In no event shall Rolls Royce be responsible for incidental or consequential
damages.

25.2 APU LIMITED WARRANTY:

25.2.1 Basic conditions:


The Auxiliary Power Unit installed in the Aircraft is warranted by its manufacturer,
Hamilton Sundstrand Inc. (“Sundstrand”) and all terms and conditions of such warranty
are available for Buyer directly from Sundstrand. The basic conditions of such warranty
are as follows:
Sundstrand warrants that at the time of the Aircraft delivery, the Auxiliary Power Unit
and its accessories manufactured by Sundstrand (hereinafter the “APU”) and installed in
the Aircraft will be free from defects in material and workmanship.
The warranty will be for a period of sixty (60) months, or 3,000 APU hours, or 6,000
APU cycles, whichever occurs first, after the date of delivery of the Aircraft to buyer. The
remaining warranty is transferable to subsequent owners of the aircraft other than buyer
subject to the provisions, limitations and exclusions of the warranty.

25.2.2 Coverage / procedures:


During the warranty period Sundstrand will, at its sole discretion, repair or replace any
parts found to be defective. Such replacement may, at Sundstrand criteria, be made
with new parts or serviceable parts.
Buyer is responsible for the costs of scheduled maintenance during the warranty period,
including but not limited to, routine line maintenance and adjustments. Removal of a
part from service because of hourly, cyclic, normal wear and tear or other limitations on
its continued use specified in Sundstrand maintenance or service documents will not
constitute a defect under this warranty.

25.2.4 Buyer’s responsibilities:


Buyer is responsible for operating and maintaining the APU in accordance with the
applicable manuals and recommendations. All warranty repairs must be performed at a
facility designated by Sundstrand. Sundstrand shall not be responsible for defects or
damages, and the costs thereof, resulting from improper use or maintenance, normal
wear and tear, accident, foreign object damage (FOD), erosion, corrosion, or any other
cause beyond Sundstrand’s control.

25.2.5 Limitations:
The warranty provided by Sundstrand is the only warranty applicable to the APU, and is
given and accepted in place of all other warranties or remedies, express or implied,
including without limitation any warranties as to merchantability or fitness for purpose. In
no event shall Sundstrand be responsible for incidental or consequential damages.

25.3 Honeywell International Inc. (The “Honeywell”) Limited Warranty:

25.3.1 Basic Conditions:


All avionics manufactured by Honeywell International Incorporated (the “Honeywell
Avionics” or “Avionics”) installed in the Aircraft are warranted directly by Honeywell. As
required by the context, defined terms expressed in the singular form shall be deemed
to refer to the plural form and vice-versa. Warranty terms for Honeywell Avionics are as
follows:
Honeywell warrants that at time of delivery of the Aircraft to Buyer, the Avionics installed
in the Aircraft will comply with applicable Honeywell drawings and specifications as
agreed in writing, and will be free from defects in workmanship and material.
The warranty will be for a period of sixty (60) months or 5,000 operating hours,
whichever occurs first, after the date of delivery of the Aircraft to Buyer. The warranty
shall run to Buyer, its successors and assigns.

25.3.2 Coverage / Procedures:


Honeywell’s obligation and Buyer’s remedy under this warranty is limited to either repair
or replacement of any Avionics Non-conformance, at Honeywell’s option. Non-
conformance shall mean a failure of Avionics to comply with applicable Honeywell
drawings or specifications or having defects in workmanship or material. Normal wear
and tear and the need for regular and periodic maintenance shall not constitute a Non-
conformance.
a) Warranty Period: All Honeywell Avionics repaired or replaced hereunder shall be
warranted only for the unexpired portion of the original warranty period.
b) Notification and Notification Period: Buyer must notify Honeywell or a Honeywell
authorized dealer or service facility in writing of a Non-conformance within the
warranty period and return the Avionics to Honeywell within thirty (30) calendar
Days after such discovery.

c) Freight: Honeywell agrees to assume round trip Freight charges for


Nonconforming Avionics in an amount not to exceed normal surface shipping
charges to the warranty service facility designated by Honeywell. Freight is defined
as the transportation costs charged by the Honeywell directed carrier to transport
Avionics, and specifically excludes packing, taxes, tariffs, duties, freight forwarding
charges, broker fees, and special handling and expediting charges. The risk of
loss or damage to all Avionics in transit shall be borne by the party initiating the
transportation of such Avionics.
d) Exclusions: Honeywell shall not be liable for warranty if the Avionics have been
exposed or subjected to:
1. Any maintenance, repair, installation, handling, transportation, storage,
operation or use which is improper or otherwise not in compliance with
Honeywell’s instructions or applicable government regulation;
2. Any alteration, modification or repair by anyone other than Honeywell or those
specifically authorized in writing by Honeywell;
3. Any accident, contamination, foreign object damage, abuse, neglect or
negligence after delivery to Buyer; or
4. Any damage precipitated by failure of a Honeywell supplied product not under
warranty or by any product not supplied by Honeywell.
e) Other Terms: Honeywell’s obligations under this warranty are conditioned on
Buyer’s obligation to maintain records which will accurately reflect operating time
and maintenance performed on the Avionics and establishes the nature of any
unsatisfactory condition of the Avionics. Buyer shall, upon the request of
Honeywell, promptly deliver to Honeywell copies of such records as necessary to
substantiate any warranty claims.

25.3.3 THE WARRANTY PROVIDED BY HONEYWELL IS EXCLUSIVE AND IN LIEU


OF ALL OTHER WARRANTIES, WHETHER WRITTEN OR ORAL, EXPRESS,
IMPLIED OR STATUTORY, INCLUDING, BUT NOT LIMITED TO, ANY IMPLIED
WARRANTIES OF MERCHANTABILITY, FITNESS FOR PARTICULAR PURPOSE,
OR NON-INFRINGEMENT, ALL OF WHICH ARE HEREBY EXPRESSLY
DISCLAIMED. NO EXTENSION OR EXPANSION OF SUCH WARRANTY SHALL BE
BINDING UPON HONEYWELL UNLESS SET FORTH IN WRITING AND SIGNED BY
HONEYWELL’S AUTHORIZED REPRESENTATIVE.
IN NO EVENT SHALL HONEYWELL BE LIABLE FOR SPECIAL, INDIRECT,
INCIDENTAL OR CONSEQUENTIAL DAMAGES UNDER THIS WARRANTY EVEN IF
ADVISED OF THE POSSIBILITY OF SUCH DAMAGES INCLUDING, WITHOUT
LIMITATION, INTERRUPTION OF BUSINESS, LOSS OF PROFITS, OR LOSS OF
USE. THE EXCLUSION OF INCIDENTAL AND CONSEQUEN-TIAL DAMAGES AS
SET FORTH IN THE WARRANTY PROVIDED BY HONEYWELL SHALL BE DEEMED
INDEPENDENT OF, AND SHALL SURVIVE, ANY FAILURE OF THE ESSENTIAL
PURPOSE OF ANY LIMITED REMEDY UNDER THE TERMS OF SUCH WARRANTY.

26 Service Life Guarantee

If after the date of delivery of the Aircraft any defect or material breakage related to
fatigue (the "Structural Defect") occurs in the primary structure of the Aircraft (the
“Primary Structure”, as defined below), while the relevant Aircraft is operated under
normal flight operating conditions (as specified in the approved Aircraft Flight Manual or
other applicable approved technical publications); then Embraer, subject to the
provisions set forth below, shall provide at no charge to Buyer a design remedy and a
corrective modification kit or replacement item (as determined by Embraer in its sole
discretion) for such Structural Defects within 120 months or 10,000 FH, whichever
occurs first.
1. The Primary Structure for the purpose of this Service Life Guarantee shall have
the following assemblies:
a) Fuselage
b) Wings, excluding the flight control surfaces
c) Pylon
d) Empennage, excluding flight controls surfaces
2. Embraer shall not have any obligation to Buyer under this Service Life Guarantee
to the extent that the Structural Defect results directly and primarily from:
a) Buyer failing to maintain, inspect or operate the Aircraft substantially as
required by applicable maintenance manuals as amended from time to time or
in accordance with the applicable airworthiness regulation then in force and
the most recently updated Air Authority approved Operations and Aircraft
Flight Manual.
b) Buyer operating the Aircraft in a manner which differs in any significant
respect from normal business jet corporate operations.
c) Structural Defects having been caused directly and primarily by accidental or
willful damage to the Aircraft, use of parts or repairs not approved by Embraer,
hard landings as defined in the Buyer’s Maintenance Program, violent evasive
action or similar abnormal use of the Aircraft.
d) Buyer not having adequately trained personnel in structural inspection and
detection techniques in Aircraft structures and components.

3. This Service Life Guarantee is applicable only to Structural Defects and shall not
extend to any component in any structural item incorporated in the Aircraft if such
components are stated in Embraer’s Technical Publications to have a safe life of
less than ten thousand (10,000) flight hours or ten (10) years, and is subject to
written notification having been given to Embraer by Buyer of any claim hereunder
within fifteen (15) working days of the determination by Buyer that said Structural
Defects exists.

4. TO THE EXTENT PERMITED BY LAW, THE GUARANTEES, OBLIGATIONS


AND LIABILITIES OF EMBRAER, AND REMEDIES OF BUYER SET FORTH IN
THIS AIRCRAFT SERVICE LIFE GUARANTEE ARE EXCLUSIVE AND IN
SUBSTITUTION FOR, AND BUYER HEREBY WAIVES, RELEASES AND
RENOUNCES, ALL OTHER RIGHTS, CLAIMS, DAMAGES AND REMEDIES OF
BUYER AGAINST EMBRAER OR ANY ASSIGNEE OF EMBRAER, EXPRESS
OR IMPLIED, ARISING BY LAW OR OTHERWISE, SOLELY WITH RESPECT TO
ANY GUARANTEED LEVEL OF AIRCRAFT SERVICE LIFE.

5. The terms and conditions of this Service Life Guarantee do not alter, modify or
impair, in any way, the terms and conditions of Embraer’s standard AIRCRAFT
LIMITED WARRANTY CERTIFICATE contained in this TD.

This Service Life Guarantee is established only between Embraer and Buyer, as first
Buyer, and it may not be assigned without the prior written consent of Embraer, which
consent not to be unreasonable witheld or delayed.

27 Intellectual Property Indemnification

27.1 Claims Against Buyer. Subject to the limitations and conditions set forth herein,
including, without limitation Article 27.2, Embraer shall indemnify Buyer with respect to
all claims, lawsuits, and liabilities based upon or arising from any suit, action,
proceeding, or allegation that:
(a) Any product or service purchased from or supplied by Embraer hereunder or any
portion thereof (collectively, for the purposes of this Article 27, "Item") and/or the use or
operation thereof constitutes an alleged or actual infringement of any granted or
registered United States or foreign patent ("Patent Claim"), provided that from the time
of design of such Item and until such Patent Claim is resolved, each of the country in
which the relevant patent is held and the flag country of the Aircraft is a party to (1) the
Paris Convention for the Protection of Industrial Property as amended and (2) Article 27
of the Chicago Convention on International Civil Aviation of December 7, 1944, or
(b) Aircraft software and accompanying documentation and manuals (collectively, for
purposes of this Article 27, “Software”), or any part of such Aircraft Software furnished
by Embraer, constitutes an alleged or actual infringement of any United States or
foreign copyright rights or misappropriates any third party trade secret right under U.S.
law or other foreign law ("Copyright Claim"), provided that from the time of design of
such Software and until such Copyright Claim is resolved, each of the country in which
the infringement claim is made and the flag country of the Aircraft is a member of the
Berne Convention for the Protection of Literary and Artistic Works as amended and both
countries recognize Software as a “work” under the Berne Convention.
27.1.1 Embraer’s indemnification provided in this Article 27 shall not apply to Buyer
furnished or installed equipment, Items or Software not installed, used or maintained in
accordance with all instructions and procedures of Embraer (as may be modified by

Embraer from time-to-time), any Buyer-furnished or requested designs or any Buyer


modification of any Item or Software.
27.2 Limitations and Conditions. Buyer shall give prompt written notice to Embraer of
the receipt of a notice of a suit or action against Buyer alleging a Patent Claim or
Copyright Claim covered by this Article 27 or of a written notice alleging a Patent Claim
or Copyright Claim covered by this Article 27, whichever occurs earlier. Failure to notify
Embraer as provided herein shall relieve Embraer of liability that it may have to Buyer to
the extent that the defense of any such Patent Claim or Copyright Claim is prejudiced
thereby.
At all times, Embraer shall have the right, at its option and expense, to negotiate with
any party alleging a Patent Claim or Copyright Claim, assume or control the defense to
any allegation of a Patent Claim or Copyright Claim, including without limitation, the
right to bring a declaratory judgment or similar action, intervene in any action involving a
Patent Claim or Copyright Claim, and/or attempt to resolve a Patent Claim or Copyright
Claim by replacing or modifying an Item or Software.
Buyer shall promptly furnish to Embraer all information, documents, records, and
assistance within Buyer’s possession, custody or control as requested by Embraer that
Embraer considers potentially relevant or material to any allegation covered by this
Article 27. Buyer shall co-operate with Embraer and shall, upon Embraer’s reasonable
request and at Embraer’s expense, arrange for the attendance of representatives of
Buyer at depositions, hearings, trials, and the like, and assist in effecting settlements,
securing and giving evidence, obtaining the attendance of witnesses and in the conduct
of any suits or actions covered by this Article 27.
Buyer shall obtain Embraer’s written approval prior to paying, agreeing to pay,
assuming any obligation or making any material concession relative to any Patent Claim
or Copyright Claim.
Embraer shall assume and pay any and all judgments and all costs assessed against
Buyer in a final non-appeallable judgment of any suit or action, and Embraer will make
all payments in settlement imposed upon or incurred by Buyer with Embraer’s prior
approval, and Embraer shall also reimburse Buyer for all reasonable expenses
(excluding, expressly, internal legal fees and internal technical and engineering fees)
incurred by Buyer as a result of such suit or action. If in a final non-appeallable
judgment, Embraer is considered not liable for the alleged infringement due to the
situations described in Article 27.1.1 above, Buyer shall reimburse Embraer for any and
all costs and expenses incurred by Embraer as a result of such suit or action (excluding,
expressly, internal legal fees and internal technical and engineering fees).
EMBRAER SHALL HAVE NO OBLIGATION OR LIABILITY UNDER THIS ARTICLE 27
FOR ANY LOSS OF USE, REVENUE OR PROFIT, OR FOR ANY OTHER
INCIDENTAL OR CONSEQUENTIAL DAMAGES. THE OBLIGATIONS AND
REMEDIES OF BUYER SET FORTH IN THIS ARTICLE 27 ARE EXCLUSIVE AND IN
SUBSTITUTION FOR, AND BUYER HEREBY WAIVES, RELEASES AND
RENOUNCES, ALL OTHER INDEMNITIES, OBLIGATIONS AND LIABILITES OF
EMBRAER AND ALL OTHER RIGHTS, CLAIMS AND REMEDIES OF BUYER

AGAINST EMBRAER, EITHER EXPRESS OR IMPLIED, ARISING BY LAW OR


OTHERWISE, WITH RESPECT TO ANY ACTUAL OR ALLEGED INFRINGEMENT OF
ANY INTELLECTUAL PROPERTY RIGHT BY ANY PRODUCT OR SERVICE
PROVIDED UNDER THIS AGREEMENT.

28 Technical Publications

Embraer shall supply, at no additional charge to Buyer, in the English language, one (1)
complete set of operational and maintenance manuals and publications in electronic
format (CD-ROM or DVD or WEB, as available and at Embraer's discretion) and an
additional hard copy of some operational manuals according to the operational
requirements on board of each Aircraft. Such publications are to be issued under the
applicable specification. The revision service for these publications, including mailing
services (except for air cargo shipping) and the software license for the CD ROM, if
applicable, shall be provided, at no additional charge for the first year after the delivery
of each copy and subsequently at a nominal fee. After such period, the mailing services
shall also be borne by Buyer. Such publications will be delivered together with the
Aircraft.
The Parties further understand and agree that in the event Buyer elects not to take all or
any one of the publications above mentioned, or revisions thereof, no refund or other
financial adjustment of the Aircraft price will be made.

29 Familiarization Program

29.1 Embraer will provide or have provided by Embraer’s designated training providers
(“TP”), per Aircraft, training for: (i) 2 (two) Buyer´s pilots aiming at type rating
certification, including a ground school course and simulator sessions in a level D full
flight simulator; (ii) 1 (one) flight attendant aiming at familiarization with Aircraft’s cabin;
(iii) 2 (two) mechanics, aiming at familiarization with Aircraft systems and/or structures
for line and base maintenance; by means of either (a) airframe & powerplant course or
(b) electrics & avionics course, at the option of Buyer, all such training to be provided in
accordance with EASA or FAA or CAAC regulations, as the case may be, and in
conformity with the syllabi of the training program developed by Embraer and/or TP (the
“Familiarization Program”).
29.2 Pilot(s), flight attendant(s) and mechanic(s) designated by Buyer to participate in
the Familiarization Program (“Trainee”) shall (i) be duly qualified and/or authorized by
the relevant Airworthiness Authority in the country of Buyer’s operation and, in the case
of pilots, as pilot in a twin-engined jet or turbo prop airplane and have previous
command experience; (ii) meet the minimum requirements described in the syllabi; (iii)
hold ICAO language proficiency level 4 in English; (iv) be cleared for and approved for
export control purposes, upon having been screened, against the against the U.S. and
other government list of restricted or prohibited persons, including, but not limited to:
U.S. Office of Foreign Assets Control list of Specially Designated Nationals and Blocked

Persons, BIS Unverified List, U.S. Directorate of Defense Trade Controls list of
Debarred Parties.
29.3 The Familiarization Program shall be provided at the designated training center as
Embraer and/or TP may reasonably determine.
29.4 The Familiarization Program shall commence and end prior to the Scheduled
Delivery Month of the relevant Aircraft, provided that booking and reservation thereof is
subject to: (i) Embraer’s or TP’s availability; and (ii) fulfillment of the following conditions
precedent:
29.4.1 commencent of the Familiarization Program shall occur no earlier than 90
(ninety) days prior to the Scheduled Delivery Month of the relevant Aircraft,
and shall be concluded by the twelve (12th) month following delivery of the
respective Aircraft;
29.4.2 request of training by Buyer must have been delivered in writing to
Embraer no less than 120 (one hundred twenty) days before Buyer´s
intended training commencement; and
29.4.3 delivery, by Buyer, of written notice to Embraer informing Trainees´ full
name, nationality(ies) and professional identification data no less than 75
(seventy five) days before Buyer´s intended training commencement, no
Trainees´ substitution permitted.
29.5 Buyer may request reschedule or cancellation of a Confirmed Training by
delivering written notice thereof to Embraer at least 60 (sixty) days prior to the date of
training commencement. Rescheduling shall be subject to provisions of Article 4, above.
29.6 Buyer shall be responsible for:
29.6.1 travel, board and lodging expenses of Buyer’s Trainees;
29.6.2 costs and expenses related to activities pertinent to the Familiarization
Program carried out of the location designated by Embraer or TP, including
without limitation, Embraer’s or TP’s personnel non-productive days, round
trip air fare tickets, local transportation (including necessary insurance
coverage), hotel accommodations (three stars minimum, breakfast
included), and a per diem rate;
29.6.3 compensation accruing against Embraer due to rescheduling or
cancellation of a Confirmed Training in non-compliance with Article 5;
29.6.4 preparation and submission of the relevant training program to the
Airworthiness Authority, and obtaining of such approval;
29.6.5 costs and expenses related to support from Embraer or TP related to (i)
customization and/or modification of the Familiarization Program and (ii)
development of Buyer´s own training program due to Airworthiness
Authority’s or Buyer’s request; and

29.6.6 familiarization of Embraer’s or TP’s instructors with Buyer’s training


program as may be customized by Buyer.
29.7 Per Aircraft training entitlements unused for up to 6 (six) months following the
Actual Delivery Date of such Aircraft shall expire and Buyer shall be deemed to have
fully waived its rights to such training, no refund or compensation being due by Embraer
to Buyer in such case.
29.8 Trainees shall be allowed exclusively to those areas permitted by Embraer and/or
TP and Buyer agrees to hold Embraer harmless from and against all and any kind of
liability in respect of such Trainees acts, omissions or behavior.
29.9 NEITHER EMBRAER NOR ITS TP WILL BE RESPONSIBLE FOR THE
COMPETENCY OF TRAINEES WHO MAY RECEIVE TRAINING PURSUANT TO THE
FAMILIARIZATION PROGRAM OR FOR THE OPERATION OR SERVICING OF ANY
AIRCRAFT BY TRAINEES AFTER COMPLETION OF SUCH FAMILIARIZATION
PROGRAM. EMBRAER AND/OR TP GIVE NO WARRANTY THAT ANY PERSON
RECEIVING TRAINING PURSUANT TO THE FAMILIARIZATION PROGRAM WILL
ACHIEVE THE NECESSARY PROFICIENCY TO QUALIFY FOR ANY LICENSE,
CERTIFICATE OR RATING ISSUED BY ANY REGULATORY AGENCY OR
GOVERNMENT AUTHORITY. EMBRAER AND/OR TP SHALL NOT BE
RESPONSIBLE FOR ANY MINIMUM LEVEL OF ASSIMILATION OF INFORMATION
PASSED ON TO TRAINEES DURING THE FAMILIARIZATION PROGRAM.

30 Embraer Maintenance Tracking

Buyer is entitled to receive maintenance tracking services exclusively through Embraer


Preferred Maintenance Tracking Provider, upon execution of a specific agreement by
such Provider and the Buyer at no additional charge to Buyer for one (1) year from the
date of the signature of such agreement.

The service is provided directly by CAMP Systems upon Embraer referral and currently
offers Internet-based software to manage aircraft maintenance tracking requirements
according to applicable regulations.

Services coverage, system features and functionalities available to Buyer shall be


presented directly by CAMP upon Buyer´s request. Buyer acknowledges that Embraer
will share with CAMP Buyer´s commercial data and aircraft delivery documentation to
allow CAMP contacting Buyer for start up procedures.

31 FlyEmbraer

Buyer will have access to the website Flyembraer.com or any other site equivalent or
substitute upon the execution of a license agreement by the Parties, at no additional
charge to Buyer for the first year after the delivery of the Aircraft and subsequently at a
nominal fee. The standard package of e-services provided through Flyembraer will
ease-up communication between customer facilities or service centers with Embraer for
supporting activities. It will also permit the access to the technical publications and
content related to flight operations.
