Bangladeshis interact with real estate with the utmost confidence.
From previous discussions between yourself and Bproperty.com Ltd, you have confirmed your acceptance
to work with Bproperty.com Ltd in order to sell your property, and this email / letter serves as a
Memorandum of Understanding between yourself and Bproperty.com Limited.
This Memorandum of Understanding (MOU) is made on ………………..and sets out the terms and
understanding between Bproperty.com Ltd and Mr/Ms...................................(Property Owner)

FINANCIAL TERMS:
1. The expected Selling Price of the property is agreed at BDT................payable by the buyer of the
Property to the aforementioned Property Owner, with the final price of the property to be
accepted by the Property Owner following negotiations with prospective buyers which
Bproperty.com Ltd will
facilitate.
2. The payment schedule for the price of the property will be decided by mutual understanding between
Bproperty.com Ltd, the Property Owner & the Buyer at the time of final negotiation.

3. The Marketing Fee of the property is agreed at BDT................Or … % of the selling price
included
in the Selling Price of the property, payable by the Property Owner to Bproperty.com Ltd after
receiving the full or final payment. The payment schedule of the Marketing Fee will be decided
by mutual understanding between Bproperty.com Ltd and the Property Owner at the time of
the final negotiation
4. The Property Owner is responsible to ensure that the property is well maintained at all times
and that Bproperty.com Ltd has access to the property at any time with concern with seller ,
within reasonable time frames, in order to show the property to prospective buyers

5. After TPA with buyer if The Seller fails ( due to legal issue or other issue) or disagrees to sell
The Property before Sale Permission is applied, The Buyer will get full refund of the paid
amount from The Seller also Seller had to pay BDT 1,00,000 (One Lac Taka) to Bproperty as
compensation within 7 (seven) working days of notification.

6. If The Seller fails/disagrees to sell The Property after Sale Permission is applied, The Buyer
will get full refund of the paid amount along with the Sale Permission from The Seller also
Seller had to pay BDT 1,00,000 (One Lac Taka) to Bproperty as compensation within
7(seven)working days of notification
7. The Property Owner ensures that the Property has no mortgages or outstanding loans attached
to it that will hinder the buying process and has full authority to make the transaction.

8. In any event where the Buyer and Property Owner who are initially introduced to each other
through Bproperty.com concludes the business transaction of the property sale and purchase
themselves without the consent or knowledge in writing of Bproperty.com, the Property
Owner will be liable on clause #3, under ‘Financial Terms’, The agreed Sum/Percentage shall be
paid to Bproperty.com Ltd. of the final sales price of the property.

The Seller ensures that all following legal documents related to the property are up to date
and available for vetting if Bproperty.com Ltd and/or a prospective buyer wishes to verify:
 Title Deed(s) of the current owner(s) [along with S.R.O. token if the deed is a certified one].
 DCR, Mutation Proposal Letter, Mutation Khatian and up-to-date Land Development Tax
Receipt as per the latest final record of rights, in the name of the current owner(s).
 All relevant Bia Deed (s) and Deed of Power of Attorney [where applicable].
 All relevant Khatian(s) [where applicable].
 Succession Certificate [where applicable].
 Up-to-date Holding Tax Payment Receipt, in the name of the owner(s). [where applicable]
 Building construction permission from RAJUK or from the relevant authority of the
property along with lay-out plan. [where applicable]

 Allotment letter and all other permission letter(s) if the property is a leasehold property from
RAJUK/Ministry of Housing and Public Works/National Housing Authority.
 Non-Encumbrance Certificate of the property

RESPONSIBILITIES OF BPROPERTY.COM LTD.:

1. Bproperty.com Ltd will work with you as the Property Owner to ensure that your property is
in the best position to sell, which will include a review of all property documentation. In the
event that property documentation is missing, Bproperty.com Ltd’s in house legal team will
work with the Property Owner to obtain the necessary documents

2. Bproperty.com Ltd will advise the Property Owner in respect of the right price within which
to sell the property, ensuring that the objectives of the Property Owner are maintained.

3. Bproperty.com Ltd is responsible to engage its marketing, content publishing, call center,
photography and sales resources on behalf of all parties. This process will continue as long as
the property is not sold or the validity of this MOU expires.

4. Bproperty.com Ltd will deal with negotiations between the Property Owner and the
prospective buyer so as to ensure that objectives are achieved and the best deal possible
is obtained for the Property Owner

5. Bproperty.com Ltd will prepare the required agreements to confirm the sales transaction of
the
property once agreed by the Buyer and the Property Owner. We look forward to working
together.
