AGREEMENT
THIS END USER LICENSE AGREEMENT (THIS “AGREEMENT”) IS A LEGAL AGREEMENT BETWEEN YOU
(EITHER AN INDIVIDUAL OR AN ENTITY) ("YOU") AND ONVIF FOR THE SOFTWARE.
BY INSTALLING, COPYING OR OTHERWISE USING THE SOFTWARE, YOU AGREE TO BE BOUND BY THE
TERMS OF THIS AGREEMENT. IF YOU DO NOT AGREE TO THE TERMS OF THIS AGREEMENT, YOU MAY
NOT DOWNLOAD, ACCESS, INSTALL, OR USE THE SOFTWARE.
1. GRANT OF LICENSE. ONVIF grants to you, as ONVIF Member, the right to use the SOFTWARE solely for
the purpose of assessing the conformance of your product(s) with the ONVIF specifications. The
SOFTWARE is in "use" on a computer when it is loaded into temporary memory (i.e. RAM) or installed
into permanent memory (e.g. hard disk, CD-ROM or other storage device) of that computer.
2. COPYRIGHT. Ownership of and all intellectual property rights in the SOFTWARE vest exclusively with
ONVIF and/or its licensor(s), if any, and is protected by copyright laws and international treaty
provisions. Therefore you must treat the SOFTWARE like any other copyrighted material (e.g. a book or a
musical recording) except that you may either (a) make a copy of the SOFTWARE solely for backup or
archival purposes or (b) transfer the SOFTWARE to a single hard disk provided you keep the original
solely for backup purposes. ONVIF reserves all rights not expressly granted to you by this Agreement.
3. RESTRICTIONS. You are responsible for all activities you undertake with respect to the SOFTWARE.
Without limiting the foregoing, you may not:
a) use, copy or transfer the SOFTWARE other than as permitted by this Agreement and in
accordance with all applicable laws and regulations;
b) use the SOFTWARE to commit or attempt to commit a crime or facilitate the commission of any
crime or other illegal or tortuous acts, including any breach of privacy or infringement, violation or
misappropriation of any intellectual property rights and/or other proprietary rights of any third party;
c) sell, lease, rent, loan, license, sublicense, redistribute, encumber or otherwise deal with any
portion of the SOFTWARE or otherwise permit anyone other than you either directly or indirectly, for
payment or otherwise, to use the SOFTWARE;
d) not alter, modify, adapt, translate, deface, decompile, disassemble or reverse engineer the
SOFTWARE or otherwise attempt to derive the source code from the SOFTWARE, unless and to the
minimum extent permitted under mandatory law;
e) create any derivative software or any other software program from the SOFTWARE;
f) provide, disclose, divulge or make available to, or permit use of the SOFTWARE by persons other
than your employees and authorized consultants.
You shall at all times supervise and control that use of the SOFTWARE is made in accordance with the
terms of this Agreement.
4. THIRD PARTY SOFTWARE. The SOFTWARE may contain third party software, which requires notices
and/or additional terms and conditions. Such required third party software notices and/or additional
terms and conditions are located in the readme file or other product documentation. By accepting this
Agreement, you are also accepting the additional terms and conditions, if any, set forth therein.
5. TERMINATION. This Agreement and the license granted herein is effective until terminated. Your
rights under this Agreement will terminate automatically without notice from ONVIF if you fail to comply
with any of the terms of this Agreement. Upon the termination of this Agreement, you shall cease all use
of the SOFTWARE and destroy all copies, full or partial, of the SOFTWARE.
6. GOVERNING LAW. This agreement shall be deemed performed in and shall be construed by the laws
of Switzerland.
7. DISCLAIMER. THE SOFTWARE IS DELIVERED “AS IS” WITHOUT WARRANTY OF ANY KIND. THE ENTIRE
RISK AS TO THE RESULTS AND PERFORMANCE OF THE SOFTWARE IS ASSUMED BY YOU. ONVIF
DISCLAIMS ALL WARRANTIES, WHETHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO, THE
IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE AND NON-
INFRINGEMENT, OR ANY WARRANTY ARISING OUT OF ANY PROPOSAL, SPECIFICATION OR SAMPLE WITH
RESPECT TO THE SOFTWARE. NO WARRANTY IS MADE REGARDING THE RESULTS OF THE SOFTWARE OR
THAT THE USE OF THE SOFTWARE WILL BE UNINTERRUPTED, BUG FREE OR THAT ANY ERRORS OR
DEFECTS IN THE SOFTWARE WILL BE CORRECTED, OR THAT THE SOFTWARE’S FUNCTIONALITY WILL
MEET YOUR REQUIREMENTS.
8. LIMITATION OF LIABILITY. ONVIF SHALL NOT BE LIABLE TO YOU OR TO ANY OTHER PARTY FOR ANY
LOSS OR DAMAGE WHATSOEVER OR HOWSOEVER CAUSED ARISING DIRECTLY OR INDIRECTLY IN
CONNECTION WITH THIS AGREEMENT, THE SOFTWARE, THE USE THEREOF OR OTHERWISE, EXCEPT TO
THE EXTENT THAT SUCH LIABILITY MAY NOT BE LAWFULLY EXCLUDED UNDER THE APPLICABLE LAW.
NOTWITHSTANDING THE GENERALITY OF THE FOREGOING, ONVIF AND/OR ITS LICENSOR(S) SHALL NOT
BE LIABLE FOR LOSS OF DATA, LOSS OF PRODUCTION, LOSS OF PROFIT, LOSS OF USE, LOSS OF
CONTRACTS OR FOR ANY OTHER CONSEQUENTIAL, ECONOMIC OR INDIRECT LOSS WHATSOEVER WHICH
MAY ARISE IN RESPECT OF THE SOFTWARE, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. IN
THE EVENT ONVIF INCURS ANY LIABILITY WHATSOEVER, SUCH LIABILITY IS LIMITED TO THE PRICE PAID
FOR THE SOFTWARE.
