A. COURSE DESCRIPTION:
A study of the laws and jurisprudence governing negotiable instruments. These include the
Negotiable Instruments Law and other special laws as well decisions of the Supreme Court and
rules issued by the administrative agencies like the Bangko Sentral ng Pilipinas (BSP). There
will be an examination and analyses of the applicable law and commercial principles underlying
negotiable instruments and other related commercial documents. The students will understand
not only the reason for and importance of negotiable instruments and other commercial
documents and the regulatory framework that applies thereto but also how these instruments and
documents can be effective tools in business.
In addition, the course includes a study of the rules on insolvency including the laws and
jurisprudence on rehabilitation, suspension of payment and liquidation. This also includes a
study of the statutory rules and jurisprudence on distribution of assets. The laws and rules that
will be examined include the Financial Rehabilitation and Insolvency Act (FRIA) of 2010, The
Financial Rehabilitation Rules of Procedure (2013), The Financial Liquidation and Suspension
of Payment Rules of Procedure for Insolvent Debtors (2015) and the New Civil Code provisions
on Concurrence and Preference of Credits.

E. LEARNING PLAN:

(2) Cases. The students who are part of the class are required to read the cases specified
below. Students should focus on identifying the rule of law or doctrinal precepts, their
application to the facts, exploring the extent or limit of or exceptions to its application
and synthesizing the rule or doctrine into an integrated or coherent framework.

2018 Ed. (Rex Bookstore) (referred to below as Aquino, NIL 2018)

COURSE DESCRIPTION: A study of the rules on insolvency including the laws and
jurisprudence on rehabilitation, suspension of payment and liquidation. This also includes a
study of the statutory rules and jurisprudence on distribution of assets. The laws and rules that
will be examined include the Financial Rehabilitation and Insolvency Act (FRIA) of 2010, The
Financial Rehilitation Rules of Procedure (2013), The Financial Liquidation and Suspension of
Payment Rules of Procedure for Insolvent Debtors (2015) and the New Civil Code provisions on
Concurrence and Preference of Credits.
