1 Course Objectives:

The purpose of this course is to provide to the students the basic information about
the Company Law Tribunals – National and Appellate, the concepts of
restructuring and takeovers and mergers, Winding up and dissolution of Company.
This paper also deals with the concept of Partnership and Limited Liability
Partnerships.

2 Prerequisites: Nil
 
3 Course Learning Outcomes:
The student will be able to -
1. Understand the constitution, power and functions of the Tribunal – National and
Appellate and the procedure for applying.
2. Analyze the concept of Mergers and acquisitions and the procedure thereof.
3. Apply and examine the difference between winding up and dissolution and the methods of
winding up.
4. Evaluate the concept of Partnership and Limited Liability partnership in the present day
scenario.

Course Contents / Syllabus:

4 Module I Company Tribunals 25% Weightage


 Companies Act 2013: National Company Law Tribunal & Appellate
Tribunal; composition,
 qualifications for chair & members,
 delegation of powers; resignation; removal and appeal;
 other related matters; leading cases
5 Module II Restructuring and Take over 25% Weightage
 Companies Act 2013: restructuring, merger; acquisitions; take over;
 Compromise & arrangements; purchase of minority shares;
 Majority rule,
 Oppression; mismanagement; leading cases
6 Module III Winding Up of Companies 25% Weightage

 Companies Act 2013: winding up, dissolution and their modes; members and
creditors’ rights; processes & procedures;
 official liquidators, their powers & functions;
 other related matters; leading cases.
7 Module IV Partnership & Limited Liability Partnerships 25% Weightage

 Partnership Act 1932 as amended up to date


 Limited Liability Partnership Act 2008: history, objects; thorough study of
all provisions;
 Leading cases decided under both Acts.
10 Pedagogy for Course Delivery:

The course will be delivered through Lecture, using examples and case laws.
