    DEED OF ASSIGNMENT

    KNOW ALL MEN BY THESE PRESENTS:

    This Deed of Assignment made and entered into this ____ day
    of _____________ 2020 at _______________ City, by:

    ABCD, of legal age, Filipino, and residing at


    ______________________________ City (hereinafter referred
    to as the “ASSIGNOR”);

    -in favor of-

    EFGH, of legal age, Filipino, and a resident of


    _________________________________ City (hereinafter
    referred to as the “ASSIGNEE”)

    WITNESSETH: That-

    WHEREAS, the ASSIGNOR is the proprietress of ABCD


    Builders, a single proprietorship with a PCAB license;

    WHEREAS, ABCD has a Contract Agreement dated August 28,


    2020 with the LGU of Misamis Oriental for the Construction of
    Communal Toilet and Washing Area (3 units) amounting to One
    Million Pesos (Php 1,000,000.00), herein attached as Annex “A”;

    WHEREAS, the ASSIGNEE is the proprietress of EFGH


    Builders, a single proprietorship with a PCAB license;

    WHEREAS, the ASSIGNOR is unable to comply with her


    obligations under the aforesaid Contracts with the LGU due to the
    lack of manpower and unforeseen financial difficulties;

    WHEREAS, the ASSIGNOR has offered to assign all her rights,


    interests, and obligations under the aforesaid Contract Agreements
    and the ASSIGNEE hereby accepts the assignment;

    NOW THEREFORE, for and in consideration of the foregoing


    premises, the ASSIGNOR hereby assigns, transfers and conveys
    unto the ASSIGNEE, all her rights, interests, and obligations under
    the aforesaid Contract Agreements subject to the terms and
    conditions hereinafter set forth:

    1. The Contract Agreements will remain to be between
    ABCD and the LGU;

    2. The ASSIGNEE hereby assumes any and all of herein


    ASSIGNORS obligations and undertakings as laid out by
    the Contract Agreements;

    3. Any and all receivables of the ASSIGNOR from the LGU,


    including any monetary entitlements, shall now be
    assigned to herein ASSIGNEE;

    4. The ASSIGNOR irrevocably constitutes, name and


    appoint the ASSIGNEE as her true and lawful attorney-
    in-fact to represent ABCD Builders with regards to any
    matters covered by the Contract Agreements and to
    collect and receive payment from the LGU;

    5. This Deed of Assignment shall subsist until the


    fulfillment of all the obligations under the Contract
    Agreements;

    6. This Deed of Assignment shall be binding upon the


    ASSIGNOR and ASSIGNEE’s heirs, executors,
    administrators, and other successors-in-interest.

    IN WITNESS WHEREOF, the parties have hereunto set their


    hands this ____ day of _____________ 2020.
