Notes : 1) All Figures in Rs. are rounded off to the nearest Rupee. 2) Please refer to the covering letter for finalisation of
our quotation. 3) Commercial Terms & Conditions is enclosed herewith.
All above prices are Ex-Works exclusive of Packing & Forwarding, GST as well as any other taxes,
levies & duties will be extra as applicable at the time of despatch.
Delivery : Pump(s) with accessories will be kept ready for despatch ex-works in 16 weeks from the date of receipt of drawing
approval, clear order with advance. Time for your inspection, if involved, will be added to our delivery time after discussions.
In case, if you ask for any specific brand for any bought out items like electric motor, mechanical seal, control panel, bearing,cable etc., the
responsibility of the delivery and price for that particular make lies with you. In such case, Liquidated Damages (LD charges) or any charges of similar
nature shall not be applicable and shall not be accepted for delay in dispatch of the Product and the price implications of such specific brand will be to
your account.
As per the Company’s policy, the physical dispatch and Tax Invoice may take a period of up to fifteen working days, after your full commercial
clearance as per the mutually agreed terms, depending on over all quality plan and number of products in the consignment.
Payment Terms :
1.,10% advance alongwith purchase order / Letter of intent.
2.,20% advance alongwith manufacturing clearance / drawing approval.
3.,70% against despatch documents through bank / against proforma invoice prior to dispatch.
GST will be charged extra during all payment including advance payment.

1. PRICE BASIS : Price quoted is Unit Price Ex-Works, exclusive of packing & forwarding, taxes, duties, levies, freight, insurance etc.
2.DESPATCH BASIS : Ex-Works - The goods will be duly packed and kept ready for despatch Ex-works.
3.COLLECTION BASIS : The Customer may take delivery of goods from our works after completing the necessary commercial transactions.
4.PACKING & FORWARDING CHARGES : Extra as mentioned in the price & delivery schedule. If not mentioned, packing & forwarding will be
charged extra @ 3% of the total order value.
6.1.GST : GST will be charged extra at actuals as applicable at the time of delivery .
Present rate is as under :-
For dispatches within Maharashtra :

9 % SGST and 9 % CGST ( For pump, accessories, spare and control panel / pump monitor / junction panel / cable)
For dispatches outside Maharashtra :

18 % IGST (For pump, accessories, spare and control panel / pump monitor / junction panel / cable)
7.INSURANCE : Insurance shall be arranged by the Customer, and shall be to the Customer`s account. Fax / Email intimation for arranging insurance
shall be given by us on despatch of the consignment from our works.
8.FREIGHT : Freight shall be arranged by the Customer, and shall be to the Customer`s account.
10.PAYMENT : The payment terms will be as mentioned in the price & delivery schedule. The direct payments to us shall be accepted by bank draft
only, payable at Pune on any nationalised bank. Advance may be accepted by cheque, receivable in Pune At Par within 7 days from the date of
Order. Your bank charges will be to your account. Our bank charges will be to our account.
11.DELIVERY TIME : The approximate delivery time will be as mentioned in the price & delivery schedule. The delivery time is counted from the date
of receipt of techno-commercially clear Purchase Order of the Customer and advance as per our Order Receipt Note (ORN). The delivery time shall
be deemed to be completed on despatch of our Goods Readiness Note (GRN) to the Customer. The goods shall be kept ready for despatch at our
works, forwarded to our transporter`s godown or despatched directly to the destination confirmed by Customer depending on the mutually accepted
despatch basis and payment terms.
The delivery period indicated in our Quotation is based on current shop load and will be subject to reconfirmation based on the shop load at the time
of receipt of the Customer order. The delivery so confirmed shall be in good faith and every attempt will be made to maintain the same subject to force
majeure conditions mentioned below. We do not accept any liquidated damages or penalty clause.
Force Majeure shall mean that KISHOR shall not be liable for failure or delay in the supply and / or performance and / or fulfilments of its obligations
under this contract for the period when such failure or delay is due to circumstances or event beyond their control and which prevent or impede due
performance of the contract. Thus, the delivery may be delayed or prevented due to Acts of God, fire, earthquake, war, civil commotion, government
ordinances, import / export regulations, strikes, lockouts, trade disputes, difficulties in obtaining materials, power shortage, accidents, denial of use of
any railway, port, airport, shipping services or other means of transport, epidemics, pandemics, invocation of the Disaster Management Act 2005 by
Government of India for any reason whatsoever, or any other causes not specifically mentioned whatsoever which are absolutely beyond the
manufacturer`s reasonable control.
In such cases, suitable extension in the date of delivery shall be granted by the Customer. We shall intimate within 10 ( Ten ) working days by way of
email about the invocation of force majeure condition from the date of the force majeure event. We may claim relief, if execution and / or performance
of our obligations to the other party are delayed, impeded or prevented by force majeure circumstances.
Penalty clause, liquidated damage (LD) clause, price reduction clause, if mentioned in the Purchase Order / Contract will not be applicable in such
cases.
13. Warranty: Standard Warranty Clause (Terms and Conditions) of KISHOR PUMPS Pvt. Ltd.
Warranty is given by KISHOR PUMPS Pvt. Ltd. for the KISHOR branded products only, if it is put to use at the Customer or End user site and is
facing trouble in operation. Such a product of KISHOR PUMPS is referred to as the Product in this Warranty Clause. KISHOR PUMPS warrants that
to the best of its knowledge, the Product is free from defects caused by faulty design, materials or workmanship.
The Warranty will be covered by KISHOR PUMPS for the Product, as supplied by KISHOR PUMPS, for Twelve (12) months from the date of invoice
from KISHOR PUMPS Plant (hereinafter termed as the Warranty Period) only against manufacturing defects (based on acceptance by KISHOR
PUMPS with its reasonable discretion and at its opinion) in parts of the Product with respect to its chemical composition, dimensional conformity or
workmanship only. Performance problems, not out of defective parts, are not covered by the Warrantee, since the selection of the duty conditions and

operating conditions are totally the responsibility and liability of the Customer / User. Replacement or repairs of such defective parts, if required, will
be made free of cost ex-KISHOR PUMPS’ works subject to the below mentioned conditions:
1. Warranty is valid only when it is evident that the Products are consistently operated at the desired duty conditions and duty parameters (like flow,
head, temperature, specific gravity, viscosity, solid size, solids consistency, tank liquid levels) as mentioned in the Technical Data Sheet of our Order
Acceptance Note. Performance log of operating conditions and event records shall be provided for Warranty claims without which Warranty claims
shall not be valid. Warranty shall be void if the Products are operated at conditions or liquid conditions other than those mentioned in our Order
Acceptance Note.
2. In case of Customer / User and / or third party inspection, Product performance as per the Customer requirements and as committed by KISHOR
shall be shown at KISHOR PUMPS’ factory test bed. In such cases, Warranty claims arising from actual site performance shall not be valid.
3. Warranty is valid only if the installation & commissioning of the products is done as per instructions given by KISHOR User Guide.
4. Warranty is applicable for new products only. Warranty is not applicable for the repaired products or repaired parts.
5. Natural and operational wear & tear, or wear & tear due to corrosive / erosive action of liquid or environment, on material of construction / coating /
lining is not covered by the Warranty.
6. Painting and packing is not covered by the Warranty. Lamps, Fuses, Glass parts, Packing, Painting, Coating, Physical damage to Cables, Control
Panels are also excluded from Warranty.
7. The cost of removal, transport, disassembly and reinstallation of the Product or its defective part is excluded from this warranty.
8. For Special coatings and linings on Product parts like epoxy coating, glass lining or rubber lining, the Warranty is valid only for six (6) months from
the date of dispatch from KISHOR PUMPS works.
9. Warranty does not cover defects in Product caused by accident, lightning, water, fire, other acts of God, improper handling, tampering, excessive
shocks or any external cause beyond KISHOR control
KISHOR PUMPS’ total liability of whatsoever nature, arising out of its products in the Warranty period, is restricted to the ex-KISHOR PUMPS price of
the defective parts only. KISHOR PUMPS, under no circumstances, is liable for economic loss, or production loss, or consequential or indirect
damages of any kind suffered by the Customer / User, including but not limited to, loss of profit, loss of contract or any other type of loss. No liability,
of whatsoever nature, will lie with KISHOR PUMPS after the Warranty period is over. Any repair service required at the KISHOR PUMPS’ works will
be considered only if the Product is brought to KISHOR PUMPS’ works, from where the Product was delivered, at the cost and consequences of the
Customer / User. This is the sole and exclusive Warranty given by KISHOR PUMPS with respect to the Product. There are no other Warranties
express or implied, arising by operation of law or otherwise, including, but not limited to, any implied warranties of merchantability or fitness for a
particular purpose. All disputes are Subject to Pune, INDIA jurisdiction only.
Any visit charges of KISHOR PUMPS’ authorized service person for site service will be chargeable to the Customer / User. In case of such
chargeable visit of Service person from KISHOR PUMPS at Customer / User site, to attend the Product under Warranty then the Customer / User
shall provide all required tools / tackles / lifting equipment / cranes / electricity / water / skilled or unskilled manpower / water / all types of consumables
/ instrumentation and also shall provide necessary help in diligently and promptly for any work / trials / tests required to be carried out on the Product
under Warranty.
Warranty shall not be valid for below :
1. The full and timely payment has not been received against supply of Product.
2. The Product is not properly stored, transported, handled, installed, commissioned, used, maintained or serviced as mentioned in the user guide.
3. Electrical inputs like voltage and harmonics to the Product are not controlled within limits.
4. Protective electrical, mechanical parts and circuits are by-passed, not used or not properly maintained or not set at the correct setting as
recommended by KISHOR PUMPS.
5. The Product frequently restarted without taking proper corrective action for rectification of the cause of tripping / alarm / malfunction.
6. The product is handled or repaired by a person not authorised by KISHOR PUMPS for Servicing. Past authorisation of a person / agency will not be
considered for the applicability of Warranty.
7. Original spare parts of KISHOR make and supplied by KISHOR PUMPS are not used in the Product.
8. Plant records or log data is either not provided or indicates defaults in use, or if the Planned / Preventive Maintenance / Service is not carried out as
per Schedule given by KISHOR PUMPS in the USER GUIDE.
9. The Product is deteriorated or damaged due to improper process, poor quality accessories, improper foundation, improper pipelines or accidents.
10. The nameplate or traceability mark on the part of the product is tampered with or not legible.
11. Parts of other KISHOR PUMPS Products are used in the Product.
12. The Product defects are due to faulty civil engineering works and extreme atmospheric conditions, chemical, electrochemical and other natural
influences
13. The protections provided in the Product and its protection relays are not connected for the electrical tripping circuit to protect the Product from
damage.
14.VALIDITY : The validity of our Quotation is 30 days from the date of Quotation unless the covering letter of the Quotation confirms otherwise.
Beyond the validity, our Quotation is subject to extension of validity by us in writing.
The prices and delivery period confirmed by us are based on the assumption that the manufacturing clearance alongwith advance payment will be
received within reasonable period of thirty (30) days from the date of submission of the technical documentation. In case, this procedure is delayed
beyond thirty (30) days, we reserve the right to review the prices and delivery period and request the amendment since, raw material costs and
availability may have changed.
15.SCOPE OF SUPPLY : Our scope of supply will be limited to the Pumps, Spares, Accessories or Services quoted by us.
16.JURISDICTION : Subject to Pune Jurisdiction Only.
17. STATUTORY / REGULATORY REQUIREMENT : NOT APPLICABLE
18. LIABILITY : - KISHOR's total liability, of whatsoever nature, arising out of its product in the Warrantee Period, is restricted to Ex-works price of the
product only, as paid by the customer. No liability, of whatsoever nature, will lie with KISHOR after the Warrantee Period.
19. SERVICE : - We have not included service cost for any reason outside India, whether during or after the Warrantee period. If you require the same
at any point of time, we shall be pleased to quote separately.
20. CANCELLATION / NON LIFTING OF GOODS: Order Once placed can not be cancelled without the express consent of KISHOR and without
indemnifying KISHOR against any consequential loss. In case of cancellation, KISHOR reserves the right to forfeit the advance against the order and
charge the BUYER for consequential loss.
The ready goods have to be cleared against due payment within two months from the date of readiness of goods. In case ready manufactured goods
are not cleared with due payment within two months from the date of readiness of the goods as informed by KISHOR, KISHOR reserves the right to
forfeit the advance against the order and charge the BUYER for consequential loss, and divert the goods for any other order. BUYER shall not have
any claim of ownership on such goods.
21. ACCEPTANCE : - The Purchase Order will be accepted by KISHOR on the basis of KISHOR‘s valid Quotation. However, the delivery time will be
subject to confirmation, depending on the shop load at the time of the receipt of the Purchase Order. The delivery time quoted in the offer is not

automatically binding on KISHOR but the one in KISHOR’s Order Acceptance would be.
22.Performance Bank Guarantee: The Performance Bank Guarantee ( PBG) issued by our banker M/s Saraswat Co-operative Bank Limited will be
submitted for covering the basic order value of pumps only, which means the PBG will be exclusive of the basic order value of spares, accessories
etc. Such PBG will be submitted wherever it has been decided and agreed upon.
