Hereinafter referred to as the "Commitment Party"

WHEREAS:
(1) Commitment Party is cooperating or intends to cooperate with TAMUZ VENTURES Pte.
Ltd. (the “Company”)
(2) The Company may disclose certain Confidential Information to the Commitment Party.
Therefore, the Commitment Party agrees as follows:
1. PURPOSE OF THIS AGREEMENT
By this Agreement, the Commitment Party undertakes to keep all the Company's
Confidential Information strictly confidential, and only disclose to the third parties
within the necessary information to complete Commitment Party’s obligations. The
necessary information must be reviewed and approved by the Company before
disclosing to the third parties.
2. DEFINITION
2.1 "Confidential Information" means any and all information, including but not
limited to data, reports, presentations, photographs, production schedules, media
information, designs, ideas, concepts, technical know-how, drawings, computer
programs, plans, proposals, and information about business, marketing, strategies,
techniques, bookkeeping, capital, customers and other business information owned,
created or possessed by the Company.
2.2 Notwithstanding the above definition, the following information will not be
considered the Confidential Information:
1. Information which is already in public domain prior to the disclosure
under this Agreement;
2. Information which enters public domain due to reasons not
attributable to any wrongful act of Commitment;
3. Information which is approved for release by written authorization of
the Company; or
4. Information which is disclosed to the lawful requirement or request
of a governmental agency.
3. OBLIGATIONS OF THE COMMITMENT PARTY
3.1 The Commitment Party shall keep the Confidential Information absolutely
confidential, with reasonable level of caution to avoid disclosure of the Confidential
Information.
4. INTELLECTUAL PROPERTY RIGHTS
4.1 The Commitment Party acknowledges and agrees not to directly or indirectly use or
register any protection in any form of patents, trademarks, service marks,
registered designs, data, trade or business names, know-how, copyrights (including
software rights), design rights, domain names and any other intellectual property
rights and similar and any respectively rights anywhere in the world (collectively
"Intellectual Properties") related to the Confidential Information.
4.2 The Company does not grant or confer any rights related to Intellectual Properties
to the Commitment Party. No rights will be granted to the Commitment Party unless
otherwise agreed in writing between the Parties.
5. RETURN AND DESTRUCTION
At the earliest possible time from the date of termination of employment or
cooperation with the Company, the Commitment Party shall stop using all
Confidential Information received from the Company and immediately return all
Confidential Information, including copies of Confidential Information of the
Company, or destroy all Confidential Information at the Company‘s request.
6. DAMAGE
If the Commitment Party was to breach this agreement, the other Party would be
entitled to ask for compensation.
7. GOVERNING LAW AND JURISDICTION
7.1 This Agreement will be governed and construed by the laws of Singapore.
7.2 The Singaporean competent Court shall have jurisdiction over any disputes that
arise out of this Agreement.
This Agreement is made in two original The Company shall keep one and the Commitment
Party shall keep one.
