Subject: Offer Letter and Terms and Conditions of Employment.

Dear Lakum Anurup Kumar,

Thank you for exploring career opportunities with Terrabit Consulting Pvt. Ltd. ("Company"). Subsequent
to your successful completion of our selection process and our detailed discussions, we are delighted to
extend this offer of employment.

We are pleased to offer you the regular, full-time position as Java Developer in our Company.

We strongly believe that you can play an integral role in contributing towards the Company's growth and
development and we look forward to welcoming you to the Terrabit team. Your employment in the
Company shall be subject to the following Terms and Conditions.

1. Date of Joining (DOJ). Your appointment with the Company is effective from the date of your joining
which shall be on or before 02-May-2022. This offer stands withdrawn thereafter unless the DOJ is
agreed to be extended by the Company and communicated to you in writing.
We request you to communicate your acceptance of our offer within on or before 03-Apr-2022, if not this
offer will be treated as cancelled.

You understand that upon joining, you shall be immediately assigned to a client's project. Your inability to
join on the agreed date would not only be detrimental to the Company's goodwill with its client but also
may cause the Company lose the opportunity. Hence, should you fail to join on the agreed joining date,
the Company reserves the right to recover any costs including but not limited to with to costs pertaining
to your recruitment, loss of opportunity and other costs recoverable by applicable laws.

2. Compensation. A mutually agreed upon compensation of INR 800,000 ( Eight Lakh Only ) per
annum (hereinafter "CTC") shall be paid to you in consideration of your services. This sum includes all
the payments as per the Company's policy and any statutory payments/benefits applicable as per laws
in force and will be subject to statutory deductions. The detailed breakup of the CTC is provided for
under Annexure I below. Salary will be calculated from the date on which you are joining with our client.
You are individually responsible for complete declarations related to your other incomes, investments
and investment proofs. The Company shall deduct the income tax as per prevailing income tax norms
and after taking into consideration the declaration/investment proofs provided by you for a particular
financial year.

3. Revision of Compensation and Promotion. Your growth in the Company and increase in your CTC
shall be at the Company's discretion and shall depend solely on your performance and contribution to
the Company.

4. Work Timings. Your work timings will be as per the Company working hours or, in case you have
been assigned to client onsite location, as per client's work timings. You acknowledge and agree that

you may be required to work beyond your existing working hours or on holidays, as permitted by law and
depending upon the business exigencies from time to time.

5. Place of Employment, Transfer and Deputation. Your primary place of employment shall be
Bengaluru or as the case may be, at clients location. The Company is entitled to at its sole discretion,
from time to time, transfer and/or depute and/or require you to work at any of the Company's offices,
work sites, or associated or affiliated companies in India, or outside India, whether on a temporary or
permanent basis on the terms and conditions as applicable to you at the time of such transfer. You agree
to make yourself available for travel as and when required by and directed by the Company.

6. Leave Eligibility and Holidays. The Company's holiday year commences on 1st January and
expires on 31st December (the "Holiday Year"). You shall be entitled to such holidays, as may be
declared at the beginning of each Holiday Year by the Company and the leaves in accordance with the
Leave Policy of the Company.

7. Probation. For the initial period of 2 months (hereinafter "Probationary Period") from the DOJ, you
shall be on probation. Upon successful completion of the Probation Period, your appointment will be
deemed confirmed. You will be entitled to sick leave during your Probationary Period.

8. Notice Period and Termination

a. Upon the successful completion of your Probationary Period and upon confirmation, in case your
performance is not up to the satisfaction of the Company/ Client or any other reasons which the
Company may deem fit, the Company may terminate your employment by giving a 30 day's prior
notice or, at its discretion, payment in lieu thereof, without assigning any reason.

b. You may terminate your employment with the Company after giving a 30 days' notice or at the
discretion of the Company, payment in lieu thereof. The Company reserves the right to at its
discretion relieve you from such date as it may deem fit even before the expiry of the notice period
without payment for the remaining period and is not bound to give any reason thereof if such
resignation notice is provided by you.

c. During the Probationary Period, should you wish to resign and terminate your employment with the
Company, you shall serve a notice period of thirty (30) days.

d. If at any time in our opinion which is final in this matter, your performance is inconsistent with the
Company standards or if you are found guilty of fraud, dishonesty, disobedience, disorderly behavior,
negligence, indiscipline absence from duty without permission or any other conduct considered by us
deterrent to our interest or as a violation of one or more terms of this letter, your employment may be
terminated immediately and without notice. Upon such termination, the Company will not be liable to
make any payments to you save for the remuneration owed to you until the date of such termination.
This is notwithstanding the Company's right to claim the actual damages it has suffered or other
relief under contract, law or equity.

e. In the event that you are incapacitated by ill health, accident or any other cause from performing
your duties for a period of twenty (20) working days or more (whether consecutive or not) in any
continuous period of six months, the Company may terminate your employment by giving you two
weeks written notice (whether or not you remain incapacitated and unable to perform your duties),
provided that you receive all benefits lawfully due to you in accordance with these terms and
conditions calculated up to the date of termination of employment.

f. During your notice period you will continue to perform and discharge your job duties to the best of
your abilities and provide such assistance as the Company may require from time to time to effect an
orderly handover of your duties and responsibilities to any individual appointed by the Company to
take over your role or responsibilities. You shall make yourself available to deal with requests for
information, provide assistance, be available for meetings and to advise on matters relating to work.

9. Employee Obligations.

a. You shall during your employment with the Company, perform the duties and exercise the powers
which the Company may from time to time properly assign to you.

b. You are expected to operate with the highest degree of initiative, economy, efficiency and
responsibility and shall at all times act bearing in mind the best interest of the Company.

c. You are required to devote your total attention and abilities exclusively to the business of the
Company.

d. You shall not engage in activities that have or will either directly or indirectly, have an adverse
impact on the reputation / image and business of the Company.

e. You shall disclose to the Company any and all agreements relating to your prior employment that
may affect your eligibility to be employed by the Company or limit the manner in which you may be
employed. It is the Company's understanding that any such agreements will not prevent you from
performing the duties of your position and you represent that such is the case. Moreover, you agree
not to bring any third-party confidential information to the Company, including that of your former
employer, and that in performing your duties for the Company you will not in any way utilize any such
information.

10. Confidentiality. You are expected to maintain utmost secrecy in regard to affairs of the Company
and shall keep any information of the Company, whether written or verbal, confidential. This restraint is
necessary for the reasonable protection by the Company of its business and the business of its clients.

a. You shall not at any time, either during the continuance of or after the termination of your
employment with the Company, use, disclose or communicate to any person whatsoever any
confidential information which you have or of which you may have become possessed during your
employment with the Company.

b. You shall not supply the names or addresses of any clients, customers, vendors or agents of the
Company or any company of the group to any person except as authorized by the Company or as
ordered by a Court of competent jurisdiction.

c. The terms and conditions of your employment with the Company, including that of this letter shall
be treated as strictly confidential and you are expected not to divulge its contents to any employee of
the Company or any other person connected or unconnected with the Company.

d. If required by the Company or its clients, you will sign further confidentiality agreements or any
other documentation or agreements to further protect the interest of the Company and/or its clients.

e. The confidentiality obligation will be perpetual in nature. Your service shall be terminated with
immediate effect without any prior notice in the event of breach of this confidentiality provision.

f. You agree that you will not at any time during the continuance of your employment or on expiry or
termination/cessation of your employment with the Company or thereafter, issue any statements to

the press (whether verbal or written) which have not directly been authorized by the Company on
any matter connected with or relating to the business of the Company.

g. The obligations under this clause shall survive the termination or expiration of your employment.

11. Intellectual Property Ownership

a. Any and all reports, plans, budgets, writings, inventions, improvements, processes, procedures
and/or techniques and any Intellectual Property Rights (IPR) therein which you may make, conceive,
discover or develop, either solely or jointly with any other person or persons, at any time during the
term of your employment with the Company, whether during working hours or at any other time and
whether at the request or upon the suggestion of the Company or any subsidiary or affiliate or client
or customer of the Company or otherwise, which relate to or are useful in connection with any
business now or hereafter carried on or contemplated by the Company or any subsidiary or affiliate,
including developments or expansions of its present fields of operations, (the "Inventions") shall be
deemed as work done for hire and shall be the sole and exclusive property of the Company. You
shall have no claim or rights of ownership in such Inventions.

b.You hereby irrevocably assign all worldwide rights, title and interest in any Inventions to the
Company in perpetuity.

c.You shall take all steps and sign all documents necessary to perfect the intellectual property rights
of the Company or that of its clients/customers, as and when requested by the Company.

d.You shall make full disclosure to the Company of all such Inventions, and shall do everything
necessary or desirable to vest the absolute title thereto in the Company, including but not limited to
executing assignments of ownership after an Invention is completed.

e.You shall write and prepare all specifications and procedures regarding such inventions,
improvements, processes, procedures and techniques and otherwise aid and assist the Company so
that the Company can prepare and present applications for copyright or Letters Patent therefore and
can secure such copyright or Letters Patent wherever possible, as well as reissues, renewals, and
extensions thereof, and can obtain the record title to such copyright or patents so that the Company
shall be the sole and absolute owner thereof in all countries in which it may desire to have copyright
or patent protection.

12. Full Time Employment. You shall, while serving the Company devote full time and attention to the
duties with the Company and devote yourself exclusively for the business of the Company. You shall not
engage in any manner, without the prior consent of the Company in any other service or business or
profession or trade or as an agent or consultant to any other person or firm, part-time or otherwise,
whether remunerative or honorary, during your tenure of association with the Company. In case you are
found engaged as mentioned above, the Company is entitled to terminate your employment immediately
and without notice.

13. Use and Safeguard of Company Property.

a.You shall always maintain in good condition Company property, which may be entrusted for official
use or which you may have access to during the course of employment.

b.Upon the termination or cessation of your employment with the Company for any cause
whatsoever, you shall immediately deliver to the Company or its authorized representative, any
property or documents of the Company which may be in your possession, custody or control,

including, without limitation, mobile phones, laptops, memoranda, correspondence, notes, records,
reports, sketches, plans, letterheads, visiting cards or other documents and any copies or
reproductions thereof in any medium whatsoever, and all other confidential information, whether or
not the property was originally supplied to you by the Company.

c.The Company reserves the right to make reasonable deductions from your full and final salary
payment or any other amount due to you, in the event you fail to return all the property of the
Company which is in your possession, or return it in a damaged state, other than due to normal wear
and tear.

14.Non-Solicitation and Restriction on Joining a Customer/Client

a.You shall not during the term of your employment with the Company and a period of one (01) years
thereafter, without the Company's express written consent, either on your behalf or on behalf of
another, directly or indirectly; (i) Assist, aid, induce, facilitate or cause any customer or client of the
Company who is an existing client or customer of the Company or who had been a customer or
client or who becomes customer or client of the Company during your employment with the
Company, to cease, terminate, discontinue either any part or whole of its business with the
Company; (ii) Solicit the business of any current or future client, customer or licensee of the
Company either for yourself or for any other organization, and (iii) abet, induce, facilitate, contact or
deal with the employee(s) of the Company or its associated entities for the purpose of making such
employee(s) leave the Company and/or hiring them either for yourself or for any other organization,
entities, etc.

b.You agree that for a period of one (01) year following the termination of your employment with the
Company for any reason, you shall not (i) accept any offer of employment or assignment from any
customer or client of the Company, where you had worked in a professional capacity with that
customer during your employment with the Company; or (ii) undertake a project or provide services
to any such customer/client, either directly as an employee of the customer or as independent
contractor or through any other company or agency, where you may work in a professional capacity.

c.You further undertake and agree that you will disclose information on the existence of conditions
mentioned in this clause to your future employer or agency where you would seek employment or
get employed within the period of two (02) years following the termination of your employment with
the Company for any reason.

d.You understand and acknowledge that the restrictions provided under this clause are reasonable
restrictions and are necessary to protect the Company's business interests.

15. Background Checks and Medical Fitness.


a.The Company may, at its discretion conduct background checks prior to or after your expected
joining  date to validate your identity, the address provided by you, your education details and details
of your  prior work experience, if any, and to conduct any criminal checks. You expressly consent to
the Company conducting such background checks. In this connection, you are required to furnish the
documents specified under Annexure II herein below.

b.If the Company is not satisfied, in its sole discretion, with the outcome of the background checks or
if any declaration given or information furnished by you to the Company proves to be false/forged or
if you are found to have willfully suppressed any material information, the Company reserves the
right to withdraw this offer or terminate your employment with the Company without any notice or
compensation whatsoever. You will also be liable to indemnify and hold the Company harmless from

all costs, losses, damages and liabilities that may have been caused to the Company due to such
incorrect and/or false and/or fraudulent and/or forged representation.

c.You are required to continuously maintain yourself in a state of good medical fitness so as to
perform well and to discharge the assigned responsibilities adequately while in employment. If at any
point in time, during the employment with the Company, you are found to be medically unfit for the
job or the role assigned for an extended period, then your services may be terminated as per the
Company rule notwithstanding anything mentioned in this document or otherwise. You agree to
submit yourself for any medical check-up at any time if called upon by the Company or its clients
when assigned to work at their premises.

16. Medical Benefits. You will be covered for Medical Insurance for inpatient as per the existing
agreement between the Company and its insurance agent company. All the decisions taken on any
claims by the Insurance agent company will be final. The Company has the right to change the
Insurance Company and terms and conditions of the insurance without prior notice to you.

17. Company Policies. In addition to these terms and conditions of this offer letter specifically stated
herein, you will also be governed by the rules, regulations and such other practices, systems,
procedures and policies ("Company Policies") as may be framed, amended or modified by the Company
from time to time and circulated by mail or any other means. All such Company Policies shall be binding
upon you. You are under an obligation to follow the Company Policies both in letter and spirit. In the
event of any conflict between the terms and conditions of this offer letter, as specifically stated herein
and the Company Policies, the Company Policies shall prevail.

18. Indemnity. You agree to indemnify the Company, its directors, officers and affiliates from and
against any damages, losses, liabilities, claims, actions or cause of actions sustained or suffered due to
your negligence, illegal actions or misconduct.

19. Data Protection. You hereby consent to holding and processing, both electronically and manually,
your data, that the Company collects in the course of your employment with the Company, for the
purpose of the Company's administration and management of its employees, its business and for
compliance with applicable procedures, laws and regulations.

20. This letter agreement supersedes and replaces any prior agreements, representations or
understandings (whether written, oral, implied or otherwise) between you and the Company and
constitute the complete agreement between you and the Company regarding the subject matter set forth
herein. This letter may be modified only with a written instrument, signed by both you and a duly
authorized officer of the Company.
