Memorandum of Understanding
This Agreement is made on this day of _22_JUNE 2022.

Between ANAND ORTHOPAEDIC CENTRE, OPP. THEME PARK, NEAR PANORAMA,
THANESAR KURUKSHETRA (Here in called as “The Party of the first part)
And
SUPER DYERS & DRY CLEANERS ,RAILWAY ROAD KURUKSHETRA (Here in called
as “The Party of the second part)
WHEREAS, the second party has approached the executor expressing their interest to take up the
laundry services of the hospital, the first party has agreed on mutually agreed terms and
conditions mentioned hereinafter.
Tenure
Subject to the termination clause mentioned hereinafter, this understanding shall come into force
with effect from the date of execution of this understanding and shall remain in force for a period
of Twelve (12) Months.
Scope of Services
During the tenure of this MOU, first party shall give the dirty linen of the hospital including
blankets and curtains after disinfecting the infected linen at their premises on a daily basis in a
closed bag in the morning. The second party will clean and iron the dirty linen and bring them
back next morning in a closed bag
Charges
During the term of this MOU, the amount due per month will be paid to the second party by the
first party.
Price Revision
Any Price revision done by the second party must be intimated and discussed with the first party
1 month in advance for the next calendar year.
Relationship
This arrangement is only on principal to principal basis and does not give rise to any principal
and agent relationship or joint venture between the parties nothing stated in this arrangement will
authorize or permit either party to represent or act as or plead any such relationship.
Termination
Either First/ Second party have the right to terminate this arrangement by giving 30 days prior
notice in writing to the other without assigning any reason.
Quality Assurance System
The Second Party must allow the First Party to inspect their organization at least once in six
months with respect to the below mentioned parameters as a part of the quality assurance system.
The records of all such inspections must be maintained by the first party.
1. Process of cleaning, drying and ironing of the linen.

2. Safety precautions taken by the employees while cleaning the linen.
3. Segregation of clean and dirty linen
4. Storage of linen
5. Transportation of the linen
Governing Law and dispute resolution
The provisions and implementation of this MOU shall be governed by the laws of Republic of
India.
All or any disputes, claims arising out of this arrangement but could not be settled by means of
disputes by means of dispute resolution meetings shall be resolved by means of arbitration by
submitting the dispute for the arbitration of mutually agreed sole arbitrator in accordance with
the Arbitration and conciliation Act 1996 as amended or reconstituted from time to time and the
procedures of Arbitration shall be conducted at KURUKSHETRA, India in Local language.
NOW THIS MOU WITNESSES AS UNDER
1. Effective Date: The parties hereby agree that the effective date of the agreement shall be
the date on which the agreement is signed.
2. Period of MOU: This agreement shall be valid for a period of one year from the date of
this agreement and mutual consultation of both parties. Any specific agreement(s) in
conjunction with the main agreement shall be valid for such period as may be stated in
those agreements. The expiry of this agreement shall not affect the rights and obligations
created under such specific agreements. In case of renewal process is underway and both
parties have in principle agreed to renew the agreement, shall oblige under this agreement
may continue seamlessly.
3. Relationship of the parties: Nothing contained in this agreement is intended to create,
nor shall it be construed to create, a relationship between the parties other than that of
independent parties contracting with each other solely for the purpose of effectuating the
provisions of this agreement.
IN WITNESS WHEREOF the parties hereto have executed the present agreement
on the day, month and year first above written.
