SAP Connected Parking

Supplemental Terms and Conditions

These supplemental terms and conditions (“the Supplement”) are part of an agreement for certain SAP
Cloud services (“Agreement”) between SAP and Customer and apply solely to SAP Connected Parking
(the “Cloud Service”).

1. DEFINITIONS
1.1 Connected Parking Platform means the hosted service which exchanges data with the Kiosk
App.
1.2 End Customer means the customer of Customer.
1.3 Kiosk App means the application designed to run on a device in a Parking Kiosk that serves as
the user interface to drivers of vehicles who want to enter a car park and communicates with the
Connected Parking Platform.
1.4 Parking Kiosk means the hardware at the entrance or exit of a car park or parking lot on which
the Kiosk app is running.
1.5 Parking Operator means the legal entity who is managing and operating a car park from a
business perspective.

2. USE OF THE CLOUD SERVICE


2.1 Customer may use an SAP-developed Kiosk App or a non-SAP Kiosk App. The SAP-developed Kiosk
App is subject to the terms attached to the Supplement as Attachment 1.
2.2 Customer can use the Cloud Service as part of a parking access and revenue control system. The
Cloud Service is designed to help:
(i) set up and manage parking facilities such as parking lots or garages;
(ii) manage access to parking, including but not limited to ad-hoc (transient) parking and monthly
parkers (known drivers) with or without reservation;
(iii) manage revenue control with configuration of pricing tables, reporting, and credit card
payments.
2.3 The Cloud Service requires either an SAP solution or third-party solution to facilitate
communication between the Kiosk App and the Connected Parking Platform. Fees for the Cloud
Service do not include use rights for such data transmission solution or the integration of the Cloud
Service with such solution.
2.4 The Cloud Service does not include a payment gateway (where all payments will be processed and
credit card information will be stored), and Customer should not provide, nor is SAP expecting to
have any access to, any Customer or End User financial information stored on a payment gateway.

3. FEES. The Usage Metric for the Cloud Service is either (i) Lanes or (ii) Lots and Transactions, as
specified in the Order Form. Subscriptions to Lots include a block of 10 Lots and 10,000 Transactions.
Additional Transactions are available in blocks of 10,000.
3.1 Lanes are access points at a parking facility from which drivers of vehicles are authenticated and
processed within the Connected Parking Platform.
3.2 Lots are geographical areas where one or multiple vehicles park and which are under commercial
management.
3.3 A Transaction means the identification within the Connected Parking Platform of a vehicle when it
enters or exists the Lot.

4. ADDITIONAL TERMS.
4.1 The terms of the Personal Data Processing Agreement for SAP Cloud Services shall not apply to
the Kiosk App, but only to the Connected Parking Platform.
4.2 System Availability (as defined in the Service Level Agreement for SAP Cloud Services) applies to
the ability of Customer to access the Connected Parking Platform via the APIs made available by

SAP, and the Cloud Service will be deemed available if the Customer can send and receive data to
and from the Connected Parking Platform via such APIs.
4.3 Use of SAP Cloud Platform Identity Authentication is limited to authenticating Authorized Users
accessing the Connected Parking Platform.
4.4 The Cloud Service includes specific integration points to peer systems which are described in the
Documentation. These integration points may be changed or deprecated by SAP upon reasonable
notice to Customer, and it is Customer’s obligation to ensure that it maintains the integration with
connected peer systems upon SAP’s change to or deprecation of any integration point.

SAP KIOSK APP LICENSE AGREEMENT

1. Definitions: "Google" refers to Google, Inc. and its majority owned affiliates. "User Content"
means any communications, images, and all the material, data, and information that an individual
uploads or transmits through the SAP Kiosk App to the SAP Connected Parking Platform. All User Data
shall be deemed Customer Data under the terms of the Agreement.
2. Governing Terms. This End User License Agreement applies to the SAP Kiosk App (but not the
remainder of the Cloud Service) and is part of and is governed by the Agreement between SAP Customer
for the Cloud Service. In the event of any conflict between the terms of the Agreement and the terms of
this SAP Kiosk App License Agreement, the terms of this SAP Kiosk App License Agreement shall control.
3. Supported Devices. The SAP Kiosk App supports certain Android based mobile devices (“Android
Devices”), and data networks such as 3G, EDGE and WiFi, and enables users to access the Cloud Service
for use of specifically enabled business processes through such Android Devices.
4. License. Subject to the terms, conditions and limitations stated in the Agreement, SAP grants
Customer a non-exclusive, non-transferable, non-sublicensable, revocable, limited license to run the SAP
Kiosk App on an Android Device embedded in a Kiosk solely for the purpose of the SAP Kiosk App
accessing the Cloud Service and only during the term of the Agreement. Customer is not permitted to
use the SAP Kiosk App for any purpose other than as expressly permitted under this Agreement.
5. User Content. Customer is responsible for obtaining all necessary user consents for the processing
of User Content in accordance with this Agreement.
6. Support. SAP may offer support for the SAP Kiosk App – at its sole discretion – by e.g. provisioning
of updates, patches, bug fixes and new versions. Customer is responsible for ensuring it has deployed
the latest version of the SAP Kiosk App to ensure compatibility with the Cloud Service.
7. Term and Termination. Customer may terminate this SAP Kiosk App License Agreement by
destroying all copies of the SAP Kiosk App on all Customer or end user Android Devices. SAP shall be
entitled to terminate Customer’s license to use the SAP Kiosk App if Customer fails to comply with any
of the terms of this SAP Kiosk App License Agreement. This Agreement terminates automatically upon
termination or expiration of the Agreement. In case of termination or expiration of the Agreement,
Customer must destroy all copies of the SAP Kiosk App on Customer or End User Android Devices.
