Information

SRO Solutions Ltd are pleased to submit this proposal to Modec for the provision of 13 days of General Consultancy
Services.

This quote has been raised to cover the remaining month of 2019, 31st Dec 2019. To determine the approximate
number of days required, analysis has been completed for the additional effort to complete TB5.

Scope
The fund is a pot of pre-paid time for which Modec can raise 'change' requests via the SRO support portal, which will
then be acted on (in line with agreed governance), without finance approval based delays, as and when required.

Assumptions
This assumes approval for the remaining TB5 changes which this fund will cover.
This fund will carry on from the completed 'Change Support Fund 3' which has been fully utilized and we predict that
this change fund 4 will be consumed in Dec 2019 and any new funds which may be required for 2020 will be quoted for
separately.

Dependencies
All changes will be carried out remotely and therefore this is dependent on remote access being available for our
consultants.

Terms & Conditions
Expenses, Travelling, and Waiting Time charges
Travelling & waiting time will be charged pro-rata at 50% of the agreed daily rate. However, should the total contract
period be less than 1 day, all charges, including travel & waiting time, will be charged pro-rata at 100% of the agreed
daily rate.

Consultant expenses will be charged at a fixed fee of £15.00 GBP for each day on site.

If an overnight stay is required, Consultant expenses will be charged at a fixed fee of £30.00 GBP for each day on site.

All travel, telecommunications, freight, customs and other incidental expenses / fees are to be covered by the Client
and will be charged at cost if arranged directly by SRO Solutions Ltd.

Third Party Equipment & Services

Third Party Equipment & services Items delivered that are manufactured or supplied by a third party are subject to the
standard licensing, terms & guarantees of that supplier. SRO Solutions reserve the right prior to commencement of the
contract to change prices on third party software and hardware according to our supplier’s changes in terms of price
and delivery.

Payment and Invoice Terms

Payment is strictly 30 days from date of invoice.

All consultancy & training services are invoiced after completion of each activity or monthly in arrears, whichever
occurs first.

Unless a fixed price is agreed prior to commencement of the work, consultancy will be invoiced according to actual
number of days used. (Number of days specified above is an estimate based upon general experience.)

Payment will be via BACS (electronic bank transfer) in GBP, any associated bank charges will be at Customers expense.

Prices quoted do not include any VAT/GST/sales tax. If any authority imposes any duty, tax, or fee, upon any of the
software or services, then you agree to pay the amount specified on the invoice or supply exemption documentation.

The end user of the programs (“End User”) is responsible for any personal property taxes for the Programs, and/or
Software Maintenance from the delivery date.

Non-Solicitation of Employees
For the duration of this Agreement and for a period of 12 months after its termination or expiry, neither party shall
solicit for employment or employ any employee of the other party.

General

Changes to the terms of this Quote or the documents referred to herein shall not be valid unless agreed in writing by
the End User and SRO.

Additional or different terms in any order or written communication from the End User will be void.

Prices set forth in the Quote are valid only through the “Quote Expires” date above.

Consultancy
Consultancy day rates refer to an 8 Hour working and exclude travel time and expenses.

Statement of Confidentiality
The contents of this and any other correspondence / documentation are extremely valuable and could cause
irreparable harm to SRO Solutions & its partners if revealed directly or indirectly to its competitors. Accordingly, all
pages of this proposal have been submitted in confidence.

Cancellation/Transfer

Cancellations are permitted up to 10 working days of the scheduled start date without penalty.

If cancelled within 10 working days of the scheduled start date; a charge of fifty per cent (50%) of the fees will apply.

If cancelled within 5 working days of the scheduled start date, a charge of one hundred per cent (100%) of the fees will
apply.

All cancellations and transfers must be received in writing.
