We are pleased to offer you this appointment letter and now you are engaged /associated with our organization Parishram
Resources Pvt. Ltd.,7th Floor, Plot No.-14A, Sector-18,Udyog Vihar, GURGAON, HARYANA - 122015
(“Company”) and you will be deputed with our (“Client”) “Havells India Limited” and posted at Bulandshahr, as
the following terms and conditions:
VALIDITY / TERM OF ENGAGEMENT:
The term of your engagement shall commence on 09-Jul-2021 and shall continue unless terminated by either party by
giving an advance written notice in accordance with procedure provided in the termination clause below.
In the event, the principal agreement between the Client and the Company for execution of the project/work/deputation for which you
are being engaged herewith terminates; your appointment/engagement under this appointment letter shall also be terminated in
accordance with applicable process as provided in the termination clause below.
On renewal of principal agreement between the Client and the Company, your appointment/engagement under this appointment letter
shall also stand extended for the duration of renewal. The principal agreement between the Company and Client are read over to you
and you have understood the terms mentioned therein.
It is specifically understood by you that during your term of your engagement, you shall neither seek nor accept to be employed ,
engaged, hired by or in any manner whatsoever, render services to any third party either in India or abroad whether on
deputation or otherwise. This obligation shall be binding on you whether the said third party is engaged in similar business as the
Company or otherwise.
COMPENSATION:
The compensation package including CTC of Rs. 14,182.00 /- per month as per break-up sheet enclosed in Annexure A
You will be entitled to an employer's contribution of Provident Fund as per the applicable rules.
You will be entitled to all other statutory benefits wherever applicable during the period of this Contract .
In addition to the above, you will be entitled to the following additional benefits:
Personal Accident and Group Term Life and Medical Insurance: We will provide you a personal accident insurance policy of
Rs.500000 and group term life insurance policy of Rs.500000/1000000 (As per Grade) and Medical Insurance policy of
Rs.250000 (If applicable).

You will be entitled for the leaves as per the prevailing Company Policy.
Place of work: You shall initially be posted at the location and department as mentioned herein above. However, your services
are transferable to any other location. In case of transfer to any other location, you will not be entitled to any extra
remuneration/wages.
Retirement: You shall retire from the Company once you attain 60 years of age.
Policies: Company is committed to continuously reviewing and updating its policies and procedures from time to time. You
agree to abide with updated policies, procedures and accept the same.
In case of any one-time compensation paid as per pre-joining commitment upon approval, is subject to recovery in case
of separation within one year from date of joining.
Confidentiality Obligations:
a. Confidential Information: In performance of your job duties with the Company, you will be privy and/or be
exposed to Company’s Confidential Information. "Confidential Information" means information or material that is
commercially valuable to the Company and shall include but will not be limited to the proprietary information of the
Company which is not known or readily ascertainable in the industry. This includes, but is not limited to:
i. technical information concerning including product know-how, formulas, designs, devices, diagrams, digital representations,
software code, test results, processes, inventions, research projects and product development,technical memoranda and
correspondence.
ii. any information imparted to you in any kind of training sponsored by the Company cost for which has been borne by the Company.
iii. information concerning Company business, including cost information, profits, sales information, accounting and unpublished
financial information, business plans, markets and marketing methods, customer lists and customer information, purchasing
techniques, supplier lists and supplier information and advertising strategies.
iv. information concerning Company’s employees, including salaries, strengths, weaknesses and skills;
v. information shared by Company’s customers, suppliers, employees, consultants or co-venture partners with ,Company for study,
evaluation or use; and Any other information not generally known to the public which, if misused or disclosed,could reasonably be
expected to adversely affect Company’s business.

You shall keep Client’ Confidential Information, whether or not prepared or developed by you, in the strictest confidence and shall use
such information for the permitted purpose only. You shall not disclose such information to any person without your manager’s prior
written consent. Nor will you make use of any Confidential Information for your own purposes or the benefit of anyone other than the
Client .
Your obligation to maintain the confidentiality and security of Confidential Information shall remain in full force even after your
employment with Company comes to an end and continues for so long as such Confidential Information becomes part of public knowledge.
Return of Material: As and when your employment with Company comes to an end, for whatever reason, you shall
promptly deliver back to Company all originals and copies of all documents, including but not necessarily limited to
drawings, blueprints, reports, manuals, correspondence, customer lists, computer programs, and all other materials and all
copies thereof relating in any way to the Confidential Information, or Company business, or in any way obtained by you
during the course of employment. You shall also return to Company all equipment, files, software programs, laptop and
other personal property belonging to Company.
Assets and Properties: You shall be responsible to keep safe all assets and property of the Company which you may
possess while performing your services.
Indemnity: In case you disclose Confidential Information or misuse the same for your gain or breach any other obligation
under this Appointment Letter, you will be liable to indemnify Company for all the liabilities incurred by Company.
Dual Employment and misconduct: During the period of services with us, you will not directly or indirectly engage
yourself privately elsewhere. If you conceal, suppress or manipulate any information or facts about your qualifications, age
or experience, it will amount to gross misconduct and your services will be liable to immediate termination. Your
appointment is subject to your being medically sound and remaining fit. If you absent yourself without leave or remain
absent beyond the period of leave originally granted or subsequently extended, you shall be considered as having
voluntarily left the employment, and your last date of attendance or last date of sanctioned leave whichever is latest will be
taken as date of resignation and relieving and your full & final account will be processed after deduction of notice period
pay, without any further reference unless you:
a. Return to work within eight days of the commencement of such absence.
b. Have given an explanation to the satisfaction of the management for such absence.

The employment and terms shall become effective immediately on your joining the organization.
Jurisdiction: The courts of Delhi will have jurisdiction on any matter related to this appointment letter.
Please return the duplicate copy of this letter of appointment, duly signed, as receipt and a token of your acceptance of the
above.
*Code of Ethics of the Company has been duly explained and is also attached herewith and you are required to read the same
and imbibe the requirements stated therein.
