Non-exclusive Partnership Agreement

(J1 Exchange Student Program)

AnB Education (”A” and hereinafter “AnB ”) and __________________ (“B”) agree
and promise to follow each provision of the agreed contract as followed;

1. Purpose

The purpose of this contract is to perform Exchange Student programs of AnB


Education , sincerely, and “B” has a right to promote this program to areas in
_____________ (hereinafter “ ____________ ”). Therefore, this contract records
agreement needed between the two parties.

2. Contents
(1) “B” shall act to promote “A”‟s program as one of the agencies in ________ and
“A” and “B” shall cooperate fully to proceed the processing of “B”s applications.
(2) “A” shall support and provide promotional material and information which shall be
needed for promoting this program.
(3) “A” and “B” shall cooperate in making decisions about program costs and period
for good performance.
(4) “A” shall arrange Host Family and submit applications to schools and send
transcripts to “B” four times a year.
(5) „A” and “B” shall cooperate to resolve problems that may arise between the Host
Families and the Students.
(6) “A” shall offer Host Family information to “B” before the Students‟ arrival and if
possible, “A” shall try its best to arrange and accommodate one Student per host
family but the Student can share the room with the same gender child of the Host
Family.
(7) “A” shall have the responsibility to care for the Students and contact with the
schools and meet the Host Families. “A” shall try its best to resolve any problems
arising out of arrangements from Host Families.

3. Division of Profits & Procedure


(1) When “B” sends students‟ applications with a nonrefundable deposit of $600
only then shall “A” meet with the Host Families who wish to host the exchange
students.
(2) When “B” receives a copy of DS-2019 from “A”, “B” shall begin the process for
applying for a J1 visa for the exchange student.
(3) “B” shall inform students‟ visa situation to “A” and shall remit the balance amount

to “A”. After receiving the balance amount, “A” shall send the Host Family
information before the departure from students‟ natural countries.
(4) The duration of this program shall be for the academic year which shall be between
nine and ten months.
(5) “B” may decide program fees but shall pay the net price to “A” as follows;

4. Refund of Program Fees


(1) Program fee Deposit of $600.00 shall be nonrefundable and after the DS-2019 has
been issued. However, when the student‟s visa is denied, the Program fee shall be
returned except for the bank wire fee $50.
(2) The Program fee shall not be refunded once the student arrives in the United States
but does not want to participate in the Program.
(3) The Program fees paid by the student to “B” and from “B” to AnB as described
above shall be refundable in the case where the student withdraws from the AnB
Program prior to arrival in the United States as follows:
(a) Due to injury or illness, a full refund shall be made except for the bank
wire fee $50.
(4) If a student remains unplaced by the time of the placement deadline, and does not
elect to postpone participation to the AnB placement cycle (August postpones to
January, for instance), AnB shall retain $500.00 from the student fee to help offset the
costs of advertising to find host families or if the student wants to be placed in a private
school by AnB, AnB shall arrange host family but the student has to pay tuition fee of
private schools and other personal fees associated with the costs of placement. However,
if the student does not want to study at the school as appointed through AnB and if the
student wants to change the J1 visa to F1 visa, AnB will send I-20 form to the “B” to

get a F1 student visa in the student‟s home country and the student has to pay extra
hosting fee and private school tuition. Once the student arrives in the United States, no
refund shall be made. AnB reserves the right to request supporting documentation
prior to issuing a refund, and shall have 90 days to issue a refund after receiving
documentation or agreeing to refund without documentation.

5. Contract period
This contract shall be effective for every September and January and can be
renewed after deciding the program fee.

6. Travel Arrangements

“B” must make all travel arrangements for the arrival and departure of its students‟
and “A” requires either the Host family or Local Representative to meet the student at
the airport and bring them back to the airport at the end of their program. It is a State
Department regulation that students are not allowed to remain in the United States after
the end of the program for which they have been accepted.

7. Student visa and adherence and standards

(1) Once all fees have been received by “B”, AnB shall provide DS-2019 to each
student with the necessary documents, paperwork, and information to enable the
exchange student to come to the United States for the academic school year.
(2) ”A” has received listing in the 2017-2018 Advisory List of the Council for
Standards on International Educational Travel (CSIET). CSIET membership is
critical for obtaining school acceptance for all students on the ANB program.
(3) The US State Department and CSIET standards must be upheld by both ANB and
“B” in order to maintain a quality exchange program, and for students to be placed
in a timely manner. Therefore, “B” agrees to adhere to all pertinent U.S. State
Department regulations and CSIET Standards when promoting the ANB program.

8. Placement and Diversity

(1) While AnB makes every effort to take individual needs into consideration in
placing Students with Host Families, AnB may be unable to accommodate all
preferences and characteristics of the Student in the placement process. AnB
expects each student to adjust to the family selected for him or her, regardless of
their ethnicity or the size of the community. It is important to understand that there

is no “perfect” Host Family and community. Students must accept the Host Family
and community AnB selects and make every effort to become a member of the
Host Family and community and participate successfully in the academic high
school program.

9. Communication

(1) It shall be AnB‟s responsibility to supervise and communicate with the Student,
Host Family, and School while the student is participating in the AnB program.
(2) It is “B‟s” responsibility to maintain communications with the student‟s natural
parents/legal guardians while the AnB program is in session.
(3) Communications regarding students shall always go through the respective head
offices of AnB or through the email of office staff and officials. AnB shall not
directly contact natural parents/legal guardians, or local representatives of “B”
without explicit prior permission of “B”. “B” shall not directly contact Students,
Host Families, U.S. schools or local representatives of AnB without explicit prior
permission of AnB.
(4) This is the only way to ensure that all information passed to families, students,
schools, and local representatives is authentic and approved.

10. Orientation
(1) Before students depart from students‟ native country, “B” is required by both the
U.S. State Department and CSIET to provide an Orientation meeting to all student
participants. Such a meeting must cover all items mentioned in the AnB Pre-
Departure Orientation Meeting Outline form. Should “B” require more information
in regards to specific details to be covered, such information shall be provided to
“B” by AnB. Should “B” need a AnB staff member to perform the Orientation
meeting for ANB‟s students, all travel and meal expenses for the AnB staff
member must be paid by “B”. “B” must provide written proof to AnB that
every student coming to the United States as part of the AnB program has
attended an Orientation session. This proof can be in the form of a sign-in
sheet with the student’s name printed followed by the student’s actual
signature and date of the Orientation.
(2) Prior to students arriving in the United States, AnB shall provide an Orientation
meeting to all Host Families.
(3) After the student participants have arrived to the United States, the AnB
Community Representative or Area Coordinator shall provide a post-arrival

orientation meeting for all students, and the Host Families shall be invited to attend
the second half of the meeting.

11. Supervision

(1) Through its network of Community Representatives and Area Coordinators, AnB
shall be responsible for the supervision of the full academic year and semester
students participating in the AnB Program.
(2) AnB personnel shall maintain contact with each “B” student at least once a month
in person or by telephone. Monthly contacts shall be documented in writing to the
AnB national office by each student‟s Community Representative and the monthly
report shall be sent to each “B”.
(3) Prior to a change in Host Families, AnB shall provide counseling to both the
Student and the Host Family in an attempt to resolve any problems and differences.
In the event the Student and Host Family have irreconcilable problems and
differences, a replacement Host Family shall be provided by AnB.
(4) Supervision and counseling of students must always be performed by AnB
personnel. Once students arrive to their host home, “B” should not be directly in
contact with students unless specifically authorized or requested by AnB.

12. School Attendance and Academics

tuition to the students and the student's attendance at the high school shall be
mandatory. Repeated failure to attend classes is a violation of the J-1 visa, which
can result in termination and early return of the student with no refund of fees.
(2) Students participating in the AnB Program are expected to maintain adequate
grades while participating in the Program. Progress reports from the student‟s high
school which indicate failing grades in one or more subjects for two consecutive
reporting periods may result in the student being returned home. Progress reports
from the student‟s high school which indicates grades of „D‟ or lower in two or
more subjects for two consecutive reporting periods may result in the students
being returned home. Students who receive failing marks in two or more subjects
for any reporting period may be returned home at the sole discretion of AnB.

13. School Books & Other fees

(1) While tuition is waived, many American high schools charge fees to all attending
students for such things as schoolbook rentals, locker rentals, gym usage, and other
various fees. Such fees are not usually waived for exchange students, and therefore
the student is responsible for paying these fees. The payment of these fees is
usually required at the time the student registers for school. The cost varies from
school to school, and is usually between $300.00 and $500.00
(2) “B” must inform all applying students that fees of this nature shall be required for
the student to be able to attend an American high school.

14. Insurance
According to U.S. State Department regulations, all exchange students participating
on a J-1 exchange program such as the AnB Program must arrive with full insurance
coverage for the entire duration of their stay. To comply with this policy, AnB has
arranged for medical and accident insurance for students participating on the AnB
program. Currently, this insurance is provided through AnB.

. 15. Student Selection (Age, Immunization Record, Heath Certificate & Grade )Requirement
(1) Age requirements for exchange are as follows:
(a) The U.S. State Department regulations state that all student participants
must be secondary school students in their home country or the students
who have not completed more than eleven years of primary and
secondary study, exclusive of kindergarten; or are at least 15 years of age
but not more than 18 years and six months of age as of the program start
date.
(2) All students must have the proper immunizations record before they can begin
attending a U.S. high school. All students must use the AnB Immunization Records
Form which were attached with Students‟ application.
(3) The following grade requirements apply to the student‟s most recently completed
semester of school:
(a) No student shall be accepted if they have received a failing grade in any
subject.
(b) No student shall be accepted with more than one grade equivalent to an
American 'C' (below average, but still passing the class) in any subject.
(c) Students who have received a single „C‟ grade in any subject in their
most recently completed semester of school must have an 'A' or 'B' grade
in another subject to compensate for the „C‟.

(4) No student shall be accepted if they have repeated a grade of school (i.e. the
student has failed a school year; therefore they had to repeat it).
(5) All students must have studied English for at least 3 years by the time they arrive in
the United States.
(6) All students must have a scaled score of 222 of ELTiS or 600 of above on the
Junior Toefl Test or 60 of above of Toefl score.
(7) No student shall be accepted if they smoke.
(8) No student shall be accepted if they have a history of any type of eating disorder.
(9) No student shall be accepted if they have had any type of epileptic episodes,
seizures or convulsive disorders within the past two years.
(10) Students who suffer from bedwetting (enuresis) or sleepwalking disorders shall
not be accepted.
(11) Students who have been treated by a psychiatrist or psychologist might be deemed
unacceptable, depending on the nature of treatment and the student‟s current status.
(12) It is “B”'s responsibility to ensure that only students who meet AnB standards are
recruited. “B” agrees to carefully screen each applicant, and further agrees not to
send any students that fail to meet these requirements. Any students sent to AnB
that do not meet AnB acceptance requirements are to be considered as
automatically rejected.
(13) If a student is rejected or if his or her qualifications are questioned, then this
student shall be deemed rejected until AnB gives official notice of acceptance. If a
student's qualifications are questioned, his or her application shall not be
considered for acceptance unless sufficient information or documentation is
provided to AnB in its sole discretion.

16. Student application package


(1) Each STUDENT APPLICATION PACKAGE must contain full sets of
application papers in the following order:

important that all packages use the most recent version of the AnB STUDENT
APPLICATION FORM with a recent passport size color photograph of the
student applicant (the student must be smiling) with the student's signature on the
reverse side.

17. Termination of Student Participation


(1) If any “B” student on the AnB Program violates any Federal, State, or Local

law of the United States including school district regulations; disobeys any
established rule of AnB or is expelled or suspended from the U.S. school they are
attending as part of the AnB Program, the student's participation in the AnB
Program shall be terminated and the student shall be immediately returned to
his/her home country without refund of PROGRAM fees.
(2) After arriving in the United States, if a student's documentation is found to be
inaccurate or incomplete (including, but not limited to, unreported health problems,
bad grades, and poor knowledge of English), the student's participation in the AnB
Program shall be terminated and the student shall be immediately returned to
his/her home country without refund of PROGRAM fees.
(3) After arriving in the United States, students whose apparent English proficiency is
substantially lower than their ELTiS score would indicate shall be retested.

“B”‟s website, in brochures, and other literature or promotional material that “B” (1)
18. Promotion
“B” must make certain that all student participants understand the requirements
in the points outlined in this section are a CSIET Standard, and therefore cannot be
changed or waived.

19 Partnership
“B” understands and that this Agreement makes “B” a “Recruiting Partner” of
AnB in other country. As a Recruiting Partner, it is expected by AnB
, the Department of State, and CSIET that “B” shall work with ANB and shall
respect and adhere to all decisions made by AnB staff. Therefore, it is agreed that “B”
shall cooperate with AnB in this capacity, acting as a Recruiting Partner, promoting and
administering the AnB program in ____________, respecting and adhering to all AnB
policies and national office decisions.

20. Confidential Information


(1) “B” understands and agrees that all information, material and otherwise,
regarding student placements (including, but not limited to Host Family name,
address, and phone number) and AnB personnel (including, but not limited to
name, address, and phone number of any AnB personnel, including, but not
limited to, Community Representatives and Area Coordinators) is confidential and
proprietary information, and remains the property of AnB and “B” further agrees
not to share AnB confidential information with any individuals, companies, or
Organizations not directly involved in the placement process .

(2) In the event that any provision of this Agreement should be found to conflict with
current or future U.S. Department of State Regulations or CSIET Standards, such
conflicting provision shall be construed and interpreted so as to best accomplish
the economic objectives of the original provision while giving precedence to such
Regulations and Standards. The other parts of the Agreement shall remain in full
force and effect.

21. Further Assurances and Additional documents

The Parties shall each sign and deliver such further instruments and documents
and shall take such other action as may be reasonably required to more effectively carry
out the intent or provisions of this Agreement.

22. Duties

(1) “B” has to give correct information to the customers concerning the regulations of
refund policy and the rules of the Exchange Program.
(2) For good procession of this program, “B” has to ask the parents to sign the
agreement to understand the rules of this program.
(3) “A “and “B” have to keep a good relationship and respect and cooperate with each
other.
(4) The clauses which are not agreed by the two parties shall have to be discussed
with sincerity and for benefits both parties.

23. No Assignment

“B” cannot transfer this program to any third party without consent from AnB.

24. Termination of Agreement

(1) “A” and “B” can cancel this agreement if they have a reason not to keep this
contract continuously but it shall be informed before 90 days by written paper.
(2) This Agreement may be terminated by either Party for any reason upon ninety
(90) days written notice. Such termination shall not affect the rights or obligations
of the Parties hereunder accruing prior to the date of termination except as
provided hereunder. Among other things, this means that AnB shall still be
obligated to supervise any of “B”‟s students that may be in the United States on
the ANB program at the time written notice is given and “B” must still act as the
liaison for the natural parents/legal guardians and home school in students‟ home
country until the program ends for those students.

(3) With respect to placed and unplaced students who have not yet arrived to the
United States at the time written termination is given, AnB shall have the option,
in its sole discretion, to cancel any and/or all such students. In the case where AnB
cancels students, AnB shall refund any fees received from “B” pertaining to those
cancelled students within the ninety (90) day cancellation period. Should AnB
choose not to cancel particular students (or any students at all), “B” shall still be
obligated to pay AnB the normal fees associated with those students in accordance
with any and all pertinent sections of this Agreement, and AnB shall be obligated
to place and supervise those students in accordance with and subject to any and all
pertinent sections of this Agreement.
(4) This Agreement shall be terminated immediately should governing or control of
AnB be transferred, partially or in whole, to any other exchange program against
the wishes of AnB's President and Executive Director, or should the President and
Executive Director be removed from their responsibilities at AnB against their
wishes. Said termination shall not affect the rights of the Parties hereunder
accruing prior to the date of termination, but all obligations shall be immediately
void.
25. Indemnification
“B” agrees to indemnify “A” against (1) all liabilities and obligations of “B”
relating to the business not expressly assumed by “A”; (2) any damage, loss or
deficiency due to any breach of warranty, misrepresentation, or nonfulfillment of any
agreement on the part of the “B” contained in this agreement or in any other document
or list delivered or to be delivered to “A” in connection with this agreement; and (3) all
actions, suits, proceedings, judgments, costs and expenses connected with such breach
or misrepresentation.

26. Remedies of Breach

The failure of either Party to promptly institute legal action upon any breach of this
Agreement shall not constitute a waiver of that or any other legal breach hereof.

27. Authority to bind


Each Party represents and warrants it has not assigned its rights with respect to the
subject matter of this Agreement and each Party has full authority to bind the Party for
which it signs to this Agreement.

28. Assignees
26. AUTHORITY TO BIND
This Agreement shall bind and inure to the benefit of the successors and assigns of
the Parties and to all affiliates or any associated entities except as expressly contained in
this Agreement.
29. Interpretation of Agreement
This Agreement and its provisions shall not be construed or interpreted for or
against any Party because that Party drafted or caused the Party‟s attorney to draft any
of its provisions.

30. No Promise or Warranty


No promise or warranty shall be binding on any Party except as expressly
contained in this Agreement.

31. Modification
No abandonment or modification of this Agreement shall be valid unless signed to
in writing by the Parties.
32. Choice of Law
This Agreement shall be construed and enforced in accordance with the laws of
the commonwealth of Pennsylvania.
33. Consent to Jurisdiction and forum Selection
The Parties hereto agree that all actions or proceedings arising in connection with
this Agreement shall be tried and litigated exclusively in the State and Federal courts
located in the County of Montgomery, the Commonwealth of Pennsylvania. Such
choice of venue is intended by the Parties to be mandatory and not permissive in nature,
thereby precluding the possibility of litigation between the Parties with respect to, or
arising out of, this Agreement in any jurisdiction other than that specified in this
paragraph. Each Party hereby waives any right it may have to assert the doctrine of
forum non conveniences or similar doctrine or to object to venue with respect to any
proceeding brought in accordance with this paragraph, and stipulates that the State and
Federal courts located in the County of Montgomery, the Commonwealth of
Pennsylvania shall have in personal jurisdiction and venue over each of them for the
purpose of litigating any dispute, controversy, or proceeding arising out of or related to
this Agreement. Each Party hereby authorizes and accepts service of process sufficient
for personal jurisdiction in any action against it as contemplated by this paragraph by
registered or certified mail, return receipt requested, postage prepaid, to its address for
the giving of notices as set forth in this Agreement. Any final judgment rendered against
a Party in any action or proceeding shall be conclusive as to the subject of such final

judgment and may be enforced in other jurisdictions in any manner provided by law.

34. Compensation for damages


(1) “A “and “B” can ask for a compensation for damages to each party if the two
parties have suffered damages arising out of breach of this agreement.
(2) If “A” or “B” faces domestic, criminal, or civil charges concerning the offers
granted or the matters concerning this program, both parties shall act to be
respectful and sincere so to minimize damages. If any damages do occur, the
party that initiated the dispute shall have to compensate for the damages and this
agreement shall be construed and enforced in accordance with the laws of the
Commonwealth of Pennsylvania.

35. Force Majeure


If this agreement is stipulated due to natural disasters, war and mutiny, etc, the
parties shall not be responsible for the damages. Any accidents or damages that occur
due to the students‟ mistake or any irrational reason shall be compensated for with
insurance, but we shall not take any responsibility for the accidents. If there is anything
that is not explained clearly or anything that has to be taken into special consideration, a
separate consultation shall be available. Legal representatives should sign below as
proof of agreement, and both parties should keep a copy of this contract.

36. Notices.
All notices under this agreement must be in writing. The notices must be
delivered personally or mailed by certified mail, return receipt requested, to the other
party at the address written in this contract, or to that party‟s attorney.
