AGREEMENT
PART-A
Mr. Aditya Hridaya, S/o G.N Mishra office by name of Orange Homes Design & Consulting, address at
D-206, Swarn Kunj Colony, Katara Hills, Bhopal, MP. Herein after called the CONTRACTOR, which
term shall include his assigns and successors.
AND
Whereas the owners possess a house at H.no 58, Prithvi Courtyard, Samardha, Hoshangabad Road, Bhopal,
M.P and are desirous of interior works at house in the said location as per the plan and the specifications,
estimate’s rates and quantities, enclosed and forming part of this agreement.
1. Payment Terms: We propose rates as per Annexure II i.e. Estimate and terms for payment should
fulfill the condition as detailed in Annexure I.
2. Contract Value: Estimated/ Contract value is the total value of construction at the end of project
excluding GST. This contract is on a square foot/ Item Rate based contract. The cost per square feet
of built area or/and as mentioned in estimate. Any additional work of similar item is chargeable at
rates of estimate without discounted price.
3. Additional Works: For any other extra works or any additional requirements apart from work
mentioned in estimate will be treated as new work and separate estimate will be provided to you and

will be executed only upon approval of customer. All terms and condition will applicable as of this
contract with additional extension if execution time as per new scope of work.
4. Should the owner wish to purchase any Trade Supplier items through Company, we will provide you
with a detailed quote and all monies must be paid prior to purchasing of the items. The owner is
responsible for checking for any reportable damage once the items have been delivered, unless
otherwise agreed in writing.
5. Cost Escalation Charges: The rates in the schedule are based on the basic rates of major materials
(which cost more than 10% of item value) are taken like Plywood, Laminates, Labour, Hardware etc.
as in case of any escalation in these basic rates corresponding downward or upward adjustments shall
be made to the contracted amount/values. No escalation in respect of any other item or material or
account shall be permitted.
6. Invoice will be raised at particular stages of work; owner is liable to pay all invoices at time. Any
delay in payment is chargeable with 24% per annum interest rate. Same is valid for contractor in
event of delay of work from the given date in agreement which is applicable on balance
amount/work.
7. The owner shall alone be responsible for payment of all taxes, charges, expenses, that may be
payable with respect of the material and services including GST, Service Tax, Water, and Electricity
charges either assessed/charged individually or collectively.
8. The rates quoted in the schedule shall be for complete work in all respects and shall include all
direct, indirect and contingent costs, expenses including charges for scaffolding, hire for tools and
machinery, transportation charges and labour removal of debris, etc.
9. Authorized variations:
a. The contractor may with the consent of the owner omit from or add or vary any item of work
shown and described in the schedule.
b. All authorized variations for which a rate or price may not have been previously agreed upon
shall be measured and valued by the contractor. Items, for which no such rate exists shall be
worked at actual cost to the contractor at site of work plus GST of the actual cost provided the
contractor plus 15% margin of contractor.
10. If the OWNER chooses to supply any construction materials required, they shall be given credit for
the cost of such materials and the value shall be deducted out of the immediately succeeding running
bill.
11. Any product installed during project execution i.e., paints, wallpaper, fittings or furniture
recommended must be applied as indicated by the product instructions and directed by contractor.
Should you substitute a brand or its application process with a similar product or colour or method,
you do so at your choice. Company cannot be held responsible for the suitability of this product or
the end result.
12. Warranty: We provide 2 years free of cost onsite warranty for interior works and one year for civil
works. The company shall endeavour to its best efforts to provide services related to maintenance of
interior work for 24 months from the date of completion (From the date unit become functional at
site) of respective work(s) and that owner understands that warranty on hardware is as provided by
the manufacture only. Maintenance does not cover issues arising because of incorrect usage or
accidental impact or alterations by any party other than company or non-maintenance of delivered
interior work. Any replacement needed within warranty period for products under warranty will be
carried out by contractor in coordination with concerning agency.
13. Defects liability period:
a. Any defects or any other faults which may appear within three calendar months from the date of
completion of the work, shall upon the direction in writing of owner and within such reasonable
time as shall be specified therein be rectified and made good by the contractor at his own cost.

b. In case, of default on the part of the contractor to rectify and make good the defects within the
time specified by the Owner. The owner may employ and pay other persons to set right such
defects and faults and the entire cost and expenses incurred thereon shall be borne by / made good
by and/or be recoverable from the contractor.
14. Materials and workmanship:
All materials and workmanship shall be the best of the respective kind and described in the
schedules. Specific brands mentioned as per attached schedule.
15. Water And Power Supply: The owner shall arrange for temporary electrical connection, all
electricity and water charges during the course of the construction will be borne by the owner.
16. The Owner while retaining possession of the site has only permitted the contractor to enter upon
the property for the purposes of constructing a residential house. The owner shall be subsequently
entitled at any time to freely enter upon and exercise all acts of possession and ownership over the
aforesaid residential site.
17. Prevention of Performance: Should either the owner or company be prevented by a cause beyond
their control from performing their obligations in terms of this agreement, it may be terminated
without prejudice to the accrued rights of either party against each other.
18. Cancellation: The owner may at any time instruct the Contractor to suspend / terminate work on the
project with 30 days’ notice; this instruction shall be in writing and delivered to the address
stipulated herein. Rates for incomplete stages will be calculated pro rata basis. Your Design Scheme
(For Design & its Fee) cannot be cancelled or postponed once the Design Board has reached 50%
completion. One revision to the Design Board is included. Additional revisions will be billed at
prorate basis.
19. The company shall not be liable in any manner if they are unable to complete and deliver work of the
“Annexure II” property within the stipulated time for reasons beyond the control of the company
including reasons for non-availability of property, intervention of bodies such as builder, security,
Government authorities, and/or other persons and stay by the Court or Authority, act of God like
natural calamities, political unrest of any sort affecting law and order effecting progress of work.
20. The contractor shall work in coordination with other agencies involved in working on the
building. He shall render all co-operation and assistance to them. The contractor shall set right
damages caused to the building due to the work of electrical, sanitary and water supply, contractors,
for which he shall be paid accordingly.
21. The owner agrees that under no circumstance including that of any disputes or misunderstanding, the
owner shall not seek or cause the stoppage or stay of work or related activity or cause any
inconvenience or obstruction whatsoever.
22. The owner agrees to allow the contractor to photograph the project during all stages of Services
including when project is complete. Photographs will be used for business purposes, including, but
not limited to: press, publications, online, social media, marketing, advertising, and print. The
Contractor will not disclose address or owner’s name without prior consent.
23. The building contractor shall be responsible solely for the compliance, expense, liability, damages,
etc., on account of the following matters, under the relevant laws, enactments and the owner shall
not be liable for any such compliance, expense, liability, and damages under any circumstances.
a. Common-Law in respect of injuries, etc., to person and property, caused due to and arising out
of the carrying out the work under this contract.
b. The building contractor shall indemnify and keep indemnified the owner against all losses,
damages, fines, prosecutions, liabilities that may arise or accrue against the owner from the
contractor’s failure to adhere to all statutory obligations.
24. In case of any dispute or difference arises between the owner and the contractor, the decision of the
architect/Designer/ Independent Agency shall be binding on both the parties.

25. Should the company be commissioned for a limited service where a contract value is not available,
an estimated contract value will be assumed and agreed by both parties. This agreement is subject to
the laws and regulations of the Jurisdiction of Bhopal, Madhya Pradesh.
PART-B
SPECIFICATION
a) Payment can be raised after the completion of each stage as per Work Stages of Work Schedule,
payable through cheque/ cash/ Account. We allow 3 days to settle the outstanding amount from date of
invoice.
b) Work Stages:
1. 5% of total amount to be paid as slot booking.
2. 30% of total amount to be done while Finalizing Agreement (On Agreement Day).
3. 15% of total amount to be paid after first week of work start (while False Ceiling & Electrical
Work in Progress).
4. 15 % at time Carpentry basic structure work is done.
5. 20 % Laminate finish work is going on.
6. 10 % white painting work is going on.
7. 5 % of total work amount on handover day.
