CONTRACT OF SALE

THIS CONTRACT OF SALE (“Agreement”) is made the ..…… day of ……………..…….….

BETWEEN

MABEL TINUOLA OYEWUMI, of 1A, African Church Close, Ilupeju, Lagos State
(hereinafter referred to as the “Vendor” which expression shall where the context
so admits include its successors-in-title, representatives and assigns) of the One
Part;

AND

MESSRS ALMAR SOLITAIRE NIGERIA LTD of 29, Igbehinadun Street, Ojodu,


Berger, Lagos (herein referred to as “THE PURCHASER” which expression shall
where the context so admits includes his Heirs, Executors, Administrators,
Successors-in-Title, Assigns, Legal & Personal Representatives) of the other part.

The Vendor and the Purchaser shall, hereinafter, be referred to as the Parties.

WHEREAS:

1. The property hereinafter described and intended to be sold consists of a unit


of 2 Bedroom Flat located at Block D1 Flat 2, Plot 235, Lekki Gardens Horizon
1 Estate, Kusenla Road, Ikate - Elegushi, Lekki, Lagos State.

2. That the Vendor acquired the 2 Bedroom Flat via an Offer Letter dated the
16th of June 2013 from GT Rich Investment Limited.

3. That the Vendor and her predecessors – in – title have been in effective
possession and occupation of the property or hereditament, exercising
thereon numerous cogent and positive acts of ownership and open
possession from time immemorial – NECTI NEC CLAM PREGARIO.

4. The Vendor has agreed to sell and transfer her interest in the aforesaid
property to the Purchaser and the Purchaser has agreed to purchase the
Property at the rate of N21,000,000 (Twenty-One Million Naira) only.

NOW IT IS HEREBY AGREED AS FOLLOWS:

1. In pursuance of the said agreement and in consideration of the sum of


N21,000,000 (Twenty-One Million Naira) paid by the Purchaser to
the Vendor, (the receipt whereof the Vendor hereby acknowledges)
the Vendor as BENEFICIAL OWNER undertakes to sell and transfer
unto the Purchaser all that 2 Bedroom Flat located at Block D1 Flat 2,

Plot 235, Lekki Gardens Horizon 1 Estate, Kusenla Road, Ikate -
Elegushi, Lekki, Lagos State thereto, to HOLD UNTO the purchaser
free from all encumbrances subject however to the terms and
conditions herein contained.

2. Neither the Vendor nor anyone claiming through them shall at any
time after the execution of this agreement withdraw from the
transaction herein with the Purchaser or offer the Property to any
third party.

3. The Vendor hereby covenant with the Purchaser that the Vendor has
full powers and rights to sell and alienate the said Property to the
Purchaser and also covenant that the Property hereby to be sold and
transferred will be quietly enjoyed by the Purchaser without
interruption or disturbance from the Vendor or persons claiming by
or through, under or in trust for them or from any person or persons
claiming under a title superior to that of the Vendor.

4. The Vendor or anyone claiming through them has not done any act,
deed or transactions whatsoever in the past in relation to the
Property that would by so doing estop or prevent the Vendor or their
legal representatives from executing this agreement with the
Purchaser.

5. The Vendor shall as the Purchaser requires so to do execute and


produce all documents as well as supply all information necessary for
the preparation of title instruments transferring title to the Purchaser
as well as putting it into possession of the premises.

6. The Vendor hereby undertake to indemnify the Purchaser jointly and


severally against any loss, claims, actions, distress, proceedings,
demands and expenses which may be levied, brought or made against
the Purchaser by any person whatsoever or which the Purchaser may
incur by reason of any misrepresentation or non-disclosure of facts
material to this sale or defect in title of the Vendors.

7. No variation, modification, waiver or consensual cancellation of this


contract or any part thereof or consent to any departure therefrom,
shall in any way be of any force or effect, unless confirmed in writing
and signed by the parties and then such variation, modification,
waiver, cancellation or consensual cancellation shall be effective only
in the specific instance and for the purpose and extent for which it
was given or made.

8. The Vendor covenants to assist the Purchaser in anyway necessary in


processing the change of ownership in Lekki Gardens Estate Limited.

9. The Vendor covenants to aid the Purchaser in every way necessary, in
the perfection of Title in the Property,

10. The Vendor covenants that upon receipt of the payment of


N21,000,000.00 (Twenty-One Million Naira) only, the Vendor shall
immediately surrender and deliver the original OFFER LETTER,
ALLOCATION LETTER and KEYS TO THE APARTMENT, issued by
Lekki GARDENS and every document necessary, to the Purchaser,
Messrs’ Almar Solitaire Nigeria Limited.

11. The terms set out in this contract represent the entire Agreement
between the parties hereto with respect to the matters set forth
herein and supersedes all prior agreements with respect to such
matters.

12. This document shall have a binding effect on the parties as to all the
issues, matters or transactions relating to the transaction envisaged
herein.

IN WITNESS WHEREOF, the Vendor has hereunto set her hand and the Purchaser
has set its hand and seal the day and year first above written.
