ARTICLE 3: QUANTITY
Quantity: 21,000 set more or less 5% at Seller’s option.

Unit price: USD 120.00/ set FOB HCM port, Vietnam

Loading Port: HoChiMinh City port in Vietnam
Destination port: Tokyo port in Japan
Under this condition, the seller assumes all responsibility for the delivery of the
goods by the contract of sale and is responsible for all costs, risks and losses in the goods
before they are delivered on board the vessel, such as the costs of packing, the packaging is
checked until the goods are delivered on board the vessel at the named port of loading. From
that point forward the seller is no longer liable. Export clearance (provide export license, pay
taxes and other fees if any). Promptly notify the buyer that the goods have been loaded on
board .Notice of shipment: within 03 working days after loading the cargo, the seller
should inform the buyer of particulars of the shipment by fax 84650374689. Provide
documents such as commercial invoice, clean bill of lading, export license to prove the
goods have been loaded on board and other documents if the seller requires.
ARTICLE 6: Payment D/A

Payment by D/A payment method, the collecting bank only delivers documents to the
importer when the importer accepts payment for the set of documents.
This method allows the buyer not to pay immediately but must sign for payment on a
time draft, drawn by the seller/exporter. The accepted draft is normally kept in the safe of
the collecting bank (importer's bank) until maturity. By this date, the buyer must make the
payment as accepted.
The exporter usually allows the document to be delivered to the exporter after he or
she has accepted payment at a specified future date. The payment acceptance period is
specified in the exporter's collection order. Usually the payment period can be 30 days, 60
days or 90 days. After accepting payment, the exporter will receive a set of documents to
receive the goods. OK
ARTICLE 7: PACKING
Using cushioning materials such as Foam, Foam, Soft Foam… Soft foams are special
pads such as polyethylene (PE), polyurethane (PU), and polypropylene (PP) that have high
impact cushioning properties. It helps to protect fragile items from impact. Before packing
in the box, the items need to be wrapped and protected carefully. Wooden furniture is often
scratched and torn on impact, so it needs to be packed very carefully. It is not recommended
to tie goods with fabric cords, lanyards, etc. due to their low bearing capacity and non-
adhesive properties. It is recommended to use specialized wrapping film, thick nylon or
thick fabric, which will help wood furniture avoid scratches affecting the product value and
add more bearing materials (vapor film, shockproof foam ...) to avoid breakage during the
process. transport.
ARTICLE 8: TOLERANCE

ARTICLE 9: ARBITRATION
Any dispute arising out of or in relation with this contract shall be resolved by
arbitration at the Vietnam International Arbitration Centre (VIAC) in accordance with its
Rules of Arbitration”. Arbitration fees and other related charge shall be borne by the
losing party, unless otherwise agreed. OK
ARTICLE 10: GENERAL CONDITIONS

This Contract takes effect from the date of signing, any amendments and supplements
to these conditions will only take effect if it is made in writing and confirmed by the parties.
General transaction conditions must ensure equality between the parties. In case the
general transaction conditions contain provisions on exemption from liability of the party
providing the general transaction conditions, increasing liability or eliminating legitimate
interests of the other party, this provision shall not take effect, unless otherwise specified.
