This SERVICE LEVEL AGREEMENT (“Agreement”) made on ____ 23

(hereinafter referred to as the Client).

The Nature of the Agreement

Client is interested in subscribing Virtual Office Services (hereinafter referred to as the Services)

from Spacelance at it’s premise located at 715-A, 7th Floor, Spencer Plaza, Mount Road,

Chennai, Tamil Nadu, India - 600 002 (hereinafter referred to as the Premise). The whole of the

Premise remains the property of the Spacelance and remains in the Space lance’s possession

and control. Client acknowledges that this Agreement creates NO tenancy interest, leasehold or

other real property interest in Client’s favor. This Agreement is personal to Client and cannot be

transferred to anyone else.

ACKNOWLEDGMENT AND ACCEPTANCE OF TERMS OF USE.

The Services are offered to the Client conditioned on acceptance without modification, of the

terms and conditions, contained in this Agreement. Client’s use of the Service constitutes its

agreement to the terms and conditions stated in this Agreement. Each person that uses the

Service, or enters into a contract, in writing or online, on behalf of its employer or other third

party, represents that such person is authorized to accept these terms on its employer's or on

third party's behalf. Unless explicitly stated otherwise, the Terms of Service will govern the use

of any new features that augment or enhance the current Services, including the release of new

resources and services. In the case of any violation of these terms, Spacelance reserves the

right to cancel Services to Client immediately and seek all remedies available by law and in

equity for such violations.

Subscription Fees

Subscription fees is payable in advance i.e. before Client’s Expiry Date. Any dues in paying

subscription fees will cause the termination of the Services on the expiration date set forth at

the time of signup or payment. For late payments, Client has to pay an additional 2% penalty

every month on the amount due.

Refund Policy

Subscriptions are eligible for a refund, after reducing a 15% processing fees, within 7 days of

purchase. Refund can be issued to new subscribers only. Any subscription renewal payments

are not eligible for refund. For latest information on refund, please refer to our “Refund Policy”

link on our website footer .

Virtual Address Usage

Virtual Office usage will commence immediately after signing up and activating your account on

our website. Unless otherwise notified to Spacelance in writing, expiry date cannot be extended

due to “non usage” of Virtual Address.

The Client may use the Virtual Address issued by Spacelance for its business correspondence

only. The Client is permitted to use the Address as their Registered Office Address or use the

Address for GST Registration, Bank Account and any kind of Licenses only after getting a

written permission from Spacelance and paying any fees involved in providing such service.

Mail and Postage Handling

The Client can receive mails and postages at the “Virtual Address”. If Client wants Spacelance

to receive Registered mails or Certified mails at the Virtual Address, it has to provide a round

seal (rubber stamp) with Client’s Business name and virtual address and an authorization letter

giving Spacelance permission to receive mails on behalf of Client. If Client permits us,

Spacelance will order a round seal (rubber stamp) in Client’s business name and keep it in

Spacelance custody. In case Client denies seal, Spacelance may not be responsible for mails

that are not delivered by Indian Postal Service or Private Courier Companies due to non -

existence of seal.

Spacelance can receive up to 10 letters or packages per month free of charge for the Client. For

additional letters or packages, Spacelance will charge a handling fees of ₹10 per letter / package.

Spacelance cannot accept packages more than 5 Kg of weight or 1 cubic feet size. Spacelance

will notify the Client immediately up on receiving any postages. Client can pick up the mails from

the location free of cost.

Client may ask Spacelance to forward the mail to another address. In that case, the Client has to

pay the shipping and handling charge. Spacelance will determine the forwarding charge and send

an invoice to the Client. If a deposit amount is kept by the Client, Spacelance will deduct the

forwarding charge from that amount. If the Client has not kept a deposit amount, Spacelance will

ship the mail only after the payment of the forwarding charge. Spacelance is not liable for any

mails not collected within 30 days from receipt date.

Virtual Phone Number (For Standard and Ultimate Plans only)

If the Client subscribed to the “Standard” or the “Ultimate” Plan, it is eligible to use a Virtual

Phone Number from Spacelance.

Client is not the owner of any phone number assigned to it by Spacelance. The Client may use

the Virtual phone number on your business correspondence, business cards, websites and so

on. Spacelance will be saving all call records on it’s servers and will not share these records with

anyone else. If requested to do so, the Spacelance deserves the right to make the Clients call

logs available to the law authorities.

Spacelance will record Client’s calls up on request from client. Spacelance will keep the call

recordings on it’s servers and will not share it with anyone. However, Spacelance deserves the

right to make Client’s call recordings available to law authorities up on request.

Client can opt to forward the calls to Client’s virtual phone number to another number.

Spacelance can forward calls to a number with in India only. Call forwarding from Spacelance to

Client’s phone is considered as an outgoing call. Only 30 calls are free every month. After 30

calls, call forwarding charges may be applicable.

Spacelance’s Virtual Phone service is dependent on the service provider (e.g. BSNL). In case

the service provider’s service is interrupted, the virtual numbers may be interrupted.

Client agrees that the Client is not the owner of any virtual phone number assigned to them by

Spacelance. Upon termination of the services, the virtual number may be re-assigned to another

customer. Spacelance will change the phone number assigned to the Client in case the phone

service provider (e.g. BSNL) stops its operations or changes the number. Spacelance will not be

liable for damages (consequential or special) arising out of such re-assignment or number change

of number. Client hereby waives any claims with respect to such change.

Live Reception (For Ultimate Plan only)

If the Client subscribed to Ultimate Plan, it is entitled to use “Live Reception” service for its call

answering. Live Reception Service will be available only during normal business hours from

Monday to Friday 9 AM to 5 PM and Saturdays 9 AM – 1 PM. After the business hours, Client

may opt to forward the call to another phone number or forward to voicemail.

Spacelance can answer maximum of 10 calls per day. If Client is expecting higher call volume on

a particular day, it has to notify Spacelance and we can handle higher call volume for a specified

fee.

Hours of operation

Spacelance is open for business from Monday to Saturday from 9 AM to 5 PM IST. We are closed

on major public holidays of India and on regional holidays of Tamil Nadu State. Live Reception

and Customer Support will be available only during the business hours.

Termination of Service

The Client may decide to terminate the service any time. The Service will be automatically

terminated on the Expiry Date unless the subscription is renewed. Upon termination of the

Service, the Client must cease the use of Virtual Address and Virtual Phone Number issued by

Spacelance IMMEDIATLEY from all places including but not limited to business cards, w ebsites,

stationary, advertising material, licenses, certificates etc. If the Client used the Address for any

type of registration or Licenses, it has to change the address within 10 days after termination of

service. Spacelance deserves the right to take action against those who found in breach of this

requirement.

Spacelance reserves the right to terminate the service and this agreement without notice whose

activity might adversely affect Spacelance reputation or Spacelance’s normal operation.

Spacelance will terminate the service any time in case Client violates any clause in this

Agreement. Spacelance will terminate the service any time in case the Client activities reported to

be fraudulent. Spacelance will terminate the service if any Client found to be abusive to the

Spacelance’s staff.

Nature of Business

Client has to explain its nature of business in writing on this agreement. The Client agrees with

Spacelance not to carry on any business which could be construed illegal, prohibited by law,

defamatory, immoral or obscene and agrees not to use the address of Spacelance whether

directly or indirectly for any such purpose or purposes.

If the Client changes nature of business it must notify Spacelance in writing.

Conflicting Business

The Client should not directly or indirectly or though agents operate a business that competes

with Spacelance’s business of providing serviced offices and virtual offices and shared office

space.

Liability

Spacelance will not be liable for any loss sustained as a result of Spacelance failure to provide a

Service as a result of any Software Glitches, Mechanical breakdown, Strike, Loss of electric

power, or termination of Spacelance interest in the building containing the office. Spacelance

does not accept liability for actions, services of/by third parties in anyway whatsoever, including

delays & Non-receipt of messages or communication due to delays or failures in the email, SMS

or fax systems, Phone, courier or postal service.

Further, Spacelance shall not be responsible or liable to Client for any loss or damage resulting

to Client by reason including but not limited to flood, fire, hurricane, riots, explosion, acts of God,

war, terror, governmental action, or any other cause which is beyond reasonable control of

Spacelance

Confidentiality

Client recognizes that it may, in the course of obtaining or using the Services, come into

possession of or learn confidential and proprietary business information of ("Confidential

Information") about Spacelance. Client agrees that during the Term of this Agreement and

thereafter: (a) Client shall provide, at a minimum, the care to avoid disclosure of unauthorized

use of Confidential Information as is provided with respect to Client's own similar information,

but in no event less than a reasonable standard of care; (b) Client will use Confidential

Information solely for the purposes of this Agreement; and (c) Client will not disclose

Confidential Information to any third party without the express prior written consent of

Spacelance.

Similarly, Spacelance recognizes that it may, in the course of obtaining or using the Services,

come into possession of or learn confidential and proprietary business information of

("Confidential Information") about Client. Spacelance agrees that during the Term of this

Agreement and thereafter Spacelance shall provide, at a minimum, the care to avoid disclosure

of unauthorized use of Confidential Information of Client.

If Spacelance transfers its business or any business segment that provides services to Client,

Spacelance is authorized to transfer all user information to Spacelance's successor.

Indemnity

The Client hereby agrees to indemnify and keep and hold Spacelance indemnified and harmless

from and against all claims, proceedings, damages, losses, actions, costs and expenses arising

as a consequence of or out of this Agreement or arising from any breach of rules and regulation s

of TRAI and DOT or any other applicable law in the use of communication products

All indemnities shall survive the expiry or termination of this Agreement.

Ownership

All programs, services, processes, designs, software, technologies, trademarks, trade na mes,

inventions and materials developed by Spacelance are wholly owned by the Spacelance and/or

its licensors except where expressly stated otherwise.

Renewal of Service

This agreement can be renewed for further period by mutual consent of the Client and the

Spacelance subject to any necessary revision of the terms and conditions.

 If the Client has obtained any type of Registrations or Licenses using Spacelance Premise

Address, and not renewed the Services on Expiry Date or on Termination of this agreement, the

Client has agreed to change the addresses in all such Registrations & Licenses that the Client has

taken, within 10 calendar days of Expiry Date.

If the address is not changed within 10 calendar days, Spacelance has the right to inform the

corresponding department that Clients address is no longer valid and cancel any registrations or

licenses which Client has taken at the Premise. Spacelance deserves the right to take legal

action against those who found in breach of this requirement.
