    This memorandum of agreement is between a Broker and a Salesperson to work together on real estate transactions. The Salesperson will apply for their own accreditation and update listings and deals on a shared document. For each closed deal, 10% of the commission goes to operational expenses and 12% VAT may be deducted. The remaining amount will be shared, with the Salesperson getting 30% of commissions from the Broker's listings and 40% from their own listings. Both parties agree to honesty and transparency. The Salesperson cannot deal with other agents or use other licenses without the Broker's knowledge during the agreement period. Either party can terminate with one month notice.

    MEMORANDUM OF AGREEMENT

    KNOW ALL MEN BY THESE PRESENTS:

    This Memorandum of Agreement (“Memorandum”) is made and executed by and between:

    ______________________, of legal age, Filipino, and with postal address at


    ___________________________________________________, (hereinafter referred to as the
    “BROKER”).

    - AND –

    _________________________________, of legal age, Filipino, and with postal address at


    ______________________________________________________________ (hereinafter re-
    ferred to as the “SALESPERSON”).

    (The BROKER and the SALESPERSON are hereinafter collectively referred to as the “Parties”).

    WHEREAS, the BROKER is the sole and absolute licensed Broker the SALESPERSON shall
    deal with;

    WHEREAS, the BROKER has the full legal right, capacity and capability to know all dealings
    of the SALESPERSON;

    WHEREAS, the SALESPERSON shall only do transactions with the BROKER’s full knowl-
    edge;

    WHEREAS, the Parties have agreed to work with each other under the following terms and con -
    ditions:

    Section 1. Roles and Responsibilities

    1. The SALESPERSON shall apply for his/her own Accreditation under PRC at her own expense.
    2. The SALESPERSON shall update the google sheet for any new listings, leads and deals.
    3. The SALESPERSON shall communicate with the BROKER any potential listings, leads and
    deals and any concerns they might encounter.
    4. For every deal the Parties close, 10% of the commission goes to the company for operational ex-
    pense.
    5. Should the transaction require Official Receipt, 12% VAT shall also be deducted from the com-
    mission.
    6. Remaining amount shall be deemed as the net commission to be shared by the Parties.

    Section 2. Commission Sharing

    1. The SALESPERSON shall get 30% of the net commission of all listings and leads
    sourced by / from the BROKER.
    2. The SALESPERSON shall get 40% of the net commission of all listings and leads he/she
    directly sourced.

    Section 3. Representations and Warranties


    3.1. The Parties agree to do all transactions with honesty, integrity and transparency.
    2. During the validity of this Memorandum, the SALESPERSON shall not deal with any
    other Agent without the knowledge of the BROKER.
    3. During the validity of this Memorandum, the SALESPERSON shall not use other peo-
    ple’s license for his/her benefits.

    Section 4. Termination

    Should either party decide to terminate this agreement, the deciding party shall notify the other party one month be -
    fore the effectivity date to ensure smooth turnover of transactions.
