    employees, free and harmless from any and all loss, damage, actions, claims, liabilities of whatever kind and nature
    which BDO or any third person or entity may suffer in connection with or as a consequence of any misrepresentation
    made herein, my/our execution of this Indemnity Undertaking, and BDO’s grant of the loan/credit facility despite such
    discrepancy in the names indicated in the documents I/we submitted to BDO, and (b) that any misrepresentation made
    herein shall be deemed an event of default under the loan/credit facility which shall give BDO the right to: (1) declare
    the loans/promissory note or notes covering the loan/credit facility to be immediately due and payable without need
    of any prior notice to or demand upon me/us regardless of the maturities stated therein, and (2) avail of any and all
    remedies to which BDO is entitled under the law and any contract, agreement or document.

    5. I/We am/are executing this Indemnity Undertaking to attest to the truth of the foregoing statements and for
    whatever legal purpose it may serve.
