DEED OF ASSIGNMENT
KNOW ALL MEN BY THESE PRESENTS:
This deed of assignment made and executed by and between:
LIA ATIENZA, of legal age, Filipino citizen, and with
postal address at 4403 Bluebell Rd., Sun Valley Subdivision, Parañ aque City now and hereinafter referred to as the ASSIGNOR; -and- MACREN DE ROXAS GUIAO, of legal age, Filipino citizen and with postal address at 350 San Juan Bautista, Betis Guagua, Pampanga now and hereinafter referred to as the ASSIGNEE; WITNESSETH
That the ASSIGNOR is the owner of One Hundred Twenty-Five Thousand
(125,000) shares of the Capital Stock of ASTUTE ALLIANCE INC., with par value of One (P1.00) peso, Philippine Currency, per share, fully subscribed and with Ninety Thousand (90,000) SHARES paid up;
That the ASSIGNOR has offered for the assignment of, One Thousand Two Hundred Fifty (1,250) Shares of the Capital Stock of ASTUTE ALLIANCE INC. to the ASSIGNEE who is willing to accept the same from the ASSIGNOR;
That for and in consideration of the sum of Nine Hundred (P900.00) pesos, Philippine Currency, in hand paid and receipt of which is hereby acknowledge by the ASSIGNOR from the ASSIGNEE, the ASSIGNOR has ASSIGNED and CONVEYED, as he does hereby assign and convey unto the ASSIGNEE, all the rights, title and interest in and to the said One Hundred Twenty-five Thousand (125,000) shares of the Capital Stock of ASTUTE ALLIANCE INC. free from all liens and encumbrances whatsoever.
That the ASSIGNOR hereby warrant that he is the true and lawful owner of the shares of stock herein assigned, that the valid title thereto and shall defend the same unto the ASSIGNEE against any and all claims of any third person whatsoever.
That the ASSIGNEE hereby assume all the rights, obligations and liabilities in connection with the subscription and as holder of the above said One Thousand Two Hundred Fifty (1,250) shares of the Capital Stock of ASTUTE ALLIANCE INC.
