MEMORANDUM OF AGREEMENT

KNOWN ALL MEN BY THESE PRESENT:

This Agreement is made and entered into this day of March 2024 at City of San
Fernando, Pampanga, Philippines between:

COLLEGE OF NURSING AND PHARMACY UNIVERSITY OF THE


ASSUMPTION, through the College of Nursing and Pharmacy, a private
education institution duly recognized by the Commission on Higher Education
(CHED), with office address at Unisite Subdivision, Barangay Del Pilar, City of
San Fernando, Pampanga, Philippines, Represented by its President, Rev. Fr.
Joselito C. Henson,S. Th. D

-and-
The 999 Seth Pharmaceutical Inc., a company duly organized under the law of
the Philippines with securities and Exchange Commision (SEC) Registration No.
CS200609149, with office located at L19 B25 2/F JP RIZAL AVE. COR JAENA
ST. KALAYAAN VILLAGA, QUEBIAWAN SAN FERNANDO, PAMPANGA
Presented herein by MR. GAUDENCIO C. ARCILLA JR/ HR Supervisor
referred to as the “Host Training Establishment” or “HTE.”

Witnesseth:

WHEREAS, Drug Distributor is a duty registered corporation which is engaged in


the production business, is able, ready and willing to provide industrial pharmacy
internship at the DRUG DISTRIBUTOR.

WHEREAS, UA is an educational institution in which offers Bachelor of Science


in Pharmacy with a curriculum requirement that the interns enrolled in the above
mentioned program undergo industrial pharmacy internship for a minimum 150
hours.

NOW THEREFORE, in connection with the above premises and their mutual
covenants here after set forth, the parties have agreed as follows:

I. The DRUG DISTRIBUTOR agrees and allows the internship (on- the- job
training), subject to the policies, procedures guidelines governing the internship
(on-the-job training) set forth by the parties to this contract.

1. RESPONSIBILITIES OF THE MANUFACTURING:

1. Provide maximum opportunity for the interns to gain experience and


training, utilizing all available materials and equipment of the DRUG
DISTRIBUTOR.

2. Closely coordinate with Pharmacy Internship Coordinator for the


supervision of the interns on matters like shifting schedules, house rules
carrying out of official duties and other details pertinent to internship.

3. Conduct an orientation for the interns on policies and procedures


before the internship (on-the-job training).

4. Issue the necessary certification after the students shall have


completed the required number of training hours and fill out the
necessary evaluation form on the students’ performance, both in
practical and theoretical aspects of the internship.

5. Before the on-the-job training expires, the DRUG DISTRIBUTOR shall


evaluate and assess the performance of the trainees. Should the trainee.
fail to meet the requirement of the on-the-job training, or should the
trainee violate any of the policies of the DRUG DISTRIBUTOR, the
furnish a copy to UA and terminate this contract stating the reason for the
failure of the trainee to continue to qualify.

2. RESPONSIBILITIES OF UA:

1. Require the interns to attend the orientation.

2. Require the interns to abide by all the rules and regulation of the
DRUG DISTRIBUTOR.

3. Assign Training Instructors at the DRUG DISTRIBUTOR for the


internship (on-the-job training).

4. Assume responsibility for any and all acts of interns.

5. Require the interns to have medical clearance.

6. Undertake and ensure that all of its assigned students procure liability
insurance prior to their deployment for training to the DRUG
DISTRIBUTOR. That said liability insurance shall serve to respond for
any loss, damage injury or harm that may be cause by the student’s fault
or negligence during the training period.

7. Inculcate on the trainees assigned to the DRUG DISTRIBUTOR,


compliance with the DRUG DISTRIBUTOR’s policies on Attendance and
Punctuality, Grooming Decorum and the Code of Discipline

8. Any breach of confidentiality or any unethical act which may result due
to the act, omission or negligence of nay student. In this regard, the UA
exempts the DRUG DISTRIBUTOR from any liability.

II. COMMON PROVISIONS

1. the interns of the School shall not receive or be entitled to any compensation
other that those voluntarily given by the DRUG DISTRIBUTOR during the
internship (on-the-job training).

2. The interns from US shall not be considered as employees of the DRUG


DISTRIBUTOR, within the contemplation of law and therefore not entitled to
labor standard benefits being given to employees of the DRUG DISTRIBUTOR.

3. The DRUG DISTRIBUTOR reserves the right to refuse an intern or refuse


completion of the required number of hours due to the reason stated in or related
incidents thereof.

4. The UA undertakes to comply with all the government requirements in


connection with this program and shall free the DRUG DISTRIBUTOR of any
and all liabilities before and all governmental institution with respect to the
program.
5. The DRUG DISTRIBUTOR is free from liability, should the intern suffer injury
or illness while inside the premises of the DRUG DISTRIBUTOR more so if the
intern failed to follow the safety procedure/ policies or acts without supervision.

6. This Agreement shall commence on ____________ and shall be deemed


terminated on ______________ unless renewed by either party.
