RETAINER AGREEMENT

KNOW ALL MEN BY THESE PRESENTS:

That this AGREEMENT made and entered into by and between:

Zhanlin Marketing Distribution Inc. a business entity duly existing under and by virtue of the
laws of the Republic of the Philippines with branch office address Real St. Brgy. Songco Borongan
City, Eastern Samar, herein represented by its proprietor, CHRISTEL KATE TY, of legal age, single,
Filipino, and with residence aforementioned, hereinafter referred to as the CLIENT-
-and-

Atty. DEMETRIO MEDINO J. ACUBA, of legal age, single, Filipino, a resident of City
Homes Subd., Brgy. Tagbayaon, Jiabong, Samar and with office address at ACUBA and ACUBA
LAW OFFICES, 196 San Bartolome St. Brgy. 3, Catbalogan City, hereinafter referred to as the
ATTORNEY,

WITNESSETH:

WHEREAS, the ATTORNEY offered its professional legal services to the CLIENT an
CLIENT agrees to retain the professional legal services of the LAW FIRM under a retainership
basis, subject to the terms and conditions hereinafter stipulated:

NOW THEREFORE, for and in consideration of the mutual covenants and agreements
herein agreed upon, the CLIENT and the ATTORNEY, by these presents, have entered, as they
hereby enter, into a contract of services whereby the ATTORNEY shall render legal services to
the CLIENT, under the following terms and conditions:

1. The term or duration of this contract shall be for one (1) year effective upon signing
of this agreement and shall automatically renewed on a year to year basis unless either
party pre-terminates the same upon serving a thirty (30) day-prior written notice to the other
party, without need of cause;

2. The ATTORNEY while in the performance of its duties, shall be entitled to a fixed
monthly retainer fee of PESOS: SIX THOUDSAND (P6,000.00), Philippine Currency;

3. The LAW OFFICE shall make itself available for ready consultation by the CLIENT
or its duly authorized officers in all matters or business requiring legal advice and opinion
affecting the said corporation in general. Written opinions rendered by the ATTORNEY on
matters affecting the business and operations of the corporation shall be subject to
confirmations;

4. The ATTORNEY shall handle other cases as referred to it by the CLIENT for a fee
that shall be determined by mutual agreement of the law firm and the CLIENT, on a case to
case basis, such as, but not limited to, all suits or cases for or against the client, including
officers and employees of the client sued in their official capacity;

5. The ATTORNEY shall render documentation and notarial services to the CLIENT as
part of this retainership. Client’s documents relative to its business operations shall be
notarized free of charge, however, documents requiring the participation and signature of a
party other than the CLIENT shall be subject to additional fees and charges at the following
rates:

a. Preparation of Demand Letters, Answer-Letter, Notice of Collection, Notice to


Vacate, Special Power of Attorney of Client, Certification of Client, and other similar
documents for the CLIENT’s regular business operation:

FREE OF CHARGE

b. Notarization fee for already prepared documents (bidding documents)
affidavits, Special Power of Attorney, and other prepared documents
relative
to CLIENT’s business operation

FREE OF CHARGE;

c. Preparation of Compromise Agreement, Undertaking, Special Power of


Attorney other than client, Chattel and Real Estate Mortgage, Promissory
Notes, Acknowledgment of Debt, Renewal and Cancellation of Mortgage,
and other similar documents requiring the participation and signatures of
other party/ies and CLIENT

.P500.00 or 1% of the consideration whichever is higher;

d. Notarization of already prepared documents but requiring the participation


and signature of a party/ies other than the CLIENT:

P100.00 per document

e. ,Notarization and/or Preparation of Deed of Sale, Extrajudicial Settlement,


Donation, Waiver, and other real estate conveyances:

P1500.00 or 1% of the consideration or


FMV of the property whichever is higher

f. In case of extrajudicial foreclosure of mortgage endorsed to the LAW FIRM


by the CLIENT, the attorney’s fees shall be at the rates provided as
follows:

P1,000,00 or 10% of claim whichever is higher;

6. In collection cases other than extrajudicial foreclosure of mortgage, the attorney’s


fees shall be at the rates provided as follows:

Small claims filed at the MCTC P5,000.00


Sum of Money filed at the RTC P5,000.00 and 10% of the
amount collected

7. Clerical and routine expenses for mailing of demand letters, pleadings to court and
copies thereof to adverse parties, costs of photocopy of evidentiary documents,
payment of stenographic notes, costs of publication of notice, as well as filing fees and
other legal expenses in court and other appropriate government offices shall be for the
account of the CLIENT;

8. The ATTORNEY shall not, either during the term of this contract or any time
thereafter, use or disclose to any person, office, corporation or entity any confidential
information concerning the affairs of the CLIENT which it may have acquired in the
course of or as incident to this contract for its own benefit, or to the detriment of the
probable detriment of the CLIENT;

9. It is understood and agreed that nothing in this contract shall be construed as
establishing the relationship of employer-employee between the CIENT and the
ATTORNEY, including its personnel;

10. The ATTORNEY may represent the CLIENT in all suits and proceedings
pending or which may be pending in Catbalogan City or environs wherein the CLIENT is
a party, or its rights and interest are involved, at the direction of the CLIENT, including
in case of Appeal cased, which shall be based on time efforts, research materials used
thereto, and the retained counsel shall be entitled to the payment of the attorney’s fee
which shall be agreed upon by the CLIENT and the RETAINER ATTORNEY on the
case to case basis;

11. The ATTORNEY shall not, either during the term of this contract or any time
thereafter, use or disclose to any person, office, corporation, or entity any confidential
information concerning the affairs of the CLIENT which it may have acquired in the course
of or as incident to this contract for its own benefit, or to the detriment of the probable
detriment of the CLIENT;

12. It is understood and agreed that nothing in this contract shall be construed as
establishing the relationship of employer-employee between the CIENT and the
ATTORNEY, including its personnel;

13. Any violation of the terms and conditions of this contract by the ATTORNEY shall
give the CLIENT the option to rescind or cancel immediately the contract without the
necessity of judicial proceedings;

14. The CLIENT reserves the right to terminate this Agreement without need of cause.

This AGREEMENT, made and executed in the City of Catbalogan, Province of Samar, by and
between:

DU EK SAM, INC. (DES), a business entity duly organized and existing under and by virtue
of the laws of the Republic of the Philippines with business address at San Bartolome St.,
Catbalogan City, herein represented by its Manager, JOEL S. SENO, of legal age, married, Filipino
and with residence at Catbalogan City, hereinafter called the CLIENT-

-and-

ACUBA AND ACUBA LAW AND NOTARIAL OFFICE, a law firm organized and existing under
and by virtue of the laws of the Republic of the Philippines with business address at Ground Floor,
Laohoo Building, 196 San Bartolome St., Catbalogan City, represented by its owner, ATTY. MEDINO
L. ACUBA, of legal age, married, Filipino and a resident of Jiabong, Samar, hereinafter called the
“LAW OFFICE”

WITNESSETH:

WHEREAS, the LAW OFFICE has offered its professional legal services to the CLIENT an
CLIENT agrees to retain the professional legal services of the LAW OFFICE under a retainership
basis, subject to the terms and conditions hereinafter stipulated:

NOW THEREFORE, for and in consideration of the mutual covenants and agreements herein
agreed upon, the CLIENT and the LAW OFFICE, by these presents, have entered, as they hereby
enter, into a contract of services whereby the LAW OFFICE shall render legal services to the
CLIENT, under the following terms and conditions:

1. The term or duration of this contract shall be for one (1) year effective upon signing
of this agreement and shall automatically renewed on a year to year basis unless either
party pre-terminates the same upon serving a thirty (30) day-prior written notice to the
other party, without need of cause;

2. The LAW OFFICE, while in the performance of its duties, shall be entitled to a fixed
monthly retainer fee of PESOS: FIVE THOUSAND (P5,000.00), Philippine Currency;

3. The LAW OFFICE shall make itself available for ready consultation by the CLIENT
or its duly authorized officers in all matters or business requiring legal advice and opinion
affecting the said corporation in general. Written opinions rendered by the LAW OFFICE on
matters affecting the business and operations of the corporation shall be subject to
confirmations;

4. The LAW OFFICE shall render documentation and notarial services to the CLIENT as
part of this retainership. Client’s documents relative to its business operations shall be
notarized free of charge, however, documents requiring the participation and signature of a
party other than the CLIENT shall be subject to fees or charge at the following rates:

g. Preparation of Demand Letters, Notice of Collection, Notice to Vacate,


Special Power of Attorney of Client, Certification of Client, and other similar
documents for the CLIENT:

FREE OF CHARGE

h. Preparation of Compromise Agreement, Undertaking, Special Power of


Attorney other than client, Chattel and Real Estate Mortgage, Promissory
Notes, Acknowledgment of Debt, Renewal and Cancellation of Mortgage,
and other similar documents requiring the participation and signature of
other party/ies and the CLIENT;

P500.00 or 1% of the consideration whichever is higher

i. Notarization fee for already prepared documents but requiring, notarization


like Chattel and Real Estate Mortgage, Promissory Notes, SPA, Renewal
and Cancellation of Mortgage, Acknowledgment of Debt, Undertaking, and
other similar documents with signatures of party/ies other than CLIENT,
except for Deed of Sale, Donation, Waiver and Assignment of Rights,
Extrajudicial Settlement and other real estate conveyances:

P100.00 per document

5. In case of extrajudicial foreclosure of mortgage endorsed to the LAW OFFICE by the


CLIENT, the attorney’s fees shall be at the rates provided as follows:

P1,000,00 or 10% of claim whichever is higher;

6. In collection cases other than extrajudicial foreclosure of mortgage, the attorney’s fees
shall be at the rates provided as follows:

Small claims filed at the MCTC P5,000.00


Sum of Money filed at the RTC P5,000.00 and 10% of the
amount collected

7. Other than collection cases, the LAW OFFICE shall handle cases as referred to it by
the CLIENT for a minimal fee that shall be determined by mutual agreement of the law
office and the CLIENT, on a case to case basis, such as, but not limited to, all suits or
cases for or against the CLIENT, including officers and employees of the CLIENT sued in
their official capacity;

8. Routinary expenses for mailing of demand letters, pleadings to court and copies
thereof to adverse parties, costs of photocopy of evidentiary documents, payment of
stenographic notes, costs of publication of notice, as well as filing fees and other legal
expenses in court and other appropriate government offices shall be for the account of the
CLIENT;

9. The LAW OFFICE shall, whenever requested by the CLIENT take immediate
measures to investigate the facts and ascertain the legal position of the CLIENT concerning
any accidents, claim or liability and shall on such cases do what may be required for the
protection of the CLIENT. The LAW OFFICE may represent the CLIENT in all suits and
proceedings pending or which may be pending in Catbalogan City or environs wherein the
CLIENT is a party, or its rights and interest are involve, at the direction of the CLIENT,
including in case of Appeal cased, which shall be based on time efforts, research materials
used thereto, and the retained counsel shall be entitled to the payment of the attorney’s fee
which shall be agreed upon by the CLIENT and the RETAINER ATTORNEY on the case to
case basis;

10. The LAW OFFICE shall keep in its office a docket of record in which it shall cause to be
recorded all proceedings connected with any action which the client is interested and shall
keep such other records necessary to preserve a complete history of the business of the
CLIENT entrusted to its charge, Said docket and records shall be subject to the inspection
and control of the CLIENT or its representative;

11. The LAW OFFICE shall submit to the CLIENT at least once every quarter or often as
required, written reports on all pending matters handled by the LAW OFFICE for the CLIENT;

12. The LAW OFFICE shall not, either during the term of this contract or any time thereafter,
use or disclose to any person, office, corporation or entity any confidential information
concerning the affairs of the CLIENT which it may have acquired in the course of or as
incident to this contract for its own benefit, or to the detriment of probable detriment of the
CLIENT;

13. It is understood and agreed that nothing in this contract shall be construed as
establishing the relationship of employer-employee between the CIENT and the LAW
OFFICE, including its personnel;

14. Any violation of the terms and conditions of this contract by the LAW OFFICE shall
give the CLIENT the option to rescind or cancel immediately the contract without necessity of
judicial proceedings;

15. The CLIENT reserves the right to terminate this Agreement without need of cause or
reason upon thirty-day written notice to the LAW OFFICE.

reason upon thirty-day written notice to the LAW OFFICE.

other similar documents requiring the participation and signature of other
party/ies and the CLIENT;

o. Notarization fee for already prepared documents but requiring, notarization


like Chattel and Real Estate Mortgage, Promissory Notes, SPA, Renewal
and Cancellation of Mortgage, Acknowledgment of Debt, Undertaking, and
other similar documents with signatures of party/ies other than CLIENT,
except for Deed of Sale, Donation, Waiver and Assignment of Rights,
Extrajudicial Settlement and other real estate conveyances:

P100.00 per document

34. In case of extrajudicial foreclosure of mortgage endorsed to the LAW


OFFICE by the CLIENT, the attorney’s fees shall be at the rates provided as follows:

P5,000,00 or 10% of claim whichever is higher

35. In collection cases other than extrajudicial foreclosure of mortgage, the


attorney’s fees shall be at the rates provided as follows:

Small claims filed at the MCTC P5,000.00


Sum of Money filed at the RTC P5,000.00 and 10% of the
amount collected

36. Other than collection cases, the LAW OFFICE shall handle cases as referred
to it by the CLIENT for a minimal fee that shall be determined by mutual agreement of the
law office and the CLIENT, on a case to case basis, such as, but not limited to, all suits or
cases for or against the CLIENT, including officers and employees of the CLIENT sued in
their official capacity;

37. Routinary expenses for mailing of demand letters, pleadings to court and
copies thereof to adverse parties, costs of photocopy of evidentiary documents, payment of
stenographic notes, costs of publication of notice, as well as filing fees and other legal
expenses in court and other appropriate government offices shall be for the account of the
CLIENT;

38. The LAW OFFICE shall, whenever requested by the CLIENT take immediate
measures to investigate the facts and ascertain the legal position of the CLIENT concerning
any accidents, claim or liability and shall on such cases do what may be required for the
protection of the CLIENT. The LAW OFFICE may represent the CLIENT in all suits and
proceedings pending or which may be pending in Catbalogan City or environs wherein the
CLIENT is a party, or its rights and interest are involve, at the direction of the CLIENT,
including in case of Appeal cased, which shall be based on time efforts, research materials
used thereto, and the retained counsel shall be entitled to the payment of the attorney’s fee
which shall be agreed upon by the CLIENT and the RETAINER ATTORNEY on the case to
case basis;

39. The LAW OFFICE shall keep in its office a docket of record in which it shall cause to
be recorded all proceedings connected with any action which the client is interested and shall
keep such other records necessary to preserve a complete history of the business of the
CLIENT entrusted to its charge, Said docket and records shall be subject to the inspection
and control of the CLIENT or its representative;

40. The LAW OFFICE shall submit to the CLIENT at least once every quarter or often as
required, written reports on all pending matters handled by the LAW OFFICE for the CLIENT;

41. The LAW OFFICE shall not, either during the term of this contract or any time
thereafter, use or disclose to any person, office, corporation or entity any confidential
information concerning the affairs of the CLIENT which it may have acquired in the course of
or as incident to this contract for its own benefit, or to the detriment of probable detriment of
the CLIENT;

42. It is understood and agreed that nothing in this contract shall be construed as
establishing the relationship of employer-employee between the CIENT and the LAW
OFFICE, including its personnel;

43. Any violation of the terms and conditions of this contract by the LAW OFFICE shall
give the CLIENT the option to rescind or cancel immediately the contract without necessity of
judicial proceedings;

44. The CLIENT reserves the right to terminate this Agreement without need of cause or
reason upon thirty-day written notice to the LAW OFFICE.

RETAINER CONTRACT

KNOW ALL MEN BY THESE PRESENTS:

This AGREEMENT, made and executed in the City of Catbalogan, Province of


Samar, by and between:

PANJOBJOBAN LENDING CORPORATION (PLC), a business entity duly organized


and existing under and by virtue of the laws of the Republic of the Philippines with business
address at Del Rosario St., Catbalogan City, herein represented by its Proprietor and
General Manager, ERNESTO C. PRUDENCIADO, of legal age, married, Filipino and with
residence at St. Therese St., Provident Village, Tañong, Marikina City, herein represented by
TERESITA PULLIN, of legal age, married, Filipino and with residence at Del Rosario St.,
Catbalogan City, hereinafter called the CLIENT-

ACUBA LAW OFFICE, a law firm organized and existing under and by virtue of the
laws of the Republic of the Philippines with business address at Ground Floor, Laohoo
Building, 196 San Bartolome St., Catbalogan City, represented by its owner, ATTY. MEDINO
L. ACUBA, of legal age, married, Filipino and a resident of Jiabong, Samar, hereinafter called
the “LAW OFFICE”

WITNESSETH:

WHEREAS, the LAW OFFICE has offered its professional legal services to the CLIENT
an CLIENT agrees to retain the professional legal services of the LAW OFFICE under a
retainership basis, subject to the terms and conditions hereinafter stipulated:

NOW THEREFORE, for and in consideration of the mutual covenants and agreements
herein agreed upon, the CLIENT and the LAW OFFICE, by these presents, have entered, as
they hereby enter, into a contract of services whereby the LAW OFFICE shall render legal
services to the CLEINT, under the following terms and conditions:

45. The term or duration of this


contract shall be for one (1) year effective upon signing of this agreement and
shall automatically renewed on a tear to year basis unless either party pre-
terminates the same upon serving a thirty (30) day-prior written notice to the
other party, without need of cause;

46. The LAW OFFICE, while in the performance of its duties, shall be entitled to
a fixed monthly retainer fee of PESOS: FIVE THOUSAND (P5,000.00),
Philippine Currency,

47. The LAW OFFICE shall make itself available for ready consultation by the
CLIENT or its duly authorized officers in all matters or business requiring
legal advice and opinion affecting the said corporation in general. Written
opinions rendered by the LAW OFFICE on matters affecting the business
and operations of the corporation shall be subject to confirmations;

48. The LAW OFFICE shall render documentation and notarial services to the
CLIENT as part of this retainership. Client documents shall be notarized
free of charge while documents requiring the participation and signature of
a party other than the CLIENT shall be subject to fees or charge at the
following rates:

49. In case f extrajudicial foreclosure of mortgage endorsed to the LAW


OFFICE by the CLIENT, the attorney’s fees shall be at the rates provided
