OFFER OF APPOINTMENT
Following your successful interview, after careful consideration, the management of Pakam Technology
Limited has decided to offer you employment in the Company, as a Graphics Designer Intern.
Your offer has been made based on information furnished by you. However, if there is any discrepancy in
the copies of the document given by you, we retain the right to review your offer of employment.
Date of Employment
Your effective date of employment is Monday, November 20th, 2023. The start date shall not include anydate
that falls on a weekend or public holiday.
Place of Employment
Your place of work will be 374, Ikorodu Road, Maryland, Lagos State. However, you may be required to serve
anywhere within and outside Nigeria, in whatever capacity the company deems appropriate from time to
time.
Remuneration
This offer attracts a guaranteed net remuneration of N30,000.00 (Thirty Thousand Naira only)monthly.
Working hours
The Company’s official working hours are between the hours of 9:00am and 5.00pm, Monday to Friday
exclusive of public holidays as declared by the Federal Government of Nigeria. However, you may be

expected from time to time, to work beyond the regular working hours and as the job demands. You shall
also be entitled to a 1-hour lunch break each day between 1:00pm and 3:00pm.
The company runs a hybrid work system, where you will be required to work in the office on some days and
on other days, remotely. The specific days will be communicated upon assumption of duties.
Job Description
Your job descriptions shall be handed over to you by the Human Resources (HR Manager). You shall be
provided with other work tools applicable to your position.
Probation Period
Confirmation of your employment will follow after a one year internship, subject to satisfactory
performance. You may be retained following your internship if your performance is satisfactory.
During the period of probation, either party may terminate this contract by giving 1 month notice or payment
of equivalent basic salary in lieu of such notice.
Termination of Appointment
Either you or the Company may terminate the employment by giving, to the other, one month notice, or
paying one (1) month’s basic salary in lieu of the requisite notice, after confirmation of employment.
In the case of a severe breach of corporate policies and guidelines or misconduct, which may damage the
good name and reputation of the Company, the Company shall reserve the right to immediately terminate
the services of the employee in question, without giving six weeks’ notice or payment in lieu of notice.
Incapacity
If you are incapacitated and unable to perform your duties due to illness, or an accident, or injury, you shall
report this promptly to the Company. If you are so prevented from performing your duties for more than 7
days, you are required to present a medical practitioner’s certificate stating the condition leading to the
absence. Such medical certificates shall be renewed on a weekly basis so that the whole period of your
absence is certified by such medical certificates. Where you fail to provide the requisite certificate within
the specified period, the Company shall treat such absence as a breach of the employment terms by you
entitling the Company to terminate this contract of employment immediately and without further notice.
Confidentiality
You shall protect and not disclose the Company’s confidential information entrusted to you or to which you
are exposed. This applies even after termination of the engagement relationship.

Non-Disclosure
A non-disclosure agreement has been attached to this offer. You are expected to abide by terms as stated
in the agreement.
Code of Conduct
You are expected to observe and comply with the Company’s code of conduct; rules; regulations and
ethical standards as contained in the employee handbook and other company policies upon resumption.

ACCEPTANCE
This Employee Non-Disclosure and Confidentiality Agreement (“this Agreement”) is made this day
of 2023.
Between
PAKAM Ltd, a company incorporated under the laws of the Federal Republic of Nigeria with its registered
address at 374, Ikorodu Road, Maryland, Lagos State, Nigeria (hereinafter referred to as “PAKAM” which
expression shall where the context so admits include its representatives, successors-in-title and assigns) of
the other part.
AND
PAKAM Ltd and ................ shall hereinafter be referred to as a "Party" individually, and collectively as “the
Parties".
WHEREAS
PAKAM hired Employee pursuant to the terms and conditions of that certain Employment Agreement
executed between the Parties on the 20th of August 2021. In connection with the Employee’s duties under
the Employment Agreement, the Company may disclose to the Employee certain confidential and
proprietary information unique and valuable to its ongoing business operations. In consideration of the
Employee’s employment by the Company and the covenants and mutual promises contained herein, the
Parties agree as follows:
1. Confidential Information. The term “Confidential Information” as used in this Agreement shall mean
any data, information, or knowledge disclosed by the Company to the Employee and not generally known to
the public, including but not limited to:
a. If the information is or becomes publicly known and available other than as a result of prior
unauthorized disclosure by the Employee.
b. If the information is or was received by the Employee from a third-party source which, to the best
knowledge of the Employee, is or was not under a confidentiality obligation to the Company with
regard to such information;
c. If the information is disclosed by the Employee with the Company’s prior written permission and
approval;
d. If the information is independently developed by the Employee prior to disclosure by the Company
and without the use and benefit of any of the Company’s Confidential Information; or
e. If the Employee is legally compelled by applicable law, by any court, governmental agency, or
regulatory authority or subpoena or discovery request in pending litigation, but only if, to the extent
lawful, the Employee gives prompt written notice of that fact to the Company prior to disclosure so
that the Company may request a protective order or other remedy, the Employee may disclose only
such portion of the Confidential Information which it is legally obligated to disclose.
a. The Employee agrees to retain the Confidential Information in strict confidence, to protect the
security, integrity, and confidentiality of such information and to not permit unauthorized access to
or unauthorized use, disclosure, publication, or dissemination of Confidential Information except in
conformity with this Agreement.
b. Confidential Information is and will remain the sole and exclusive property of the Company and will
not be disclosed or revealed by the Employee, except (i) to other employees of the Company who
have a need to know such information and agree to be bound by the terms of this Agreement or (ii)
with the Company’s express prior written consent.
c. The Employee agrees that, in the event the Employee must download, access, process, transfer or
otherwise communicate Confidential Information, the Employee will comply with all laws and
regulations applicable to exports and re-exports of data and information and will not, directly or
indirectly, export or re-export any Confidential Information in violation of such laws and regulations,

4. Intellectual Property Ownership. The Employee hereby assigns to the PAKAM all rights, including, without
limitation, copyrights, patents, trade secret rights, and other intellectual property rights associated with any
ideas, concepts, techniques, inventions, processes, works of authorship, Confidential Information or trade
secrets:
(i) developed or created by the Employee, solely or jointly with others, during the course of
performing work for or on behalf of the Company or any affiliate and/or the successor of the
Company, whether as an employee or independent contractor,
(ii) that the Employee conceives, develops, discovers or makes in whole or in part during the
Employee’s employment by the Company that relate to the business of the Company or any affiliate
of the Company or the actual or demonstrably anticipated research or development of the Company
or any affiliate of the Company,
(iii) that the Employee conceives, develops, discovers or makes in whole or in part during or after the
Employee’s employment by the Company that are made through the use of any of the equipment,
facilities, supplies, trade secrets or time of the Company or any affiliate of the Company, or that result
from any work the Employee performs for the Company or any affiliate of the Company, or
(iv) developed or created by the Employee, solely or jointly with others, at any time before the
Employment Period, that relate to or involve the Company’s businesses (including, but not limited
to, the business of the Company) (collectively, the “Work Product”).
Without limiting the foregoing, to the extent possible, all software, compilations video and graphical designs
and other original works of authorship included in the Work Product will be considered the property of
PAKAM. If, notwithstanding the foregoing, the Employee for any reason retains any right, title or interest in
or relating to any Work Product, the Employee agrees promptly disclose to the Company in writing any such
work and to assign, in writing and without any requirement of further consideration, all such right, title, and
interest to the Company. Upon request of the Company at any time during or after the Employment Period,
the Employee will take such further actions, including execution and delivery of instruments of conveyance,
as may be appropriate to evidence, perfect, record or otherwise give full and proper effect to any
assignments of rights under or pursuant to this Agreement.
5. Disclaimer. There is no representation or warranty, express or implied, made by the Company as to the
accuracy or completeness of any of its Confidential Information.

6. Confidentiality Obligation Survives Employment. Employee's obligation to maintain the confidentiality
and security of Confidential Information remains even after Employee's employment with Company ends
and continues for so long as such Confidential Information remains a trade secret.
7. Remedies. The Employee acknowledges that use or disclosure of any confidential and proprietary
information in a manner inconsistent with this Agreement will give rise to irreparable injury for which
damages would not be an adequate remedy. Accordingly, in addition to any other legal remedies which may
be available at law or in equity, the Company shall be entitled to equitable or injunctive relief against the
unauthorized use or disclosure of confidential and proprietary information. The Company shall be entitled
to pursue any other legally permissible remedy available as a result of such breach, including but not limited
to damages, both direct and consequential. In any action brought by the Company under this Section, the
Company shall be entitled to recover its attorney’s fees and costs from Employee.
8. Notices. All notices given under this Agreement must be in writing. A notice is effective upon receipt and
shall be sent via one of the following methods: delivery in person, overnight courier service, certified or
registered mail, postage prepaid, return receipt requested, addressed to the Party to be notified at the below
address or by electronic mail (Email) addressed to a designated person.

9. Amendment. This Agreement may be amended or modified only by a written agreement signed by both
of the Parties.
10. Governing law and Jurisdiction. This Agreement, and any contractual and non-contractual rights or
obligations arising out of or in connection therewith, shall be governed by and construed in accordance with
the laws of the Federal Republic of Nigeria and the Parties submit to the exclusive jurisdiction of the courts
of the Federal Republic of Nigeria.
11. Arbitration. Where there is any dispute, claim or controversy arising out of, or in relation to the
interpretation, application or enforcement of this Agreement, the Parties shall initially appoint one
representative each to amicably settle the dispute, claim or controversy within 7 days of the receipt of a
request to settle by any Party.
12. No Offer or Sale. Nothing in this Agreement will be deemed a sale or offer for sale of Confidential
Information nor obligate the Company to grant the Employee a license or any rights, by statute, common
law theory of estoppel or otherwise, to Confidential Information.
13. Entire Agreement. This Agreement constitutes the entire agreement between the Parties and
supersedes all prior or contemporaneous negotiations, discussions or agreements, whether written or oral,
regarding the subject matter hereof.

14. Miscellaneous. No joint venture, partnership or agency relationship exists between the Employee, the
Company or any third-party as a result of this Agreement. This Agreement will inure to the benefit of and be
binding on the respective successors and permitted assigns of the parties. Neither Party may assign its rights
or delegate its duties under this Agreement without the other Party’s prior written consent. In the event that
any provision of this Agreement is held to be invalid, illegal or unenforceable in whole or in part, the
remaining provisions shall not be affected and shall continue to be valid, legal and enforceable as though the
invalid, illegal or unenforceable parts had not been included in this Agreement. Neither Party will be charged
with any waiver of any provision of this Agreement, unless such waiver is evidenced by a writing signed by
the Party and any such waiver will be limited to the terms of such writing.
IN WITNESS WHEREOF, the Parties have caused this Agreement to be executed in the manner hereinafter
appearing, the day and year first above written.
