1. COMMERCIAL OFFER
a. Basis of Offer
Our offer is based on the drawings, load Schedule received from your end.

c. Commercial Terms & Conditions

Price: Our Prices are in QAR and are based on delivery at site.
Payment: We request for 20% advance and 80% against delivery through 30days PDC.
The Prices in this quotation are exclusive of VAT. All invoices to be issued on after 1/1/2018 will be subjected to
Tax:
VAT on topof the quotation price(once VAT is implemented in Qatar).
Submittals:Technical submittals shall be presented within 2 weeks of receipt of Letter of Intent.
Delivery: From the date of receipt of confirm order, Letter of Credit and Clearance to Proceed for the
manufacturing after approval of Technical Submittal whichever is later, we shall commence delivery
within 10 working weeks and shall complete the delivery of whole quantities within 12 working weeks.
Warranty: Items supplied by us shall be covered under manufacturer Standard warranty clause that covers
against any material defect or malfunctioning, for a period of 12 months from date of commissioning
or 18 months from date of delivery, whichever is earlier. However, warranty coverage shall not
include wear & tear, consumables, abuse/misuse/wrong use of the components.
LOI/Order cancellation Charges:
10% LOI/Order received and entered on factory.
20% Drawings/Technical Submittal submitted for approval.
50% Approved drawings/Technical submittal released for manufacturing.
100% Manufacturing completed.
Contract: Contract will come into force after receiving the following
1. Approval of technical submittal and manufacturing clearance.
2. Approved P.O by post party.
3. Payment
P.O will be processed only upon confirmation of the above three conditions.
Validity: 30 Days from the date of offer.
d. GENERAL TERMS & CONDITIONS
CHANGES IN GOVERNMENT LEGISLATION, DUTIES, TAXES, LEVIES etc

Our Prices are calculated taking into consideration the present government legislation and regulation applicable to the
payment of duties, taxes etc. In the event of any change in the present government legislation and / or regulation with
respect to payment of and/or on the sale of equipment offered by us after the date of our offer until final supply of your order,
you shall pay us revised price and/or revise delivery accordingly. Furthermore, if any, levy, tax or charge at the instance of
government is charged on raw material, components, labour or imported goods, the same shall be paid by you.
FORCE MAJEURE:
For any delay or failure to deliver the equipment on account of Force Majeure such as war, military operation,revolution,
strike, go-slow, lockout, riots, fire, floods, epidemic, loss of material in transit, power supply interruption,unavoidable
delays with sub-suppliers directly or indirectly and such other reasons not incorporated in this clause and unpredictable
at present being beyond our control or remedy, we shall not be held responsible, and the delivery period shall be
extended suitably and/or revised prices paid by you.
LIMITATION OF LIABILITY:
The supplier shall not be liable, whether in contact, warranty, failure of a remedy to achieve its essential purpose, tort
(including negligence or strict liability) indemnity, or any other legal or equitable theory for damage to or loss of other
property or equipment, business interruption or lost revenue, profits or sales, cost of capital, or for any special, incidental,
punitive, indirect or consequential damages or for any other loss, costs or expenses of a similar type.
The liability of Supplier for any act or omission, Product sold service or furnished directly or indirectly under this
Agreement, whether in contact, warranty failure or a remedy to achieve its essential purpose, tort (including negligence
or strict liability), indemnity, or any other legal or equitable theory, will in no event exceed 2.5% of the contract value.
The rights and remedies contained in this agreement are exclusive, and the parties accept these remedies in lieu of all
other rights and remedies available at law or otherwise, in contact(including warranty) or in tort (including negligence),
for any and all claims of any nature arising under this agreement or any performance or breach arising out of this
agreement.
This offer (contact, order confirmation) or fulfillment of contact is subject to the provision that export licenses have been
granted or that there are no other impediments arising from German, Swiss, European, USA, UAE or other export
regulation or export regulating Authority.
PRICES AND TERMS OF PAYMENT:
Without prejudice to any further rights, we may suspend and/or refuse any supplies for as long as any due payments
remain outstanding for whatever reason. Late payments due and payable to the Supplier shall attract interest at a rate
of 24% per annum accruing from their due date until full settlement of the principal amount. Payments by the Purchaser
shall be deemed to be made first against any accrued interest and then against the outstanding principal amount. The
provision of this clause is without prejudice to any further rights of Supplier in case of any payments is delayed by the
Purchaser.
FOR SUPPLIES; DELAY:

If dispatcher shipment is delayed at the Purchaser’s request by more than one month after notice of the readiness for
dispatch was given, the Purchaser may be charged , for every month commenced, storage costs 0.5% of the price of
the items of the Supplies,but in no case more than a total of 5%. The parties to the contract may prove that higher or, as
the case may be, lower storage costs have been incurred.
MATERIAL OWNERSHIP:
Material ownership will transfer 100% to the contractor only upon receiving complete payment. Any payment delay
or non-payment shall give us the right to collect our supplied materials back from site.
