(a) How many clauses are in MOA? Explain the clauses in brief. Can AGM be held without
accounts? How many times AGM in a year? What is usually discussed at an AGM?
(b) What do you mean by RJSC annual return? What are the procedure, forms and
documents required for annual return? What is the procedure of conversion of a Public
company into Private Company?
(c) What would happen if a public limited company carry on business with less than the
legal minimum number of members? Would it be different if it is a private company?

Resolution?
(b) “The validity of a resolution passed at a meeting depends on the proper constitution
and conduct of the meeting.” - Explain.

(i) Resolution for availing of a term loan sanctioned by the banker of the company
can be passed by circulation.
(ii) All resolutions that are passed at Board meetings need only simple majority, as
special resolution has nothing to do with Board Meeting.
