CONTRACT TO SELL

KNOW ALL MEN BY THESE PRESENTS:

THIS CONTRACT TO SELL made and executed this _________ day of

RICHROAD INTERNATIONAL TRADING AND MANAGEMENT


SERVICES CORPORATION, represented by SHALLIE P. ESPIRITU, with
Office Address at Unit 2, Francisco Maglolona, Quezon road, Purok 5, Bragy.
Laug, Mexico, Pampanga, corporation duly organized and existing under the
Philippine Laws, and holder of the Deed of Conveyance with Waiver duly signed
by the legal heirs of Pablo Angeles, described in the Tax Declaration No. Tax
Declaration of Real Property No. 34554 ( Property Identification No. 018-07-011-
12-017 ), hereinafter referred to as the SELLER;

WITNESSETH:

WHEREAS the SELLER by virtue of a Deed of Conveyance with


Waiver executed by and between the Shallie P. Espiritu and the legal heirs
of Pablo Angeles of a parcel of land described in Tax Declaration No.
34554 ( Property Identification No. 018-07-011-12-017 ) situated in Brgy.
Lucanin, Mariveles, Bataan, Philippines, hereinafter referred to as the
PROPERTY, and more particularly described as follows:

“ A real properties under Tax Declaration of Real Property


No. 34554 ( Property Identification No. 018-07-011-12-017 )
situated in Lucanin, Mariveles, Bataan containing an area of
240,000 square meters. “

WHEREAS, the SELLER offered to sell to the BUYER the parcel of land
covers in Tax Declaration No. 34554 ( Property Identification No. 018-07-011-
12-017 ) with total area of 240,000 square meters more or less located at
Brgy. Lucanin, Mariveles, Bataan , f o r t h e a m o u n t o f P h p
_ _ _ _ _ _ _ _ p e r s q m A s I s W h e r e I s and after negotiation, the BUYER
agreed to buy the same under certain terms.

NOW THEREFORE, for and in consideration of the foregoing


premises, the parties entered into this Contract To Sell, as follows;

1. That the SELLER, for and in consideration of the amount of


______________________________ ( P ___________________ ) agreed the total
price to be paid in accordance with the terms hereinafter set forth,
do by these presents, SELL, and DELIVER by the way of Contract to
Sell unto the BUYER, his heirs, successors and assigns that the
Property under Tax Declaration No. 34554 ( Property Identification No.

018-07-011-12-017 ) with an area of 240,000 sqm more or less, of
which the SELLER is the absolute claimant subject to the following
terms and conditions.

2. The BUYER shall pay the SELLER the total agreed price of in the
following manner.

1. The 1st payment/initial payment equivalent to 30% amounting


________________________ ( Php ______________ ) shall be made
upon the execution of this contract and for the payment of
delinquent taxes and settlement of the warrant of levy
covering Tax Declaration No. 34554 ( Property Identification
No. 018-07-011-12-017 ).

2. The 2nd payment equivalent to 20% or the amount of


______________________________ ( Php _____________________ )
shall be made for the transfer of Tax Declaration to the
name of the BUYER, within the period of ___________ days.

3. The 3rd payment equivalent to 30% amounting of


____________________________ ( Php _____________________ )
shall be made to do the necessary legal documents such as
conducting necessary surveys, Approved Plans and filing of
the application of title in favor to the BUYER’S name.

4. The Final payment / remaining balanced of 20% or the amount


of _______________________ ( Php __________________________ )
shall be paid by the BUYER to the SELLER after completion of the
documents and issuance of title to the BUYER’S and turnover of
the property.

In any event that the BUYER defaults, or for whatever reason fails to
pay the balance after the same becomes due and demandable under
this Contract, the down payment shall be forfeited in favor of the
S E L L E R as liquidated damages. The BUYER shall be deemed in
default upon service by the SELLER of a legal demand to pay the
balance on the purchase price, and the BUYER still fails or refuses to
pay such.

3. That the BUYER shall shoulder the costs and expenses for capital
gain tax, real property taxes, notarial fees, documentary stamp taxes,
registration fees, and all other fees and expenses necessary in the
registration of this Contract and transfer of title to the name of the
BUYER.

That the transaction is entered into between the parties in good


faith, and in no way executed to prejudice or defraud third person or
entity.
THAT, I, as BUYER to the property inspected the same subject of this

Contract, and I am fully satisfied with its present conditions .

IN WITNESS THEREOF, we have hereunder affixed my hands this
