    Consulting Agreement

    Prime Apps & PrimePay Software Development Operations Management

    This Consulting Agreement (the “Agreement” or “Consulting Agreement”) states the terms and conditions that
    govern the contractual agreement between Beavista Enterprise having its principal place of business at 22/24
    Jide Agbalaya crescent, Chevy View estate, Chevron drive, Eti-Osa,, (the “Client”), Mosope Coker (the
    “Consultant”) who agrees to be bound by this Agreement.

    WHEREAS, the Consultant offers general software development operations services; and

    WHEREAS, the Client desires to retain the services of the Consultant to render services with regards to User
    Interface and Experience (UI/UX) design towards the completion of the development and deployment of our
    new Prime Suite solution for web, mobile and PC (desktop) platforms according to the terms and conditions
    herein.

    NOW, THEREFORE, In consideration of the mutual covenants and promises made by the parties hereto, the
    Consultant and the Client (individually, each a “Party” and collectively, the “Parties”) covenant and agree as
    follows:

    1. Term
    This Agreement shall become effective from October 2024 and will run till the required milestones are
    delivered successfully to the standards of the client but not beyond November 2024.
    1. Either Party may terminate this Agreement for any reason with 15 work days written notice to the other
    Party.
    a. Termination shall not affect any accrued rights or liabilities of either Party nor shall it affect the coming
    into force or the continuance in force of any provision in this Agreement or subsequent Agreements which are
    expressly or by implication intended to come into or continue in force on or after such termination.
    b. In the event of the termination, Consultant agrees to refund to the Client any unearned fees already
    paid by the Company for services not rendered by the Consultant

    2. Consulting Services
    The Consultant agrees that it shall provide its expertise to the Client for all things pertaining to but not limited
    to the following:
    ● Transfer of existing product design in Adobe XD to Figma Design template. Existing design comprises
    modules for Dashboard, Organisation Management, Admin Management, Account Management,
    Login, Signup, Forgot Password, among others.
    ● Design new modules for Subscription Management, Product & Feature Management, and Role
    Management
    ● Ensure the design is responsive across web and mobile screens of all standard sizes
    3. Compensation
    The payment term is a fixed price charge of N350,000.00 (Three hundred and Fifty thousand Naira only). In
    consideration for the Consulting Services, the Client shall pay the Consultant 20% of the agreed charge
    upfront; the remainder fees shall be paid at the end of a successful delivery and UAT completion by the client
    for the provisioned software. The consultant shall be responsible for and shall work with the team put together
    by the client to deliver the following:
    1. Prime Apps administrative portal responsive design
    A hosting account, project repositories on GitHub, as well as the domain credentials shall be made available by
    Client to Consultant. The Client shall also be responsible for any cost related expense as a result of a 3rd party
    tool or library required to aid the objective of the Consultant based on the specification of the Client.

    4. Intellectual Property Rights in Work Product


    The Parties acknowledge and agree that the Client will hold all intellectual property rights in any work product
    resulting from the Consulting Services including, but not limited to, copyright and trademark rights. The
    Consultant agrees not to claim any such ownership in such work products' intellectual property at any time
    prior to or after the completion and delivery of such work product to the Client.

    5. Confidentiality
    The Consultant shall not disclose to any third party any details regarding the Client’s business, including,
    without limitation any information regarding any of the Client’s customer information, business plans, or price
    points (the Confidential Information), (ii) make copies of any Confidential Information or any content based on
    the concepts contained within the Confidential Information for personal use or for distribution unless
    requested to do so by the Client, or (iii) use Confidential Information other than solely for the benefit of the
    Client.

    6. Non-competition
    During the term of this Agreement and for 12 months thereafter, the Consultant shall not engage, directly or
    indirectly, as an employee, officer, manager, partner, manager, consultant, agent, owner or in any other capacity,
    in any competition with the Client or any of its subsidiaries, including any company engaged in software
    engineering and development.

    7. Non-Solicitation
    a. During the term of this Agreement and for 12 months thereafter, the Consultant will not, directly or
    indirectly, solicit or attempt to solicit any business from any of the Company’s clients, prospects,
    employees, or contractors.
    b. During the term of this Agreement and for 12 months thereafter, the Consultant will not, directly or
    indirectly, recruit, solicit, or induce, or attempt to recruit, solicit, or induce, any of the Company’s
    employees, or contractors for work at another company.

    8. Indemnification
    Each Party agrees to indemnify and hold harmless the other Party, against any and all claims, losses, damages,
    liabilities, penalties, punitive damages, expenses, reasonable legal fees, and costs of any kind or amount
    whatsoever, which result from or arise out of any act or omission of the indemnifying party, that occurs in
    connection with this Agreement. This indemnification shall survive termination of this Agreement.

    9. No Modification Unless in Writing


    No modification of this Agreement shall be valid unless in writing and agreed upon by both Parties.

    10. Applicable Law


    This Consulting Agreement and the interpretation of its terms shall be governed by and construed in
    accordance with the laws of the Federal Republic of Nigeria and subject to the exclusive jurisdiction of the
    federal and state courts located in Lagos, Nigeria.

    IN WITNESS WHEREOF, each of the Parties has executed this Consulting Agreement, both Parties by its duly
    authorized officer, as of the day and year set forth below.
