Dear Prayudi Nastia,

PT. THE CUBE GROUP ("the Developer") highly values and respects the prior collaboration with
PT WANAYUDI DEWATA INDONESIA ("the Consultant"). We appreciate the high level of professionalism
that you have consistently demonstrated throughout the previous contract. In recognition of this and
with the intent to continue our strategic partnership and foster a long-term business relationship, we
present this Letter of Intent ("LOI") to outline the key terms under which we propose to engage your
consulting services.

1. PURPOSE

This Letter of Intent (“LOI”) is to confirm the mutual intent of the Developer and the Consultant to enter
into a formal agreement regarding the provision of consulting services by the Consultant as outlined in
the Scope of Work.

The purpose of this LOI is to outline the preliminary terms under which the Consultant will provide the
services described in the Scope of Work. This LOI is intended to serve as a basis for further discussions
and to confirm both parties' commitment to finalizing a formal contract.

2. SCOPE OF WORK

The Consultant agrees to provide services related to the licensing process for the construction and
commissioning of the hotel being developed by the Developer. Specifically, the Consultant will
undertake the following:
 AMDAL Process (Analisis Mengenai Dampak Lingkungan): The Consultant will prepare all
necessary documentation and materials required for the Environmental Impact Assessment
(AMDAL), represent the Developer in discussions and negotiations with the relevant government
authorities, and ensure that the AMDAL is successfully reviewed, approved, and issued by the
appropriate regulatory bodies. This includes defending the AMDAL in public hearings and doing
everything necessary to bring the AMDAL into legal force.
 RKL-RPL (Rencana Kelola Lingkungan dan Rencana Pemantauan Lingkungan): The Consultant will
create and manage the RK-LRPL, which involves preparing environmental management and
monitoring plans in compliance with AMDAL requirements, and ensuring that these plans are
approved by the relevant authorities.

Additionally, the Scope of Work shall include:
- Organization and facilitation of public hearings (Socialization).
- Rintek for B3 (Hazardous and Toxic Substances).
- Pertek for Wastewater Treatment Facilities (IPAL - Instalasi Pengolahan Air Limbah).
- Pertek for Generator.
- Andalalin (Analisis Dampak Lalu Lintas) - a study on traffic and transportation impact.
- SLO (Sertifikat Laik Operasi) for IPAL.
- SLO for B3.
- SLO for Generator.
- All other necessary and sufficient works required for obtaining AMDAL, and “Final” SLOs.

3. ROADMAP TO CONTRACT FINALIZATION

Both parties agree to the following roadmap for finalizing the contract:

1) Work Schedule Development: The parties will first collaborate to develop a comprehensive work
schedule that outlines the timelines for all services to be provided by the Consultant.
2) Process Alignment: Both parties will ensure that they are fully aligned on the sequence of all
processes. This includes how the Consultant’s work will integrate with and support the actual
construction schedule, ensuring that all deliverables are synchronized with the overall project
timeline.
3) Final Contract: Once the above elements are agreed upon, the parties will proceed to finalize and
execute the formal contract, ensuring that all terms and conditions are clearly documented and
mutually agreed upon.
4) Payment Schedule: As part of the final contract, both parties will agree on a Monthly Payment
Schedule.

4. FEE STRUCTURE AND RETAINER

The total fee for the consulting services is approximately estimated as follows: IDR 1,470,000,000 including
VAT 11%.

The Developer agrees to pay a retainer of IDR 100,000,000.00 (which includes VAT 11%). This retainer
will be credited against the final amount due under the formal contract. The final cost of services will be
clarified and agreed upon as the project progresses. The retainer is refundable, except for the actual
time and material costs incurred by the Consultant for work performed under the scope of work
described in this LOI.

Given our ongoing partnership and the scope of this project, the Developer kindly requests that the
Consultant consider offering a discount on the total fee. We believe that this gesture will further
strengthen our business relationship and provide mutual long-term benefits.

5. UNDERSTANDING OF FINAL CONTRACT PRICE

Both parties understand that the final contract price will include all possible expenses necessary to
obtain the “Final” AMDAL, Rinteks, Pertecs and SLOs, including but not limited to all representative
expenses,

agency fees, marketing fees, and any other associated costs. The final cost will be determined during the
formation of the final contract.

6. NOTICE TO PROCEED

This LOI also serves as a formal Notice to Proceed for the Consultant to commence work as outlined in
the Scope of Work. The Consultant is authorized to begin the services described herein upon receipt of
the retainer.

7. TIMELINE

The formal agreement is expected to be finalized by 15 November. The Consultant will commence work
upon the receipt of the retainer.

8. CONFIDENTIALITY

Both parties agree that all discussions, negotiations, and information exchanged pursuant to this LOI
shall remain confidential and shall not be disclosed to any third party without the prior written consent
of the other party.

9. NON-BINDING NATURE

This LOI is a preliminary expression of intent and is not intended to create a binding legal obligation,
except for the provisions regarding Confidentiality, Retainer, and Notice to Proceed, which shall be
binding.

10. GOVERNING LAW

This LOI shall be governed by and construed in accordance with the laws of Indonesia.
We look forward to working with you on this exciting project and to concluding a formal agreement
shortly. Please confirm your acceptance of the terms outlined in this LOI by signing below.
