CONTRACT/AGREEMENT OF SALE

KNOWN ALL MEN BY THESE PRESENTS:

This Contract/Agreement of Sale is made and entered into this 10 th day of May 2024
in the City of Dasmariñas, Cavite by and between:

DORILA D. CARIÑO, married to Claro R. Cariño, of legal age, Filipino citizen,


with residence and postal address at #3066 San Isidro Village, Barangay
Anos, Los Baños, Laguna, hereinafter referred to as the SELLER.

-and-

JESSICA CORPUZ GONZALES, of legal age, Filipino citizen, widow and with
residence and postal address at Windward Hills Subdivision, Burol 1, City of
Dasmariñas, Cavite, hereinafter referred to as the BUYER.

WITNESSETH: That

WHEREAS, the SELLER is the lawful owner of a parcel of land together with
the improvements existing thereon located at BLOCK 51, LOT 8, PHASE 2,
WINDWARD HILLS SUBDIVISION, BUROL 1, CITY OF DASMARIÑAS, CAVITE covered
and embraced by Transfer Certificate of Title No. T-505204 of the Registry of Deeds
for the Province of Cavite, which property is more particularly described as follows:

TRANSFER CERTIFICATE OF TITLE NO. T-505204

“A parcel of land (Lot 8, Blk. 51 of the subdivision plan


Psd-042106-073794, being a portion of Lots on Block 12,
Psd-042106-068601, L.R.C. Record No.), situated in the
Brgy. Burol, Municipality of Dasmariñas, Province of
Cavite, Island of Luzon. Bounded on the SW., along line 1-
2 by Lot 7; on the NE., along line 2-3 by Lot 6 both Blk. 51;
on the NE., along line 3-4 by Alley 46; & on the SE., along
line 4-1 by Lot 10 Blk. 51 all of the subdivision plan.
Beginning at a point marked “1” on plan, being S. 43 deg.
39’W., 8490.88 m. from Mon. 159 Imus Estate; thence N.
35 deg. 12’W., 4.00 m. to point 2; thence N. 54 deg. 48’E.,
10.00 m. to point 3; thence S. 35 deg. 12’E., 4.00 m. to
point 4; thence S. 54 deg. 48’W., 10.00 m. to the point of;
beginning, containing an area of FORTY (40) SQUARE
METERS. All points referred to are indicated on the plan
and are marked on the ground by PS cyl. conc. mons.
15x60 cm; bearings true; date of original survey; July 27,
1905-June 11, 1908 & that of the subdivision survey; Dec.
15, 1993-Jan. 30, 1994; & was approved on August 20,
1994.

WHEREAS; the SELLER has offered to sell and the BUYER has agreed to buy
the aforementioned parcel of land together with the improvements existing thereon
subject to the following terms and conditions:

1. That the total consideration (hereinafter referred to as “Purchase Price”)


of the aforementioned property shall be in the amount of FIVE HUNDRED
FIFTY THOUSAND PESOS (P550,000.00), Philippine Currency, which
shall be paid as follows:

a) DOWN PAYMENT: The amount of THREE HUNDRED


THOUSAND PESOS (P300,000.00), Philippine Currency, shall
be paid by the Buyer to the Seller upon execution of this
Contract/Agreement.

b) BALANCE: The remaining balance of TWO HUNDRED FIFTY


THOUSAND PESOS (P250,000.00), Philippine Currency, shall
be paid in CASH upon turn-over or deliver of the original
owner’s copy of the Transfer Certificate of Title in the name
of the Seller and other pertinent documents as stipulated in
item #2.

2. The parties shall execute a Deed of Absolute Sale upon release or turn-
over of the original owner’s copy of Transfer Certificate of Title in the
name of the Seller, Tax Declaration of the property in the name of the
Seller and all other pertinent documents necessary for the transfer of
ownership from herein Seller to Buyer.

3. All taxes which shall be incur for the transfer of title from the registered
owner to herein Seller such as but not limited to Capital Gains Tax,
Documentary Stamp Tax, Transfer Tax, Registration Fee, Real Property
Tax and other governmental fees accruing on the said property shall be
on the sole account of herein Seller. Likewise, the Seller shall settle or
update any unpaid association dues at the HOA until turn-over of the title.

4. Possession of the subject property shall be delivered by the Seller to the


Buyer upon payment of the down payment and/or upon execution of this
Contract/Agreement.

5. The Seller shall not re-sell, assign or transfer any of its rights, interests
and obligations in and under this Contract/Agreement of Sale to any
person or entity without the prior written consent from the Buyer.

6. This Contract and the rights and obligations of the parties hereunder shall
be governed by and construed in accordance with the laws of the Republic
of the Philippines.

7. If any one or more of the provisions of this Contract is declared invalid or


unenforceable in any respect under any applicable law, the validity,
legality or enforceability of the remaining provisions shall not in any way
be affected or impaired.
