This Contract Agreement ("Agreement") is entered into on this 11th day of January, 2025, by and between:
Party A: Bright Horizons Consulting, located at 123 Elm Street, Springfield, Illinois, USA, and Party B: StellarTech Solutions, located at 456 Oak Avenue, Vancouver, British Columbia, Canada.
1. Purpose of the Agreement
The purpose of this Agreement is to outline the terms and conditions under which Party A will provide project management consulting services to Party B for their upcoming "Project Nova" initiative.
TERMS AND CONDITIONS
2. Scope of Work Party A will provide the following services to Party B:
Conduct a detailed analysis of the project requirements for "Project Nova."
Develop a comprehensive project management plan. Facilitate weekly meetings with the team to ensure alignment with the project timeline. Deliver progress reports on a bi-weekly basis.
3. Compensation Party B agrees to pay Party A a total of $75,000 USD for the services outlined in this Agreement. Payment will be made in three installments as follows: $25,000 upon signing this Agreement. $25,000 upon the delivery of the initial project plan. $25,000 upon completion of the project.
4. Timeline The project shall commence on January 15, 2025, and is expected to conclude by April 30, 2025.
5. Confidentiality Both parties agree to maintain the confidentiality of any proprietary information shared during the course of this Agreement.
6. Termination Clause Either party may terminate this Agreement by providing a written notice of 30 days. In the event of termination, Party A will be compensated for services rendered up to the date of termination.
7. Liability Party A shall not be held liable for any delays or damages caused by unforeseen circumstances beyond its control.
8. Governing Law This Agreement shall be governed by and construed in accordance with the laws of the State of Illinois, USA.
