WHEREAS the undersigned wish to enter into this Agreement to define certain parameters of the future legal obligations, are
bound by a duty of Confidentiality with respect to their sources and contacts. This duty is in accordance with the
International Chamber of Commerce.
CONSIDERANDO QUE os abaixo assinados desejam celebrar este Contrato para definir certos parâmetros das futuras obrigações legais, estão
vinculados ao dever de Confidencialidade com relação às suas fontes e contatos. Este dever está de acordo com a Câmara de Comércio
Internacional.

WHEREAS the undersigned desire to enter in a working business relationship to the mutual and common benefit of the
parties here to, contacts, including their affiliates, subsidiaries, stockholders, partners, co-ventures, trading partners, and
other associated organizations (hereinafter referred to as “Affiliates”).
CONSIDERANDO QUE o abaixo-assinado deseja estabelecer uma relação comercial de trabalho para o benefício mútuo e comum das partes,
contatos, incluindo suas afiliadas, subsidiárias, acionistas, parceiros, co-empreendimentos, parceiros comerciais e outras organizações associadas
(doravante denominadas como “Afiliadas”).

NOW THEREFORE in consideration of the mutual promises, assertions and covenants herein and other good and valuable
considerations, the receipts of which is acknowledged hereby, the parties hereby agree as follows:
AGORA, PORTANTO, em consideração às promessas, afirmações e acordos mútuos aqui contidos e outras considerações boas e valiosas, cujos
recebimentos são reconhecidos por este meio, as partes concordam com o seguinte:

1. TERMS AND CONDITIONS. /1. TERMOS E CONDIÇÕES.

A. This agreement and other NCNDA Agreements with third parties are valid if and only if the transactions and business
defined between the above mentioned parties are successful by signature, in the terms previously agreed upon;
otherwise it will be declared null and void.
Este acordo e demais Acordos NCNDA com terceiros são válidos se e somente se as transações e negócios definidos entre as partes acima
mencionadas forem bem-sucedidos mediante assinatura, nos termos previamente acordados; caso contrário, será declarado nulo e sem efeito.

B. However, if transactions and business referenced, is not successful, this NCNDA Contract have force for five (5) year
late.
No entanto, se as transações e negócios referenciados não forem bem-sucedidos, este Contrato NCNDA terá vigor por cinco (5) anos de atraso.

C. This Agreement is valid for any and all current and future transactions of all products and items between the present
and facilitating parties.
Este Contrato é válido para toda e qualquer transação atual e futura de todos os produtos e itens entre as partes atuais e facilitadoras.

D. The parties will in no way solicit or accept any business from sources or their affiliates made available through this
agreement without the express permission of the party that provided the available source.
As partes não solicitarão ou aceitarão de forma alguma qualquer negócio de fontes ou suas afiliadas disponibilizadas através deste contrato
sem a permissão expressa da parte que forneceu a fonte disponível.

E. The parties shall maintain absolute confidentiality with respect to each business source and/or its affiliates and shall
only disclose such business sources only with the written permission of the party that provided the source.

As partes manterão confidencialidade absoluta em relação a cada fonte de negócios e/ou suas afiliadas e somente divulgarão tais fontes de
negócios com a permissão por escrito da parte que forneceu a fonte.

F. That in whatever transactions the parties wish to make or enter into, they will do their best to assure the others that the
codes established for the transaction will not be affected.
Que em quaisquer transações que as partes desejem realizar ou celebrar, farão o possível para garantir às demais que os códigos
estabelecidos para a transação não serão afetados.

G. Not to disclose names, addresses, ID, NIT, RUT, Tax-ID, EIN, e-mails, telephone numbers, tele-fax or telex numbers or
cell phone numbers, bank account numbers to any of the contacts by either party to third parties.
Não divulgar nomes, endereços, ID, NIT, RUT, Tax-ID, EIN, e-mails, números de telefone, números de tele-fax ou telex ou números de telefone
celular, números de contas bancárias a qualquer um dos contatos de qualquer uma das partes para terceiros festas.

H. Acknowledge each of the contacts as the sole property of the respective parties, and that they will not enter into direct
or indirect negotiations or transactions with the contacts disclosed by the other party for five (5) years after the
termination of this Agreement
Reconhecer cada um dos contatos como propriedade exclusiva das respectivas partes, e que não entrarão em negociações ou transações diretas
ou indiretas com os contatos divulgados pela outra parte durante cinco (5) anos após a rescisão deste Contrato.

I. For the sale purpose of this agreement, it does not matter whether information obtained from a natural or a legal
person. The parties by penal law also undertake not to make use of a third party to circumvent this clause.
Para efeitos de venda deste contrato, não importa se as informações são obtidas de uma pessoa física ou jurídica. As partes pela lei penal
também se comprometem a não recorrer a terceiros para contornar esta cláusula.

J. That they further undertake not to enter into business transaction with banks, investors, sources of funds or other
bodies, the names of which have been provided by one of the Parties to this agreement, unless written permission has
been obtained from the other party (ies) to do so.
Que se comprometam ainda a não realizar transações comerciais com bancos, investidores, fontes de fundos ou outros órgãos, cujos nomes
tenham sido fornecidos por uma das Partes deste acordo, a menos que permissão por escrito tenha sido obtida da outra parte (ou seja, ) para
fazer isso.

K. That in the event of circumvention of this Agreement by either party, directly or indirectly, the circumvented party shall
be entitled to a legal monetary penalty equal to the maximum fees service to the final contract, it should realize from
such a transaction plus any and all expenses, including but not limited to all legal costs, fees and expenses incurred to
recover the lost revenue.
Que no caso de evasão deste Contrato por qualquer uma das partes, direta ou indiretamente, a parte contornada terá direito a uma penalidade
pecuniária legal igual às taxas máximas de serviço ao contrato final, deverá realizar de tal transação mais todo e qualquer despesas, incluindo,
mas não se limitando a, todos os custos legais, taxas e despesas incorridas para recuperar a receita perdida.

L. All considerations, benefits, bonuses, participation fees and/or commissions received as a result of the contributions of
the parties in the Agreement, relating to any and all transactions will be allocated as mutually agreed.
Todas as contraprestações, benefícios, bônus, taxas de participação e/ou comissões recebidas como resultado das contribuições das partes no
Contrato, relativas a toda e qualquer transação, serão alocadas conforme mutuamente acordado.

M. This Agreement is valid for any and all transactions between the parties, and shall be governed under the terms of the
law enforceable in all countries of the European Union, courts of the USA, Central and South America, Republic of
South Africa, Australia and other countries, under Swiss law in Zurich, in case of dispute, the laws of the states
mentioned herein shall apply in the arbitration. The Court shall decide in law or equity.
Este Contrato é válido para toda e qualquer transação entre as partes, e será regido nos termos da lei aplicável em todos os países da União
Europeia, tribunais dos EUA, América Central e do Sul, República da África do Sul, Austrália e outros países, sob a lei suíça em Zurique, em
caso de litígio, as leis dos estados aqui mencionados serão aplicadas na arbitragem. O Tribunal decidirá por lei ou por equidade.

N. The signing parties here by accept such selected jurisdiction as the exclusive venue.

O. This Agreement shall be valid and effective for the signatory parties, their successors and assigns, purchasers and / or
debtors, their agents, employees and / or representatives and all known contacts, family and heirs.
Este Contrato será válido e eficaz para as partes signatárias, seus sucessores e cessionários, compradores e/ou devedores, seus agentes,
funcionários e/ou representantes e todos os contatos conhecidos, familiares e herdeiros.

P. All International Chamber of Commerce (ICC 500) anti-fraud and confidentiality laws and revisions shall apply to all
parties involved in this negotiation, including all amendments and extensions of this work at the international level.
Todas as leis e revisões antifraude e de confidencialidade da Câmara de Comércio Internacional (ICC 500) serão aplicadas a todas as partes
envolvidas nesta negociação, incluindo todas as alterações e extensões deste trabalho em nível internacional.

2. AGREEMENT TO TERMS. / 2. TÉRMINO DO ACORDO.

A. Signatures on this Agreement received by the way of Facsimile, Mail and/or E-mail shall be deemed to be valid and executed
contract. Agreement enforceable and admissible for all purposes as may be necessary under the terms of the Agreement.
As assinaturas deste Contrato recebidas por fax, correio e/ou e-mail serão consideradas um contrato válido e executado. Contrato exequível e
admissível para todos os fins que possam ser necessários nos termos do Contrato.

Paragraph: In case the original signature cannot be obtained, the electronic signature of documents is valid.
Parágrafo único: Caso não seja possível obter a assinatura original, será válida a assinatura eletrônica dos documentos.

B. All signatories hereto acknowledge that they have read the foregoing Agreement, and that by their initials and signature
they have full and complete authority to execute the document for and on behalf of the parties for which they have given
their signature.

C. This document is signed and accepted by the parties named below to be included in its entirety in the main contract
negotiations.

EDT (Electronic Document Transmissions)

EDT (Electronic Document Transmissions) shall be deemed valid and enforceable in respect of any provisions of this Contract. As applicable, this agreement shall be:- Incorporate U.S.
Public Law 106-229, ‘‘Electronic Signatures in Global and National Commerce Act’’ or such other applicable law conforming to the UNCITRAL Model Law on Electronic Signatures (2001)
and ELECTRONIC COMMERCE AGREEMENT (ECE/TRADE/257, Geneva, May 2000) adopted by the United Nations Centre for Trade Facilitation and Electronic Business (UN/CEFACT).
EDT documents shall be subject to European Community Directive No. 95/46/EEC, as applicable. Either Party may request hard copy of any document that has been previously
transmitted by electronic means provided however, that any such request shall in no manner delay the parties from performing their respective obligations and duties under EDT instruments.
As EDT (Transmissões Eletrônicas de Documentos) serão consideradas válidas e exequíveis em relação a quaisquer disposições deste Contrato. Conforme aplicável, este acordo deverá ser: - Incorporar a
Lei Pública dos EUA 106-229, ''Lei de Assinaturas Eletrônicas no Comércio Global e Nacional'' ou qualquer outra lei aplicável em conformidade com a Lei Modelo da UNCITRAL sobre Assinaturas
Eletrônicas (2001) e o ACORDO DE COMÉRCIO ELETRÔNICO (ECE/TRADE/257, Genebra, Maio de 2000) adoptado pelo Centro das Nações Unidas para a Facilitação do Comércio e Negócios
Electrónicos (UN/CEFACT). Os documentos EDT estarão sujeitos à Diretiva da Comunidade Europeia nº 95/46/EEC, conforme aplicável. Qualquer uma das Partes poderá solicitar cópia impressa de
qualquer documento que tenha sido previamente transmitido por meios eletrônicos, desde que, no entanto, tal solicitação não atrase de forma alguma as partes no cumprimento de suas respectivas
obrigações e deveres nos termos dos instrumentos EDT.

The signatures below identified in this contract are considered authentic and duly validated under the laws of the corresponding country
of origin, as a sign of unilateral acceptance of the terms herein agreed by each of the parties involved with their respective weight of civil,
legal and commercial liability before any court designated in the contract.
