    EMPLOYMENT CONTRACT

    This Agreement dated_________________, is by and between ________________, a

    ______________________ (Corporation) and _________________ (Employee).

    The Corporation desires to employ the Employee and the Employee desires to be

    employed by the Corporation upon the terms and conditions set forth in this contract.

    The parties hereby enter into this Agreement to set forth their mutual promises and

    understandings and mutually acknowledge the receipt and sufficiency of valuable consideration

    in addition to the mutual promises, conditions and understandings set forth below.

    The duration of employment, the compensation to be paid the Employee, and other terms

    and provisions of this Agreement were approved and authorized on behalf of the Corporation by

    action of at a meeting thereof held on or by unanimous consent dated and effect as of the

    _________day of ________________.

    ARTICLE 1

    EMPLOYMENT DUTIES

    AND RESPONSIBILITIES

    Section 1. Employment:

    The Corporation employs the Employee as a ______________________________ with

    all the requisite privileges and duties thereof. The Employee accepts such employment and

    agrees to abide by all rules and regulations of the Corporation. Corporation agrees to provide

    Employee with a current copy of all rules and regulations upon execution of this agreement, and

    also agrees to provide Employee with a copy of any changes to said rules and regulations within

    _____ days of any change.

    Section 2. Director of Corporation:

    The Employee shall, if elected or appointed, serve as a director of the Corporation.

    Nothing in this Agreement shall be construed as requiring the Corporation, its shareholders, or

    agents to cause the election or appointment of the Employee as a director.

    Section 3. Duties and Responsibilities:

    The Employee is employed pursuant to the terms of this Agreement to act on behalf of

    the Corporation and agrees to devote all the time and energies necessary to accomplish the duties

    hereunder. During the term of this Agreement and any renewal, the Employee shall not, without

    the written consent of the Corporation.

    A. Render __________________________________ to or for any person, firm or

    corporation, or other organization for compensation, or

    B. Engage in any activity that competes with the interest of the Corporation whether the

    Employee is acting alone or as an officer, director, employee, shareholder, partner, or fiduciary.

    Any consent granted to the Employee shall be revocable by the Corporation at any time

    upon ten days notice, and the Employee agrees to cease and desist upon receipt of such notice.

    The Employee does not presently engage in any such activities other than those set forth in this

    Agreement.

    Section 4. Related Activities:

    All income generated by the Employee for professional services and related activities

    such as consulting, lecturing, and writing shall belong to the Corporation regardless of to whom

    paid unless the Corporation agrees, in writing, that such proceeds belong to the Employee. Any

    checks made payable to the Employee which represent income belonging to the Corporation

    shall be endorsed over by the Employee to the Corporation.

    Section 5. Copyrights:

    All copyrightable material generated by the Employee along with any such copyrights

    shall belong to the Corporation, except that the Corporation and the Employee may, by mutual

    consent, determine that such copyrightable material belongs to the Employee.

    Section 6. Workweek:

    For purposes of this Agreement, the Employee shall be considered as being paid on a

    seven-day week basis, since the Employee is available for call to work on Saturdays, Sundays

    and holidays as well as the remaining five weekdays.
