    Confirmation of Contract Carrier Verbal Rate Agreement


    Pursuant to our verbal agreement of 02/09/2015 between Riverside Transport, Inc., hereafter referred to as BROKER, and
    MIDWEST FREIGHT EXPRESS. hereafter referred to as CARRIER: Both Parties agree that BROKERS reference number 989420
    will move at the following rate:

    This confirmation governs the movement of the above-referenced freight as of the date specified. Carrier agrees to sign the
    confirmation and contract and return it to CARRIER/BROKER and Carrier shall be conclusively to have agreed to the rates set
    forth herein for a spot market customer. Carrier agrees to be charged 5% of the 'Total Pay' above for any and all payments made
    to Carrier if Broker pays Carrier within 3 days of delivery. By its signature, Carrier further represents and warrants that said
    mutually agreed upon rates are reasonable and compensatory, that the freight would not have been tendered to Carrier at higher
    rates, and that no shipment handled will be subject to later claim for undercharges.

    IF AGREED SERVICES ARE NOT FULFILLED, RATES ARE NEGOTIABLE.

    Terms and Conditions


    1. All drivers are required to count and verify the shipment before loading; unless bills are signed by Customer 'Shipper Load + Count'. If any
    discrepancies are found, the driver must call Riverside Transport, Inc. prior to loading.
    2. Riverside Transport, Inc., as a broker, will not be responsible for any shortages, loss or damage to the shipment transported by Carrier. Carrier
    agrees to have its drivers obtain a signed bill of lading or delivery receipt from the consignee upon delivery of the load.
    3. Carrier shall look to Riverside Transport, Inc., and not to the involved shipper, consignee, or customer of Riverside Transport, Inc., for any
    payment of Carriers freight charges under this agreement. Riverside Transport, Inc. shall be entitled to deduct any loss, shortage or damage claim
    from any freight charges that may be owed to Carrier.
    4. Any and all delays in deliveries shall be reported immediately to Riverside Transport, Inc. by Carrier or its drivers. Detention will not be
    authorized unless Carrier notifies CARRIER/BROKER at the time of occurrence. All accessorial charges must be noted on bill of lading detailing
    times and signed by Shipper or Receiver. All changes in Pick Up and Delivery appointments must be made by a Riverside Transport, Inc.
    employee.
    5. By signing below, Carrier warrants that it is duly and legally qualified to provide the transportation services contemplated herein, and that it holds
    liability insurance for at least $1,000,000 and cargo damage of at least $100,000.
    6. Weight quoted on 'Carrier Pick Up + Delivery Schedule' is subject to change. Riverside Transport, Inc.'s customer has the right to change weight
    up to Carrier's maximum legal weight. CARRIER/BROKER is paying for sole use of trailer.
    7. At no time should a Riverside Transport, Inc. load be unattached from the tractor or left anywhere except at a secure location.
    8. The named Carrier agrees to transport the identified shipment subject to the terms and conditions of the Truckload Bill of Lading and the
    CARRIER/BROKER terms found at under Schedules.
    9. DOT Safety rating of at least satisfactory will be confirmed by Riverside Transport, Inc.
