Preamble
GivingbacktosocietyisintheethosandbeliefsystemofAmwayIndiaEnterprisesPrivate
Limited(HereinafterreferredtoasAmwayIndiaorAmway).WhichiswhywhileAmway
IndiastartedcommercialoperationsinMay1998,wetookourfirststepmuchearlierinthe
social sector in 1996. Amway India has been executing its Corporate Social Responsibility
initiativesthroughtheAmwayOpportunityFoundation(AOF),anotforprofitorganization,
registeredundertheSocietiesRegistrationActXXI.OurCSRinitiativesarebasedonthebelief
thatsocialresponsibilityismuchmorethantheincurrenceofcostorresourceoracharitable
/philanthropicactofsocialbenefit.

TitleandApplicability
The Policy lays down the principles and mechanisms for undertaking various programs in
accordancewithSection135oftheCompaniesAct,2013(hereinafterreferredtoastheAct)
onCSRandinaccordancewiththeCSRrules(hereinafterreferredtoastheRules)notified
bytheMinistryofCorporateAffairs,GOIon27thFebruary2014asamendedfromtimeto
timeandcircularsandnotificationsissuedthereunder.
The Policy shall apply to all the CSR programs and activities undertaken by Amway India
directlyorthroughitsCSRarm,AmwayOpportunityFoundation(hereinafterreferredtoas
AOF),orthroughanyotherregisteredtrust/society/section8companyatvariouslocations
inIndiaasperScheduleVIIoftheActforthebettermentofIndiancommunity.

primarilyfocusingonrainwaterharvestingand
tree plantation, promoting environmental
sustainability, ecological balance etc. The
harvestedwatercanbeusedasdrinkingwateras
well as for storage and other purpose like
irrigation.
Amway will extend its helping hand to aid
communities facing natural disasters through
multifariouswaysasmayberequiredunderthe
circumstances.
TheCSRCommittee,withapprovalofBoard,reservestherighttochange,insert,amendorwithdraw
anyactivities/projectsofthepolicyanytimeduringtheyearinaccordancewithScheduleVIIofthe
Act.

Implementation

ThemodeofimplementationofCSRprogramswillincludeacombinationofdirectand
indirectimplementationthroughAmwayopportunityFoundationand/orworkingwith
partnerssuchasGovernmentsandGovernmentbodies,Governmentschoolsandcollege,
traininginstitutes,NGOs,businesspartners,registeredsocietiesetc.Amwaywillselect
itsactivitypartnersafterappropriateduediligence.
Amwaymayusetheservicesofinternalteams,expertagencies,consultancyfirmsetc.,
wherever required for carrying out base line surveys, guidance on project design and
implementation,duediligenceofimplementationpartners,impactassessmentsurveys
etc.
AmwaywillencourageemployeesandindependentAmwaydistributorsforvolunteering
incommunityservice.
GovernanceStructure
AmwayOpportunityFoundationoranyotherregisteredNGOcanassisttheCSRCommittee
inidentifyingthenewCSRareas,CSRactivities,programsandexecutionofinitiatives.Amway
Opportunity Foundation or any other registered NGO will also assist the Board and the
Committee in reporting the progress of deployed initiatives and in making appropriate
disclosuresontheperiodicbasis.TheBoardwillreportCSRperformanceinitsannualreport
asperthestructureandformatprescribedinthenotifiedCSRRules.

BoardLevelCSRCommittee
TheCSRCommitteewillconsistofalltheDirectorsforthetimebeinginforceintheCompany
whichshallnotbelessthan3atanypointoftimeunlessAmwayhasonly2directorsonthe
Board.
Responsibilities:
formulateandrecommendtheCSRPolicytotheBoardforapproval
monitortheCSRPolicyfromtimetotimeandrecommendchangestotheBoard
recommendtheamountofexpendituretobeincurredonCSRprojects
constitute a transparent monitoring mechanism for ensuring effective and efficient
implementationoftheCSRprojects
constitute a CSR team for coodination, implementation and monitoring of the CSR
activitiesinaccordancewiththePolicyandprovideguidancetotheteam.
9.MonitoringandReportingFramework
Amway will institute a monitoring and evaluation mechanism to ensure that each CSR
programhas:
Definedobjectivesdevelopedoutofthesocietalneeds
Definedtargets,timelinesandmeasureableparameters,whereverpossible
TheCommitteewillperiodicallymonitortheCSRspendprogramsandactivitiesundertaken.
Monitoring activities may include monthly field visits, comprehensive documentation,
periodic reports from implementing agencies and regular interaction with beneficiary
communities.
The Board of Director will report CSR performance in its annual reports per structure and
formatprescribedinnotifiedCSRrules.

Budget
InaccordancewiththeAct,aspecificbudgetisallocatedforCSRinitiatives.Thisbudgetis
project driven and may be allocated by the Board and the CSR committee based on the
prioritizationandimpactassessmentofthefocusareas.
11.TreatmentofSurpluses
AnysurplusgeneratedfromCSRprojectsundertakenbyuswillbetrackedandchannelized
intoourCSRcorpus.ThesefundswillbefurtherusedindevelopmentoftheCSRprojectsand
willnotbeaddedtothenormalbusinessprofits.
