2. Commercial Proposal
Scope of Work:
This proposal covers only the supply of spares for MP163IN & IPDMU G5 system at following

4. General Terms & Conditions:
A) Prices:
 In Indian Rupees (INR), ex-works, TMEIC facility, Bangalore.
 All prices quoted are exclusive of all taxes, duties, octroi, levies, cess, etc and should be borne
by the buyer as applicable at the time of the delivery. Buyer to furnish all necessary declaration
forms as applicable.
 Transport charges extra.
B) Terms of Payment:
 100% against Proforma Invoice.
C) Delivery Terms:
 Ex-Works, TMEIC Bangalore facility with road-worthy packing.
 10 to 12 weeks from the date of receipt of the confirmed purchase order
 Transport cost extra
5. Exclusions:
 The delay of delivery due to circumstances for which the Buyer responsible.
 A necessary Transport document wants to provide by the Buyer.

General:
 Any other items/requirements not mentioned in the above offer & Bill of Materials is outside
the scope of TMEIC.
 Any additional items/services provided by TMEIC will be at extra cost.
 Any fees/charges required for any agencies will be borne by the buyer.
 All required permits and approvals are in the scope of the buyer.
 TMEIC shall not be held liable for any damages caused due to improper and unauthorized
handling of TMEIC products, for example but not limited to damages resulting due to accidents,
lack of electrical power, transportation, etc.
 TMEIC shall not be held liable for any damages / loss of lives, properties etc if the inverter is
used for any other purposes other than its intended use.
6. Warranty Terms:
 The warranty period is up to 12 months from date of delivery only against manufacturing
defects.
 Warranty does not cover consumables such as air filters, fuses, SPD, UV/OV Coils etc.
 Warranty is void under the following conditions
o If the equipment is not kept in the environment as stipulated in the O & M manual.
o Deliberate damage to the system
o Improper operation
o Unauthorized attempts to repair/maintenance by a non TMEIC authorized / certified
personnel.
o Force Majeure, including but not limited to earth quakes, lightning, acts of vandalism,
network over voltage and power surges, fire and any other event beyond the control of
TMEIC.
o Relocation of equipment without the supervision of TMEIC.
7. Validity of the offer:
This offer is valid for a period of 15 days from the above date.
