Agreement: Recruitment Services

We are pleased to offer Recruitment Services to Dansoon Chemicals Sdn Bhd (“Client”).

Please take time to review the terms and conditions of our service.

1. Commencement and Duration

Upon your confirmation of the Agreement (by executing these terms of service and forwarding
this document to us) together with our receipt of the job specifications and requirements, we
will commence the search and selection process to satisfy the assignment.

This Agreement will expire on 31 December 2021 unless terminated by either party prior to
said date by giving the other party one (1) month's written notice. However, should neither
party so terminate the Agreement by 31 December 2021, the Agreement shall be renewed
automatically for a further indefinite period upon the same terms and conditions as herein
existing wherein either party may terminate the Agreement by giving the other party one (1)
month's written notice.

No variation shall be made to these terms and conditions during the subsistence of this
Agreement unless it is in writing and with the mutual consent of all parties.
Upon said consent being obtained, Agensi Pekerjaan Asia Recruit (Melaka) Sdn Bhd is to
forward a fresh Agreement to the Client for execution and subsequent return with terms and
conditions unchanged save for those which have been varied.
2. Required Information

Before commencement of the assignment, the following information is required:

• Internal description/write up of the position(s): responsibilities, requirements and


reporting structure/relations
• Description of qualifications, work experience and internal qualities expected form the
candidate(s)
• Company profile/ business activities/ specific projects
• Expected annual remuneration package: Salary, commission, bonuses, allowances and
more

3. Screening and Short-listing

We will consolidate and manage all applications on the Client’s behalf.

Sources of candidates can be from:

a) Write-in candidates (Newsprints/ Fax)


b) Online candidates
c) Headhunted
d) Referrals
e) Agensi Pekerjaan Asia Recruit (Melaka) Sdn Bhd database
f) Road shows and Events

We will screen and shortlist candidates on your behalf.

Short-listed candidates will be referred to you within 14 days of the commencement of the
assignment.

In the event that the same short-listed candidate (s) has applied to your company or has been
submitted by another recruitment agency, you should notify us in writing within 14 days of
receiving such candidate (s) profile failing which the necessary fee as stipulated in this
Agreement shall still be applicable if the candidate is hired by your company.

4. Interviews

We will also conduct face-to-face interviews/telephone interviews to assess short-listed


candidates for their suitability for the positions you have offered. Thereafter, we will shortlist
interviewees who closely meet your requirements and will coordinate with you to arrange for
short-listed candidates to be interviewed by your company at your convenience.

5. Guarantee

In the event that a candidate we proposed leaves your employment within the Guaranteed
Period (as defined in clause 6) from the date of commencement, we will endeavour to find a
replacement for the same position, provided Agensi Pekerjaan Asia Recruit (Melaka) Sdn Bhd
is notified in writing within one (1) week of candidate’s resignation date, and that all fees have
been paid within 14 days of the invoice date.

The guarantee is valid up to one replacement only.

If a suitable replacement cannot be found within two (2) months period from the date of
notification, Agensi Pekerjaan Asia Recruit (Melaka) Sdn Bhd will issue a 50% credit note to
be used against future business.

The replacement guarantee and/or the credit note is not valid if the candidate is retrenched due
to business closure, company takeover, terminated or other reasons beyond our control which
may include but are not limited to the replacement candidate being rejected by the Client for
any reason whatsoever.

The final invoice will be appropriately adjusted where the total remuneration package of the
replacement candidate differs from the first candidate.

6. Professional Fees

The success fee, as given below, is only payable upon successful placement of a candidate with
your organization. The invoice will be issued on the day the successful candidate commences
employment with the Client.

15% Below RM72,000 1 month

18% RM72,000 – RM119,999 2 months

22% RM120,000 & above 3 months

Note :

1. The success fee is based on the annual gross salary of the candidate inclusive of any fixed
allowances (e.g. car petrol/maintenance, housing, mobile phone etc.) and contractual /
sign-on bonuses. If a company car and/or accommodation/housing is provided, Agensi
Pekerjaan Asia Recruit (Melaka) Sdn Bhd will add a flat income rate of RM6,000 and/or
RM12,000 respectively to the annual gross salary, regardless of the model of the car/type
of accommodation/housing provided.

2. The candidates are introduced in relation to permanent assignments. Should a candidate


be engaged in any other capacity or on any other basis inclusive but not limited to contract
or temporary assignment, the same fee will be payable as if the candidate had been
employed on permanent basis on the most favorable terms offered to the candidate for
permanent employment where in such case the success fee shall be based on annual gross
salary earned (calculated on a twelve (12) month basis) during said employment
irrespective of duration of actual employment which shall include any duration of less than
twelve (12) months. The Guarantee Period shall however not be applicable in cases of non-
permanent assignment.

3. The Client agrees to reimburse Agensi Pekerjaan Asia Recruit (Melaka) Sdn Bhd any
reasonable expenses required for the recruitment process including advertisement cost,
transportation or accommodation after getting prior approval from the Client.

4. The fee is subject to a 6% Services Tax (ST) (until further notice subject to the prevailing
rate imposed by the government at the designated time).

5. The Client is required to send us a copy of the service or offer letter once the candidate has
agreed to accept the job offer from the Client.

6. If the Salary offered is not in Ringgit Malaysia (RM), the success fees indicated above
shall be converted to Ringgit Malaysia at the date of the assignment confirmation for the
purpose of calculating the success fee.

7. Retainer fee : A non-refundable upfront fee of RM1500 ( excluding 6% of ST ) / job title


( maximum hire of 10 candidates per job title ) to be paid to Agensi Pekerjaan Asia Recruit
(Melaka) Sdn Bhd should the Client requires to hire candidates from overseas (outside
Malaysia).

8. Fee is payable within 14 days of date of invoice. A late payment charge will be levied on
overdue invoices, calculated on a daily basis at 1.5% per month on the amount due from
the date due to the date when payment is received.

7. Hiring of Asia Recruit’s Candidate

Agensi Pekerjaan Asia Recruit (Melaka) Sdn Bhd will charge the success fee according to the
fee stipulated above should the candidate we send be employed by the Client and/or any related
company and/or subsidiary of the Client and/or any other third party or company connected
with the Client and/or its employees or officers in any manner whatsoever whether seconded,
referred or transferred or otherwise within one year from the submission date of the candidate's
profile, regardless of any position he/she is being offered.

8. Assignment of Rights Interests Benefits

Neither party hereto shall be entitled to assign any of their respective rights, interests or benefits
in, to or under this Agreement except with the prior written consent of the other party hereto.

9. Successors Bound

This Agreement shall be binding upon their respective successors-in-title and permitted assigns
of the parties hereto.

10. Indemnity

While every effort is made by Agensi Pekerjaan Asia Recruit (Melaka) Sdn Bhd to satisfy the
Client by ensuring that the candidate has a reasonable standard of skill, integrity and reliability,
Agensi Pekerjaan Asia Recruit (Melaka) Sdn Bhd shall bear no liability for any loss expense
damage (consequential or otherwise) suffered by the Client and/or any other party arising from
either delay in or failure to provide any candidate to the Client or from the negligence,
dishonesty, misconduct or lack of skill or any other act or omission of the candidate provided
to the Client. The Client shall be responsible for satisfying himself/herself as to the suitability
of any candidate who is employed.

The Client and or any third party further undertake to indemnify and guarantee to make no
claim against Agensi Pekerjaan Asia Recruit (Melaka) Sdn Bhd for any loss damage expense
suffered howsoever caused to them or any other party.

11. Non-Disclosure & Confidentiality

All confidential career resumes sent, via facsimile, mail or electronic mail, to the Client is for
the sole purpose of this Agreement only and is to be held in the strictest confidence. The Client
shall not extend or give the resumes to any other 3rd parties which shall include all parties
referred to in clause 7. Agensi Pekerjaan Asia Recruit (Melaka) Sdn Bhd reserves the right to
seek compensation from the Client if the Client was found to breach this term.

Agensi Pekerjaan Asia Recruit (Melaka) Sdn Bhd is required to comply with the provisions of
the Personal Data Protection Act 2010.

You therefore undertake to ensure that any personal information provided to you will be dealt
with in a manner fully compliant with any applicable laws and Agensi Pekerjaan Asia Recruit
(Melaka) Sdn Bhd will bear no liability to any third parties as a result of any failure on your
part and will hold you liable for any losses suffered by Agensi Pekerjaan Asia Recruit (Melaka)
Sdn Bhd as a result.

Pursuant thereto, all communications between Agensi Pekerjaan Asia Recruit (Melaka) Sdn
Bhd, the candidate and the Client hereto and all information and other materials supplied to or
received by one party from the other which by its nature is intended for the purposes herein
and all information concerning the business transaction and financial arrangements of the
parties coming to the knowledge of the recipient shall be kept confidential by the recipient and
shall endure even after termination and/or completion of this Agreement whereupon to the
extent by law or the provisions of this Agreement, this obligation shall cease.

This Agreement shall be governed and construed according to the laws of Malaysia.
