1 INSTRUCTIONS, TERMS AND CONDITIONS:
1 The bids are to be submitted in the E-procurement system only as notified in this tender
document.
2 The Opening of Technical Bid is on as mentioned in e-portal at 11.30 AM at
Karnataka Industrial Areas Development Board, No. 49, 4th & 5th Floor, East Wing,
Khanija Bhavan, Race course Road, Bangalore – 560 001
3 The tenderer comprises two-cover system of (a) Technical bid & (b) Financial bid.
4 Technical Bid should contain scanned copies of the following documents along with the
technical proposals of section 4 filled through online in e-procurement portal ;
a. Financial statements in the form of Annual audited accounts for the financial years
from 2015-16 to 2019-20.
b. Details of information and documents in respect of experience and past performance
in the execution of contracts.
c. EMD amount as specified in sub clause 1.13 of ITC this tender document to be
uploaded in the e-procurement portal only using any of the following four modes:
 Credit Card.
 Direct Debit.
 National Electronic Fund Transfer (NEFT).
 Over the Counter (OTC).
d. Capability with respect of assignment executed, field study & lab equipments and
managerial capabilities.
5 Financial bid should contain Form 5A, 5B & 5C of the financial proposal of section-5
filled through online in e-procurement portal.
6 The financial bid of only those tenderers who fulfill the eligibility criteria and
qualification information shall be opened
7 The Technical Bids of the empanelled agencies in KIADB will not be evaluated before
opening the financial bid.
8 Aspiring tenderers who have not obtained the user ID and password for participating in
e-tendering in KIADB may now obtain the same from the website
http://www.eproc.karnataka.gov.in
9 Bidders can access tender documents on the website, fill them and submit the
completed tender document into electronic tender on the website itself.
10 Bidders should attach all the scanned copies of certificates pertaining to their eligibility
criteria, qualification information documents, failing which the bid will not be
considered. No physical documents shall be considered.
11 EMD shall be paid in the e-payment form only and the technical bid will be opened only
on the confirmation of receipt of payment in Government of Karnataka central pooling
A/c held at the ICICI Bank, failing which the tender will not be considered.
12 A successful tenderer will have to execute an agreement as per standard tender
document with the Chief Engineer - 1, KIADB, Bangalore. Within 7 days upon receipt of
intimation, failing which his tender will be rejected and EMD will be forfeited.
13 The work shall be commenced with all earnestness within seven days from the date of
issue of work order, failing which it would be presumed that he is not interested in the
work and action will be taken to get the work through alternate agency.
14 Corrigendums / modifications / corrections / cancellations / postponents /
clarifications / extensions etc., if any, will be published only in the website
http://www.eproc.karnataka.gov.in.
15 Chief Executive Officer & Executive Member, KIADB, Bangalore reserves the right to
accept / reject any or all tender without assigning any reasons.
16 If Authority desires, physical verification will be done both for previous work done and
field study & lab equipments.
Even though the tenderers meet the eligibility criteria, they are subjected to be

disqualified if they have;

a. Made misleading or false representations in the forms, statements and attachments
submitted in proof of the qualification requirement : and / or
b. Record of poor performance such as abandoning the works, not properly completing
the contract, inordinate delays in completion, litigation history or financial failures,
etc.,
The minimum required experience of proposed Key staff in Performa of clause 4.4 under
18 section 3 of TOR;
Financial bid for the work shall be unconditional. Conditional offers by bidders will be
19
rejected.
The financial bid shall be valid for a period of 135 Days from the last date of submission
20
of bids.
The rates shall be quoted for the whole work (including all components) as may be
21 assigned and shall be inclusive of all taxes and duties etc.,
The percentage shall be quoted to second decimal only while quoting percentage in
22 financial proposal.
23 No advance / mobilization amount will be provided.
The whole field, data processing and presentation of complete records and maps shall be
24
carried out within the time limit specified in the scope of work.
Payment will be made against the bill raised after formal verification and acceptance of
25 progress of the work as per the payment schedule.
Penalty will be levied if the time limit specified in the scope of work is not adhered to as
26 per clause 8.3 & 8.4 under section 2 of ITC.
The decision of the Chief Engineer and Chief Development officer, KIADB, Bangalore,
27 shall be final and binding on the contracting firm / company in the matters of
determination of progress of the work, acceptance or otherwise of the work.
28 KIADB reserves the right of accepting or rejecting tenders.
The consultant appointed by KIADB for preparation of DPR are not entitled to have the
29 consultancy of the PMC for the same work.
Further details of work can be obtained in the Office of the Chief Development officer
30 and Chief Engineer, KIADB, Bangalore on all working days between 10.30 a.m. to 5.30
p.m.

SECTION 2. INFORMATION TO CONSULTANTS

1. INTRODUCTION

Karnataka Industrial Areas Development Board (KIADB), "the client" is desirous of obtaining
Consulting Services for Proof Checking of Design, Project Management Consultancy for the work
of Formation of 18M wide road (Road no. 2, 8, 9, 10, 11, 12 & 27 ) Including Asphalting,
Construction Of RCC Side Drains, RCC Cross Drainage Works, RCC Storm Water Drain, HDPE
Dual Water Supply Pipe Line for Kotur Belur Industrial Area, Dharwad Taluk, Dharwad
District.-Package-3

The objectives and description of the services are:


 To Proof check the designs and drawings submitted by the consultants/agency.
 Supervision of work to ensure their compliance with specification
 Checking and monitoring the quality of work and testing of construction materials,
 Monitoring the progress of work
 To prepare and check the measurements of bill of quantity and certification of the
work done

The KIADB will select a consulting firm based on evaluation criteria mentioned in this
document.

1.2 The consultants are invited to submit a Technical Proposal and a Financial Proposal, for
Consulting Services for Proof Checking of Design, Project Management Consultancy for
the work of Formation of 18M wide road (Road no. 2, 8, 9, 10, 11, 12 & 27 ) Including
Asphalting, Construction Of RCC Side Drains, RCC Cross Drainage Works, RCC Storm
Water Drain, HDPE Dual Water Supply Pipe Line for Kotur Belur Industrial Area,
Dharwad Taluk, Dharwad District.-Package-3

The Proposal will be on the basis for contract negotiations and ultimately, signing of a
contract with the selected consulting firm.

1.3 The Consultant must familiarise himself with local conditions and take them into account
in preparing his Proposal.
1.4 The Client will provide the inputs specified in the Data sheet and make available relevant
project data and reports.

1.5 Deleted.

1.6 Please note that (i) the costs of preparing the proposal and of negotiating the contract,
including a visit to the Client site, are not reimbursable as a direct cost of the
Assignment, and (ii) the Client is not bound to accept any of the Proposals submitted.

1.7 The firm which has been engaged by the KIADB to provide consulting services for this
project shall be disqualified from providing goods or works or services related to
assignments for the same project to any other promoters. Consultants should clarify their
situation in that respect with the Client before preparing the Proposal.

1.8 It is KIADB‟s policy to require that Consultants (including their affiliates /associates /
partners) to observe the highest standard of ethics during the selection and execution of
such contracts. In pursuance of this policy, KIADB -:

(a) Will reject a proposal for award if it determines that the firm recommended for
award has engaged in corrupt or fraudulent activities in competing for the contract
in question.
(b) Will cancel the firm's contract if it at any time determines that corrupt or fraudulent
practices were engaged in by the representatives of the Consultants or their
associates during the selection process or the execution of that contract.
(c) will declare a firm ineligible, either indefinitely or for a stated period of time, to be
awarded a KIADB -financed contract if it at any time determines that the firm has

engaged in corrupt or fraudulent practices in competing for, or in executing a
KIADB - financed contract; and
(d) Will have the right to require that, in contract financed by KIADB, a provision be
included requiring KIADB to inspect their accounts and records relating to the
performance of this contract and to have the same audited by auditors appointed by
KIADB.
For the purposes of above:
(i) “corrupt practice” means the offering, giving, receiving, or soliciting of anything of
value to influence the action of a KIADB official in the selection process or in
contract execution; and
(ii) "fraudulent practice" means a misrepresentation of facts in order to influence a
selection process or the execution of a contract to the detriment of KIADB, and
includes collusive practices among consultants (prior to or after submission of
proposals) designed to establish prices at artificial, non-competitive levels and to
deprive KIADB of the benefits of free and open competition.

1.9 Consultants shall not be under a declaration of ineligibility for corrupt and fraudulent
practices issued by any clients in India or abroad, in accordance with the above sub para
1.8(c).

1.10 Joint Venture is not allowed.


1.11 EMD
The consultants are requested to submit EMD of Rs. 2,00,000/- (Rupees Two lakh Only)
along with the Technical Bid.
Any tender not accompanied by an acceptable earnest money deposit and not secured in the
payment modes as indicated below shall be rejected by the Client as non responsive
* The earnest money deposit of unsuccessful tenderers will be returned within 30 days from
the end of the tender validity period.
* The earnest money deposit of the successful Tenderer will be discharged when the
Tenderer has signed the Agreement and furnished the required Performance Security.
* The Earnest Money Deposit may be forfeited:
(a) if the Tenderer withdraws the Tender after tender opening during the period of
tender validity;
(b) in the case of a successful Tenderer, if the Tenderer fails within the specified time
limit to
(i) sign the Agreement; or
(ii) furnish the required Security deposit
The Consultant shall pay the Earnest Money Deposit (EMD) in the e-Procurement portal using
any of the following payment modes:
 Credit Card
 Direct Debit
 National Electronic Fund Transfer (NEFT)
 Over the Counter (OTC)
The supplier/contractor‟s bid will be evaluated only on confirmation of receipt of the payment
(EMD) in the Government of Karnataka central pooling a/c held at ICICI Bank
EMD amount will have to be submitted by the supplier/contractor taking into account the
following conditions:
a. EMD will be accepted only in the form of electronic cash (and not through Demand Draft
or Bank Guarantee) and will be maintained in the Govt.‟s central pooling account at ICICI
Bank until the contract is closed.
b. The entire EMD amount for a particular tender has to be paid in a single transaction. It is
responsibility of Contractors to ensure that payment through NEFT reaches Payment to
Government of Karnataka Bank before Bid submission date and time, through online
payment. In case of OTC Payment , the DD to be drawn in favour of “e-Procurement ,
Government of Karnataka “ and submit to ICICI Bank before bid submission time and
update the transaction reference in e-Procurement portal .

2. MODIFICATION AND WITHDRAWAL OF TENDERS

2.1 Tender has all the time to modify and correct or upload any relevant document in the
portal before submission on e-portal.

2.2 Tender can be withdrawn only before Bid submission date and time, as published in the
e-procurement portal.

2.3 No Tender may be modified after the deadline for submission of Tenders.

2.4 Tenderers may only offer discounts to, or otherwise modify the prices of their Tenders by
submitting Tender modifications in accordance with this clause, or included in the
original Tender submission if available on e-portal.

3. PREPARATION OF PROPOSAL
3.1 Consultants are requested to submit a Proposal (para 1.2) written in the language(s)
specified in the data sheet.

Technical Proposal

3.2 In preparing the Technical Proposal, Consultants are expected to examine the documents
comprising this RFP in detail. Material deficiencies in providing the information requested
may result in rejection of a Proposal.
3.3. While preparing the Technical Proposal, consultants must give particular attention to the
following:

(i) The firms having following minimum experience only will be considered for
evaluation;
a) Successfully completed the construction supervision & Project Management of
one similar work costing not less than Rs.10.00 Crores in the last 05 years
(i.e., from 2015-16 to 2019-20).Certificates of proof shall be enclosed received
from competent Authority not below the rank of Executive Engineer in
Government/Public Sectors/Government Undertaking Organisations. Joint
ventures not allowed.
b) The firm should have successfully completed at least 3 Construction
Supervision and Project Management Services comprising of proof checking of
designs, project management consultancy of similar work in the last 05 years
(i.e., from 2015-16 to 2019-20). Certificates of proof shall be enclosed from
competent Authority not below the rank of Executive Engineer in
Government/ Public Sectors/Government Undertaking Organisations. Joint
ventures not allowed.
c) Achieved in at least any two financial years an average annual financial
turnover of Rs.40.00 Lakhs in last 5 years (i.e., from 2015-16 to 2019-20).
Certificates of proof shall be enclosed for the above.
(ii) The Proposal should be based on the number of professional staff-months
estimated by the firm.
(iii) It is desirable that the majority of the key professional staff proposed be
permanent employees, of the consultant firm.
(iv) Proposed professional staff must have at least the experience indicated in the Data
Sheet, preferably under conditions similar to those prevailing in India.
(v) Alternative professional staff shall not be proposed and only one curriculum vitae
(CV) be submitted for each key staff position.
(vi) Reports to be issued by the consultants as part of this assignment must be in the
language(s) specified in the Data Sheet. It is desirable that the firm's personnel
have a working knowledge of English.

3.4 The Technical Proposal should provide the information using the forms in Section 4 and
give the following:

(i) A brief description of the firm's organisation and a list of recent experience on
assignments (Section 4B and 4H) of a similar nature.

(ii) Any comments or suggestions on the Terms of Reference and the data, services
and facilities to be provided by the Client (Section 4C), and a description of the
methodology (work plan) by which the firm proposes to execute the services,
illustrated, as appropriate, with bar charts of activities and graphics, or the
Program Evaluation Review Technique (PERT) type (Section 4D).
(iii) The composition of the proposed staff team, the tasks that would be assigned to
each staff team member, and their timing (Section 4E).
(iv) CVs recently signed by the proposed professional staff and the authorised
representative submitting the proposal (Section 4F), Key information should
include number of Years working for the firm/entity, and degree of responsibility
held in various assignments during the last ten (10) years.
(v) Names of technical software to be used for the specified services.
(vi) Any additional information requested in the Data Sheet.

3.5 The Technical Proposal shall not include any financial information.

Financial Proposal

3.6 The financial proposal is a lumpsum for the services which will be the ceiling contract
price. However, the break-up of costs for arriving at the lumpsum be indicated. The rates
given in the break-up of costs will be used (a) during financial negotiations, if any, and (b)
for fixing remuneration for unexpected major increase/decrease in scope of any work.
Remuneration for the personnel shall be determined on the basis of time actually spent
by such personnel in the performance of their assigned tasks. The services of any expert
for the subject projects which have been earmarked should be made available as and
when required either during the project duration or as per requirements of client.
3.7 In preparing the Financial Proposal, consultants are expected to take into account the
requirements and conditions of the RFP document. The lump sum fee shall be all
inclusive, containing all costs associated with the Assignment, (a) including remuneration
for staff and (b) reimbursable such as subsistence (per diem, housing), transportation
services and equipment (vehicles, office equipment, furniture, and supplies), office rent,
insurance, printing of documents, all taxes, duties, levies and other impositions imposed
under the applicable law, on the consultants, and their personnel unless the Data Sheet
specifies otherwise.

3.8 The Financial Proposal should clearly identify, as a separate amount, including GST
tax.
3.9 Commissions and gratuities, if any, paid or to be paid by Consultants and related to the
Assignment will be specified in the Financial Proposal submission form.
3.10 Costs must be expressed, and will be paid, in the currency mentioned in the data sheet.
3.11 The Data Sheet shows for how many days after the submission date the proposals must
remain valid, during this period, the consultants are expected to keep available the
professional staff proposed for the assignment. The Client will make its best effort to
complete negotiations within this period. If the Proposal validity period is extended, the
consultants have the right not to maintain their Proposals.
3.12 An agreement in usual format shall be drawn up and entered into with the successful
bidder for the consultancy work entrusted to him on negotiated terms and conditions
within the stipulated time as per LOI.

4. SUBMISSION OF BID
4.1 Sealing and Marking of Bids
The Bidder shall submit the bids separately i.e., “Technical” and “Financial” electronically
online on e-portal.
4.2 Deadline for Submission of Bids
The last date for submission of bids electronically on e-portal on or before the time
and date stated in the Data Sheet.

4.4 Bid Opening

i) If the office happens to be closed on the date of opening of the tenders as specified,
the tenders will be opened on the next working day at the same time and venue.
ii) Tenders will be opened at prescribed time and date in the e-procurement portal, in
the presence of the Tenderers who wish to attend at the Office Karnataka Industrial
Areas Development Board (KIADB), and submit the copy of the necessary relevant
original documents at the time of opening of technical bid.
iii) Evaluation of the Eligibility of bidders shall be done independently. The Financial bid
of only those who are assessed to be eligible shall be opened on a subsequent date will
be notified. Only Eligible bidders shall be invited to be present for the „Financial Bid‟
opening.

5. PROPOSAL EVALUATION
General
5.1 Consultants shall not contact the Client on any matter relating to their Proposal from the
time of opening of the Technical Proposal till the contract is awarded. If a firm wishes to
bring additional information to the notice of the client, it should do so in writing at the
address indicated in the Data Sheet. Any effort by the firm to influence the Client in the
Client's Proposal evaluation, Proposal comparison or contract award decisions may result
in the rejection of the consultant's Proposal.
5.2 Evaluators of Technical Proposals shall have no access to the Financial Proposals until
the technical evaluation, including any reviews and no objection, is concluded.
Evaluation of Technical Proposals
5.4 The Technical bids of only the firms satisfying the following criteria will be evaluated:
a) Successfully completed the construction supervision & Project Management of one
similar work costing not less than Rs.10.00 Crores in the last 05 years (i.e., from
2015-16 to 2019-20).Certificates of proof shall be enclosed received from competent
Authority not below the rank of Executive Engineer in Government/Public
Sectors/Government Undertaking Organisations. Joint ventures not allowed.
b) The firm should have successfully completed at least 3 Construction Supervision
and Project Management Services comprising of proof checking of designs, project
management consultancy of similar work in the last 05 years (i.e., from 2015-16 to

The KIADB will carry out the evaluation of proposals of only the consulting firms who
satisfy the above criteria on the basis of their responsiveness to the Terms of Reference,
applying the evaluation criteria and marking system specified in the Data Sheet. Each
responsive proposal will be given a Technical score (Ts). A proposal to be considered
unsuitable shall be rejected at this stage if it does not respond to important aspects of the
Terms of Reference or if it fails to achieve the minimum technical score indicated in the
Data Sheet.

5.5 The Financial Bid of the technically qualified bidders will only be opened.

Opening and Evaluation of Financial Proposals

5.6 The Client shall notify only such applicants whose technical proposals are found
acceptable and who are invited for opening of financial bids, intimating the date, time and

place of opening of financial bids. The notification may be sent by registered letter, cable,
telex, facsimile, or by electronic mail.
5.7 Financial Proposals will be opened in the presence of the applicants who have elected to
attend. The names of applicant and the financial proposal will be announced. The Client
will keep a register of representatives attending the meeting.

6. NEGOTIATIONS
6.1 Negotiations will be held at the address indicated in the data sheet. The aim is to reach
agreement on all points and sign a contract.
6.2 Negotiations will include a discussion on the Technical Proposal, the proposed
methodology (work plan), staffing and any suggestions made by the firm to improve the
Terms of Reference. The Client and firm will then work out agreed final Terms of
Reference, staffing, and bar charts indicating activities, staff, periods in the field and in
the home office, logistics and reporting. The agreed work plan and final Terms of
Reference will then be incorporated and form part of the contract. Special attention will
be paid to optimising the required outputs from the firm within the available budget and
to clearly defining the inputs required from the Client to ensure satisfactory
implementation of the Assignment.
6.3 The financial negotiations will include a clarification of the firm's tax liability in India (if
any), and how it will be reflected in the contract; and will reflect in the agreed technical
modifications in the cost of the services. Financial negotiations also include the
negotiation of costs.
6.4 The Client expects to negotiate a contract on the basis of the experts named in the
Proposal. Before contract negotiations, the KIADB will require assurances that the
experts will be actually available. KIADB will not consider substitutions during contract
negotiations unless both parties agree that undue delay in the selection process makes
such substitution unavoidable or that such changes are critical to meet the objectives of
the assignment. If this is not the case and if it is established that key staff was offered in
the proposal without confirming their availability, the firm may be disqualified.
6.5 The negotiations will conclude with a review of the draft form of the contract. To complete
negotiations, the KIADB and the firm will initial the agreed contract.

7. AWARD OF CONTRACT
7.1 The contract will be awarded following negotiations with the successful firm. After
negotiations are successfully completed, KIADB will notify other consultants on the
shortlist that they were unsuccessful.
The successful consulting firm is expected to commence the assignment by the date
specified in the data sheet.

8. PERFORMANCE GUARANTEE & PERFORMANCE CLAUSE


8.1 Performance Guarantee:
Performance Guarantee for an amount equivalent to 10% of the contract amount of the
successful bidder (Consultancy fee towards project management & construction
supervision) is to be given to KIADB towards Performance of the successful consulting
firm. This Performance Guarantee shall be in the form of Bank Guarantee issued by a
Nationalised Bank in the format to be approved by KIADB and shall be submitted at the
time executing the agreement which shall be valid for 30 months from the date of
agreement. The same will be released to the agency after completion of the defect liability
period of 30 months.

8.2 Performance Clause:


Consultants shall be expected to fully comply with all the provisions of the `Terms of
Reference‟, and shall be fully responsible for supervising the Construction of work in
accordance with the provisions of the Contract Agreement and other schedules. Any
failure of the Consultant in notifying to KIADB and the Contractor on non-compliance of
the provisions of the Contract Agreement and other schedules by the Contractor, non-

adherence to the provision of ToR and non-adherence to the time schedule prescribed
under ToR shall amount to non-performance.

8.3 In the event of non-performance by the Consultant, KIADB will retain the right to encash
the Performance Guarantee
8.4 In case of non – performance and encashing of performance Guarantee amount
equivalent to 10% of contract amount, further the KIADB will blacklist such firms in
future.

shall be Master graduate in Civil Engineering with minimum experience of 12 years in
Civil Engineering and he should have handled as Team Leader at least two project

years.
2. Senior water supply Engineer: This position requires a Master graduate in
Hydraulics Engineering with minimum of 10 years experience. He should have
handled in the last 7 years as water supply Engineer at least two water supply and
one treatment schemes were implemented.
3. Mechanical Engineer: This position requires a graduate in Mechanical Engineering
with minimum of 5 years experience. He should have handled in the last 5 years as
Mechanical Engineer at least two major water supply schemes where design and
installation of pumps/motors, etc., were implemented.
4. Construction Engineer - This position requires a graduate in Civil Engineering with
minimum of 10 years experience. He must have at least handled two major
Construction Projects in last 7 years.
5. Electrical Engineer - This position requires a graduate in Electrical Engineering with
minimum of 5 years experience. He must have at least handled in the last 5 years as
Electrical Engineer at least two major water supply schemes where designs of pumps
and motors, panel boards, providing power infrastructures etc., were implemented.
6. Senior Material /Quality Control Engineer: This position requires a graduate in

handled two major water supply schemes as Quality Control / Material Engineer in
last 7 years where major waters supply scheme structures such as Intake / Jack

2. Site Engineer (water supply project, treatment plants): This position requires a
graduate in Civil Engineering with minimum of 5 years experience and shall have

2) A list of concurrent commitments and also indicate availability of their staff with
relevant experience, who could be mobilised by them at short notice, which will

The Project Comprises of – “Consulting Services for Proof Checking of Design, Project
Management Consultancy for the work of Formation of 18M wide road (Road no. 2, 8, 9,
10, 11, 12 & 27 ) Including Asphalting, Construction Of RCC Side Drains, RCC Cross
Drainage Works, RCC Storm Water Drain, HDPE Dual Water Supply Pipe Line for Kotur

KIADB intends to procure the services of a Consulting firm to carry out the construction
supervision of the works and quality control including the project management.

The services for the supervision of the works contract(s) procured through Domestic
Competitive Bidding. Monitoring of subsequent maintenance works will form part of this
contract.

2 Description of Assignments

The Consultant's services shall consist of Proof checking of GAD, designs, drawings and
construction Supervision of Works, quality control and project management.

3. DETAILED SCOPE OF SERVICES OF CONSTRUCTION SUPERVISION AND


MANAGEMENT SERVICES

The duties of the proof checking consultant is broadly to check the GAD, Designs,
Drawings, Testing procedures duly taking into consideration all the data collected &
furnished by the contractor regarding soil investigation, Hydrology, Geometry of site etc.,
which are enumerated below. However, the list is not enumerative and all other activities
to achieve the above goal shall also from part of the scope.

3.1 Part-I: Proof Checking


a) Discussions with successful Tenderers of the Project and finalise the working
methodology.
b) Check & verify the Effluent characteristics data submitted by Planning and
Engineering consultant.
c) Approval of the designs and drawings submitted by the Planning and Engineering
consultants with in 15 days of submission. The capacity to clear the designs for approval
in shortest possible time will be considered as a merit in awarding future projects of
KIADB.
d) Shall ensure that the Contractor adheres to all the conditions and specifications laid
down in the Construction Contract as per CPHEEO guidelines.
e) Shall scrutinise and comment on all the Planning and Engineering consultants
drawings & design calculations for KIADB‟s approval.
f)Shall scrutinise and send recommendations regarding mix designs & all other technical
aspects.

g) Shall draw test procedure and witness the tests at the manufacturing premises/ Test
centres and send the recommendations for approval to KIADB.
h) Shall check the calibration of equipment used for Testing of materials etc.,

3.2 Part – II: Construction Supervision and Project Management


The services, Scope of work will include but not limited to:

The Consultant shall perform the principal services outlined below as a part of
responsibility for the supervision of the works. They shall provide the qualified
professional staff with relevant experience to carry out the assignment. The Services will
include but not be limited to the following:
a) Represent the interest of the KIADB vis-a-vis the Contractor in any manner related to
the construction contract and the proper execution thereof
b) Furnish for the use of the Contractor all necessary topographic survey data as
required for setting out of all permanent and temporary works.
c) Review and recommend for approval the Contractor's work schedule or revisions
thereto and any such plans or programmes that the Contractor is obliged to furnish
for approval. The Consultant shall also prepare and submit a disbursement schedule
for approval.
d) Represent the interest of the KIADB and the construction agency for the project in any
manner related to the construction contract and proper execution thereof.
e) Consultant shall review and recommend for approval the contractors work schedule
or revisions if any to the department keeping the interest of the Department.
f) Assess the adequacy of the Men, Material and the Machinery available at the site
provided by the construction agency for execution of the project, his method of
execution in relation to the rate of progress, regularly update information regarding
the availability of Men, Machinery (including the condition of equipments ) & Material
and take necessary action for expediting the progress. The consultants shall properly
inform the department of the situations at sites regularly.
g) Consultant shall inspect all the installations, Quarry, Crusher, shops and ware
houses and evaluate to ensure compliance with the terms and conditions of the
contract and as also the specifications.
h) Conducting Quality Control tests including providing Mix design as per relevant IS
code guidelines. Testing is to be done by contractors under the supervision of the
consultant in the laboratory established by the contractor/agency. In addition 10%
test checks have to be conducted by the consultant in an established laboratory
agreed in the tender and the cost towards these tests will have to be borne by the
consultant. Consultants may own / have a tie up with established laboratories.
(Copy of MOU has to be furnished with the bids to the satisfaction of the Client).
The own/tie up laboratory should be NABL accredited laboratory. The details of NABL
Accreditation should be compulsorily enclosed (Multiple disciplines which mainly
includes Mechanical, Electrical, Civil, Bio & Chemical). Also the PMC shall own mobile
laboratory with all field testing equipments. All quality test results, Photos before
commencement of work and during the work progress and on completion should be
uploaded in PMS on daily basis.
i) Prepare and submit daily, weekly, fortnightly / Monthly progress report on the
progress of work, the performance of the contractor, quality of works and the financial
status of the project.
j) Propose and recommend to the KIADB changes in the contract agreement consequent
to revised programme & changes in the scope of work if any, including its effect on the
contract amount and the project completion.
k) Provide necessary advices & compliances to the department on contractor‟s possible
claims etc.
l) Inform the department of any potential problems that may arise in connection with
the works contract and make recommendations for possible solutions
m) Maintain Technical representatives at the Hot mix Plant site/ Pug mill site / Concrete
Batch Mix plant site (If any) so that adequate supervision of work / quality of material
is ensured at all times during the progress of work.
n) Provide assistance to the representatives from the department / Contractor relating to
ground survey control, markings, quality control testing and progress of the project.

o) Prepare & maintain and document inspection reports /Engineering reports and also
adequately document the progress / performance of the works along with
Photographs at each stage of work. A log book of construction machinery / man
power indicating the idle period if any, the reasons / the condition of the machinery
etc., shall be maintained on weekly basis and adequately document the same.
p) Scrutiny of measurements and certification of bills prepared by the contractors.
q) Check and approve as-built drawings for the works prepared by the contractors. If the
Contractor fails to submit the as-built drawings, the consultant will prepare the same
at the cost of the contractor.
r) Certify the quality of materials available at the source for usage on the specified work
as per tender conditions/ specifications.
s) The consultant shall ensure that adequate safety measures are taken to protect lives
/ property during execution of works including barricading as per relevant IRC
standards & MORTH specifications for safety of traffic plying on the stretch of road
where works are in progress / OR during night times.
t) The consultant shall carryout necessary inspections, supervise any remedial works
need to be carried out, prepare a snag list (Balance Works to be done) if any and
assist the KIADB in issuing the completion certificate of the work.
u) The consultant shall verify the programme furnished by the construction agency as
per the contract, monitor the progress, bring it to the notice of the department
shortfall observed if any, examine the reasons for the shortfall, suggest necessary
measures to make good the shortfall within a reasonable time frame to avoid
extension of specified construction period.
v) Consultant shall attend / arrange the Liasion meetings to be held on fortnight basis
by the Development officer & Executive Engineers concerned as Chairman along with
field engineers of the department, consultant who has prepared DPR and the
contractor to sort out issues, if any, viz problems at site / financial matters etc., &
report to the CDO&CE.
w) When requested by the employer, the consultant shall provide any additional services
to those specified above through a mutually agreed upon variation order to the
Consultant‟s contract.
x) Inspect and evaluate all Contractor's installations, shops and warehouses and other
accommodation to ensure compliance with the terms and conditions of the contract.
y) Assess the adequacy of all inputs such as materials and labour provided by the
Contractor and his methods of work in relation to the required rate of progress and
when required, take appropriate action in order to expedite progress. Keep and
regularly update a list of the Contractor's equipment (and its condition) to ensure
compliance with the Contractor's commitment in his bid
z) Examine and make recommendations on all claims from the Contractor for extension
of time, extra compensation, work or expenses or other similar matters.
aa) Compute quantities of approved and accepted work and materials and check, certify
and make recommendations on the Contractor's monthly and final payment
certificates. All payments shall be checked and countersigned by the Consultant
bb) Prepare and submit monthly reports on the progress of works, the Contractor's
performance, quality of works and the project's financial status and forecasts.
cc) Propose and present for the approval any changes in the Contract Documents that
may be deemed necessary for the completion of works including information on any
effect the changes may have on the contract amount and the time of completion of the
project, and prepare all specifications and other details.
dd) Provide legal advice on possible Contractor's claims.
ee) Inform on problems or potential problems, which arise in connection with the works
contract and make recommendations for possible solutions.
ff) Maintain representatives at the site in such manner that adequate supervision of
construction works is ascertained at all times when the Contractor is working.
gg) Provide timely assistance and direction to the Contractor in all matters related to the
interpretation of the Contract Documents, ground survey controls, quality control
testing and other matters related to contract compliance and progress of the project.
hh) Organise the supervision of the works with proper allocation of responsibilities to the
individual inspectors and supervise their work to ensure effective execution.

ii) Prepare and maintain inspection and engineering reports and records to adequately
document the progress and performance of the works.
jj) Review and approve the Contractor‟s working drawings, and drawings for temporary
works.
kk) Perform all survey measurements of completed or partial works where required for the
determination of quantities.
ll) Assure the receipts of, and maintain as permanent records, all warrants required
under the terms of the Contract Documents for materials and equipment accepted
and incorporated in the project. All local materials incorporated in their source are
also to be approved and as-built drawings to be prepared for all works by the
contractor.
mm) Organise and operate a materials laboratory on the basis of the provisions in the
contract and perform all laboratory and field testing of materials and products needed
to assure that the quality as specified in the contract documents is attained.
nn) Inspect the safety aspects of the construction and temporary works to ensure that
reasonable measures have been taken to protect life and property.
oo) Before the issuance of the certificate of provisional acceptance, the Consultant shall
carry out the necessary inspection, specify and supervise any remedial works to be
carried out and recommend upon completion the inspection with representatives of
the Contracting Authority and assist in issuing the certificate of substantial
completion.
pp) Submit after review, to the Client one complete set of reproducible, revised contract
drawings showing the "as constructed" project, to the extent requested by the Client
and to the extent possible from information provided by the Contractor or otherwise
patently visible.
qq) Perform all other tasks not specifically mentioned above but which are necessary, and
essential to successfully supervise and control all construction activities in
accordance with the terms of the works contract.
rr) Render services as project management consultant also to plan and for timely
completion of the project. The consultant shall examine the actual progress achieved
vis-à-vis, the accepted programme on regular basis. If any shortfall is noticed, the
consultant shall study the reasons for such shortfall with specific reference to the
inadequacies in deployment of men, material and machinery at the site. The
consultant shall bring to the notice of the contractor to provide adequate men,
material and machinery that are absolutely essential to wipe off the accumulated
shortfall over a reasonable time frame and also to prevent such occurrences of
shortfall in future.
ss) Provide KIADB with all details of progress achieved vis-à-vis, the accepted programme
on regular basis. If there are repeated slippages between the actual progress and
programme notwithstanding the action taken by the consultant, the consultant shall
report to KIADB with all the facts and figures including reasons for such repeated
slippages in progress. The consultant shall assist KIADB in issuing notices to the
contractor for wiping off the accumulated shortfall within a reasonable time frame.
The consultant shall also work out the penalties imposable as per the agreement and
intimate to KIADB for taking necessary action.
tt) Deploy necessary competent and experience design office professionals to support the
Project Management Team as and when required during construction.
uu) In case of purposeful wrong entries / over measurements / measurements
without execution of items of work will attract forfeit of Performance Guarantee
amount.
vv) In the event of slow progress at site / during monsoon period, the Team Leader shall
decide smartly in consultation with Engineer –in –charge, the no. of PMC staff
according to its actual progress. However, in any case the PMC contract amount shall
not exceed the agreed amount of this contract.
ww) To maintain all correspondence, meeting proceedings, inspection notes, drawings,
test results, progress reports, measurement of executed works, bills and all other
relevant documents till the completion of the project and to hand over the same to the
client in good condition
xx) Organise site meetings as and when required with the contractor to monitor the
quality, construction schedule and any other matter pertaining to project.

yy) Consultant shall analyse, verify the DPR and suggest comments for successful
execution of the work.
zz) EMD: The EMD will be returned after PMC is finalized. However, the successful PMC
shall furnish the Performance Security in the form of unconditional Bank Guarantee
valid till 30 months

3.2 Actions requiring specific approval of KIADB


The Consultant will be required to obtain the specific approval of KIADB before taking
any of the following actions:
a) certifying additional cost,
b) determining an extension of time,
c) issuing a variation order,
d) Recommendation for variation in work quantities, fixing rates or prices.

3.3 Liaison Meetings


Liaison meetings shall be held between the KIADB, Contractor, KSPCB officials and
Association etc., at monthly intervals. The meetings would be attended by members of the
supervision staff as necessary and would have the objective of expanding on the contents of
the progress reports, discussing any problems and financial matters.

4.0 Reports, Time Schedule and Payment Schedule

4.1.1 Contract Schedule

The Project Construction Period stipulated is (12) calendar months. However the
consultancy services for Proof checking of designs, Project Management and Construction
supervision may be required for a period up to completion of the work.

4.1.2 Schedule of Reports

The Consultant shall prepare and submit four (4) copies to KIADB of each of the following
reports and documents in English:
a) PERT & BAR chart - KIADB approval to be sought prior to
the commencement of the work
b) Inception Report and QAP - with in 15 days after mobilisation
c) Monthly -Progress Reports - By the 5th of the each month except the
month following the Inception Report
d) Quarterly Progress Reports - By the 5th of the first month of the
following quarter (In lieu of the monthly
progress report).
e) Final Report - One (1) month after completion of the
works (provisional acceptance).
f) Q.A. Report - Along with the R.A.Bills

4.1.3 Contents of Reports

a. Inception Report
The Inception Report shall cover the following:
 Reviewing Contractor's mobilisation and work plan.
 Setting out Guidelines for Administering, Monitoring and Evaluating project progress.
 Mode of co-operation with the KIADB, the local PWDs concerned and any other
related organisation(s).
 Quality Assurance Programme.

b. Monthly Progress Reports


The Monthly Progress Reports shall be brief and concise and provide means of closely
monitoring project progress and forecasting construction costs, and shall cover the
following:
 Main activities, undertaken and events for the period and Progress Report
 on the activities of the Contractor and supervision staff

 Monitoring and Evaluation of project progress.
 Project accounts, payments of approved bills, claims, certificates of payments and
variation orders.
 Summary of consultant‟s observations / results on Quality Control tests.

c. Quarterly Progress Reports


Quarterly Progress Report summarising activities and work progress achieved in the last
three months will be submitted in lieu of the monthly progress report for that particular
month.

d. Final Report
On completion of the Project, the Consultant shall prepare a final report which will form a
comprehensive record of the construction works including any changes or modification of
designs, problems encountered and solutions recommended, operational procedures,
expenses and variations.

All reports and documents relevant to the services, maps, field survey notes, computer
programmes, etc. shall become the property of the KIADB. The Consultant shall provide
one reproducible copy each of constructional and as-built drawings.

4.1.4 Payment Schedule


The deployment of consultant‟s personnel shall be in line with the progress of work at
site/design approval requirement and the same shall be finalized in concurrence with the
Client. The consultant shall deploy the personnel keeping view of this and the contract
price and the same shall be appraised to the client for observations/concurrence. The
decision of the client regarding deployment is final and binding. The Monthly
installmental fee shall be paid on submission of monthly reports and attendance extracts
of the consultants personnel certified by the concerned Development Officer & Executive
Engineer, KIADB Engineer. However, the payments for each month shall be made based
on the deployment of the consultants personnel for particular months.
The total consultancy fee payable will be paid in instalments on percentage basis on par
with the progress of work at site. The instalments will be paid during the construction
period on submission of monthly reports and attendance extract of the consultant‟s
personnel. Pre Final instalment of not less than 10% of the contract amount will be paid
after defects liability period of 12months from the completion of the project & after
submission of inspection report.

5.0 Services during the Defects Liabilities Period.


During this period, the Consultant shall undertake the following:
a) Inspection of works prior to the expiry of the Contractor's Thirty Six Months (36
Months) defects liability period, preparation of a final deficiency list if required,
supervision of remedial works and recommendation to KIADB as to the date of the
Final Inspection of Works.
b) Carrying out Final Inspection of Works together with representatives of the KIADB and
the Contractor.
c) Preparation and issuance of the Defects Liability Certificate.
d) Preparation of Final Payment Certificate.

6.0 Consultants Personnel


6.1 Key Professionals for the required Services

PART- I - Proof Checking

6.3 Removal and / or Replacement of Personnel

(i)(a) Except as the Client may otherwise agree, no changes shall be made in the
Personnel. If, for any reason beyond the reasonable control of Consultants, it
becomes necessary to replace any of the Personnel, the Consultants shall
forthwith provide as a replacement of person and equivalent or better
qualifications and with a penalty of an amount equivalent to one man month rate
of such person for each replacements.

(i)(b) Replacement of any key person in the designated position for more than twice
during entire project period and any supporting staff more than thrice during
entire project period will be treated as non performance under clause 8 of
information to consultants.

(ii)(a) If the clients finds that any of the personnel have (i) committed serious
misconduct or has been charged with having committed a criminal action, or
(ii) have reasonable cause to be dissatisfied with the performance of any of the
Personnel, then the Consultants shall, at the Client‟s written request specifying
the grounds therefore, forthwith provide as a replacement a person with
qualification and experience acceptable to the Client.

(ii)(b) The Consultants shall have no claim for additional costs arising out of or
incidental to any removal and or / replacement of Personnel.

I. FORM OF CONTRACT

This CONTRACT (hereinafter called the "Contract") is made the _________ day of the month
of______________, 20___ , between, on the one hand, ___________ (hereinafter called the "Client")
and, on the other hand, _______________(hereinafter called the "Consultants").

WHEREAS
(a) The Client has requested the Consultants to provide certain consulting services as
defined in the General Conditions of Contract attached to this Contract (hereinafter
called the "Services");
(b) The Consultants, having represented to the Client that they have the required
professional skills, and personnel and technical resources, have agreed to provide the
Services on the terms and conditions set forth in this Contract;
NOW THEREFORE the parties hereto hereby agree as follows:
1. The following documents attached hereto shall be deemed to form an integral part
of this Contract:
(a) The General Conditions of Contract (hereinafter called "GC");
(b) Letter of invitation.
(c) Information to Consultants.
(d) Terms of Reference.
(e) Technical proposals.
(f) Financial Proposals.
(g) Any other document listed in this RFP &
(h) The following Appendices:
Appendix A: Description of the Services (Description of the services): Enclosed.
Appendix B: Reporting Requirements (Reporting Requirements): Enclosed.
Appendix C: Key Personnel and Sub-consultants (Key Personnel and sub-consultants):

2. The mutual rights and obligations of the Client and the Consultants shall be as set forth in
the Contract, in particular:
(a) The Consultants shall carry out the Services in accordance with the provisions of the
Contract; and
(b) the Client shall make payments to the Consultants in accordance with the provisions of the
Contract.
IN WITNESS WHEREOF, the Parties hereto have caused this Contract to be signed in their

II. GENERAL CONDITIONS OF CONTRACT
1 GENERAL PROVISIONS
1.1 Definitions
Unless the context otherwise requires, the following terms whenever used in this
Contract have the following meanings:
a) "Applicable Law" means the laws and any other instruments having the force of
law in India, as they may be issued and in force from time to time;
b) “Board” means KARNATAKA INDUSTRIAL AREAS DEVELOPMENT BOARD
c) "Contract" means the Contract signed by the Parties, to which these General
Conditions of Contract (GC) are attached, together with all the documents
listed in Clause 1 of such signed Contract;
d) “Effective Date” means the date on which this Contract comes into force and
effect pursuant to Clause GC 2.1
e) “Contract Price” means the price to be paid for the performance of the Services,
in accordance with Clause 6;
f) "GC" means these General Conditions of Contract;
g) "Government" means the Government of Karnataka;
h) "Local currency" means Indian Rupeea;
i) "Member", in case the Consultants consist of a joint venture of more than one
entity, means any of these entities, and "Members" means all of these entities;
„Member in Charge‟ means the entity specified in the SC to act on their behalf
in exercising all the Consultants‟ rights and obligations towards the Client
under this Contract.
j) "Party" means the Client or the Consultants, as the case may be, and Parties
means both of them;
k) "Personnel" means persons hired by the Consultants or by any Sub-consultant
as employees and assigned to the performance of the Services or any part
thereof; and „key personnel‟ means the personnel referred to in Clause GC4.2
(a)
l) "SC" means the Special Conditions of Contract by which these General
Conditions of Contract may be amended or supplemented;
m) "Services" means the work to be performed by the Consultants pursuant to this
Contract as described in Appendix A; and
n) "Sub-consultant" means any entity to which the Consultants subcontract any
part of the Services in accordance with the provisions of Clauses 3.5 and 4.
o) “Third party” means any person or entity other than the Government, the
Client, the Consultants, or a Sub-Consultant.
1.2 Law Governing the Contract
This Contract, its meaning and interpretation, and the relation between the Parties
shall be governed by the Applicable Law except arbitration, price escalation and
advance payment clauses as decided by the Board
1.3 Language
This Contract has been executed in English language, which shall be the binding
and controlling language for all matters relating to the meaning or interpretation of
this Contract.
1.4 Notices
Any notice, request or consent made pursuant to this Contract shall be in writing
and shall be deemed to have been made when delivered in person to an authorized
representative of the Party to whom the communication is addressed, or when sent

by registered mail, telex, telegram or facsimile to such Party at the address
specified in the Contract.
1.5 Location
The Services shall be performed at such locations as are specified in Appendix A
and, where the location of a particular task is not so specified, at such locations,
whether in Karnataka or elsewhere, as the Client may approve.
1.6 Authorized Representatives
Any action required or permitted to be taken, and any document required or
permitted to be executed, under this Contract by the Client or the Consultants
may be taken or executed by the officials specified in the Contract.
1.7 Taxes and Duties
The Consultants, Sub-consultants and their Personnel shall pay such taxes,
duties, fees and other impositions as may be levied under the Applicable Law, the
amount of which is deemed to have been included in the Contract Price.
2 Commencement, Completion, Modification and termination of Contract
2.1 Effectiveness of Contract
This Contract shall come into effect on the date the Contract is signed by both
Parties or such other later date as may be stated in the Contract
2.2 Commencement of Services
The Consultants shall begin carrying out the Services within thirty (30) days after
the date the Contract becomes effective, or at such other date as may be specified
in the Contract
2.3 Expiration of Contract
Unless terminated earlier pursuant to Clause 2.7, this Contract shall terminate at
the end of such time period after the Effective Date as is specified in the Contract.
2.4 Modification
Modification of the terms and conditions of this Contract, including any
modification of the scope of the Services or of the Contract Price, may only be
made by written agreement between the Parties.
2.5 Force Majeure
2.5.1. Definition
For the purposes of this Contract, "Force Majeure" means an event which is
beyond the reasonable control of a Party, and which makes a Party's performance
of its obligations under the Contract impossible or so impractical as to be
considered impossible under the circumstances.
2.5.2. No Breach of Contract
The failure of a Party to fulfill any of its obligations under the contract shall not be
considered to be a breach of, or default under this Contract insofar as such
inability arises from an event of Force Majeure, provided that the Party affected by
such an event (a) has taken all reasonable precautions, due care and reasonable
alternative measures in order to carry out the terms and conditions of this
Contract, and (b) has informed the other Party as soon as possible about the
occurrence of such an event.
2.5.3. Extension of Time
Any period within which a Party shall, pursuant to this Contract, complete any
action or task, shall be extended for a period equal to the time during which such
Party was unable to perform such action as a result of Force Majeure.

2.6 Suspension
The Client may by written notice of suspension to the Consultants, suspend all
payments to the Consultants hereunder if the Consultants fail to perform any of
their obligations under this contract, including the carrying out of the Services,
provided that such notice of suspension (i) shall specify the nature of the failure,
and (ii) shall request the Consultants to remedy such failure within a period not
exceeding thirty (30) days after receipt by the Consultants of such notice of
suspension.
2.7 Termination
2.7.1. By the Client
The Client may terminate this Contract, by not less than thirty (30) days‟ written
notice of termination to the Consultants, to be given after the occurrence of any of
the events specified in paragraphs (a) through (d) of this Clause 2.7.1 and sixty
(60) days‟ in the case of the event referred to in (e):
a) if the Consultants do not remedy a failure in the performance of their
obligations under the Contract, within thirty (30) days of receipt after being
notified or within such further period as the Client may have subsequently
approved in writing;
b) if the Consultants (or any of their Members) become insolvent or bankrupt;
c) if, as the result of Force Majeure, the Consultants are unable to perform a
material portion of the Services for a period of not less than sixty (60) days;
or
d) If the consultant, in the judgment of the Client has engaged in corrupt or
fraudulent practices in competing for or in executing the Contract.
For the purpose of this clause:
“Corrupt practice” means the offering, giving, receiving or soliciting of anything of
value to influence the action of a public official in the selection process or in
contract execution. “Fraudulent practice” means a misrepresentation of facts in
order to influence a selection process or the execution of a contract to the
detriment of GOK, and includes collusive practice among consultants (prior to or
after submission of proposals) designed to establish prices at artificial non-
competitive levels and to deprive GOK of the benefits of free and open competition.
e) if the Client, in its sole discretion and for any reason whatsoever, decides to
terminate this Contract
2.7.2. By the Consultants
The Consultants may terminate this Contract, by not less than thirty (30) days'
written notice to the Client, such notice to be given after the occurrence of the
event specified under:
a) If, as the result of Force Majeure, the Consultants are unable to perform a
material portion of the Services for a period of not less than sixty (60) days.
2.7.3. Cessation of Rights and Obligations
Upon termination of this Contract pursuant to Clause GC 2.7 , or upon expiration
of this Contract pursuant to Clause GC 2.3, all rights and obligations of the
Parties hereunder shall cease, except :
(i) such rights and obligations as may have accrued on the date of termination
or expiration;
(ii) the obligation of confidentiality set forth in Clause GC 3.3 hereof;
(iii) any right which a Party may have under the Applicable Law.

2.7.4. Cessation of Services
Upon termination of this Contract by notice of either Party to the other pursuant
to Clauses GC 2.7.1 or GC 2.7.2 hereof, the Consultants shall, immediately upon
dispatch or receipt of such notice, take all necessary steps to bring the Services to
a close in a prompt and orderly manner and shall make every reasonable effort to
keep expenditures for this purpose to a minimum. With respect to documents
prepared by the Consultants and equipment and materials furnished by the
Client, the Consultants shall proceed as provided, respectively, by Clauses GC 3.7
and GC 3.8.
2.7.5. Payment upon Termination
Upon termination of this Contract pursuant to Clauses 2.7.1 or 2.7.2, the Client
shall make the following payments to the Consultants:
a) remuneration pursuant to Clause 6 for Services satisfactorily performed
prior to the effective date of termination;
b) Except in the case of termination pursuant to paragraphs (a) and (b) of
Clause 2.7.1, reimbursement of any reasonable cost incident to the prompt
and orderly termination of the Contract.
3 Obligations of the Consultants
3.1 General
The Consultants shall perform the Services and carry out their obligations
hereunder with all due diligence, efficiency and economy, in accordance with
generally accepted professional techniques and practices, and shall observe sound
management practices, and employ appropriate advanced technology and safe
methods. The Consultants shall always act, in respect of any matter relating to
this Contract or to the Services, as faithful advisers to the Client, and shall at all
times support and safeguard the Client's legitimate interests in any dealings with
Sub- consultants or third parties.
3.2 Conflict of Interests
3.2.1. Consultants Not to Benefit from Commissions, Discounts, etc.
The remuneration of the Consultants pursuant to Clause 6 shall constitute the
Consultants' sole remuneration in connection with this Contract or the Services,
and the Consultants shall not accept for their own benefit any trade commission,
discount or similar payment in connection with activities pursuant to this
Contract or to the Services or in the discharge of their ob ligations under the
Contract, and the Consultants shall use their best efforts to ensure that the
Personnel, any Sub-consultants, and agents of either of them, similarly shall not
receive any such additional remuneration
3.2.2. Procurement Rules of Funding Agencies
If the Consultants, as part of the Services, have the responsibility of advising the
Client on the procurement of goods, works or services, the Consultants shall
comply with any applicable procurement guidelines of the funding agencies and
shall at all times exercise such responsibility in the best interest of the Client. Any
discounts or commissions obtained by the Consultants in the exercise of such
procurement responsibility shall be for the account of the Client.
3.2.3. Consultants and Affiliates Not to engage in certain Activities
The Consultants agree that, during the term of this Contract and after its
termination, the Consultants and their affiliates, as well as any Sub-consultant
and any of its affiliates, shall be disqualified from providing goods, works or
services (other than the Services and any continuation thereof) for any project

resulting from or closely related to the Services.
3.2.4. Prohibition of Conflicting Activities
Neither the Consultants nor their Sub-consultants nor the Personnel shall engage,
either directly or indirectly, in any of the following activities:
a) during the term of this Contract, any business or professional activities in
the Government's country which would conflict with the activities assigned
to them under this Contract; or
b) After the termination of this Contract, such other activities as may be
specified in the Contract.
3.3 Confidentiality
The Consultants, their Sub-consultants, and the Personnel of either of them shall
not, either during the term or within two (2) years after the expiration of this
Contract, disclose any proprietary or confidential information relating to the
Project, the Services, this Contract, or the Client's business or operations without
the prior written consent of the Client.
3.4 Insurance to Be Taken out by the Consultants
The Consultants (a) shall take out and maintain, and shall cause any Sub-
consultants to take out and maintain, at their (or the Sub-consultants', as the
case may be) own cost but on terms and conditions approved by the Client,
insurance against the risks, and for the coverage, as shall be specified in the
Contract; and (b) at the Client's request, shall provide evidence to the Client
showing that such insurance has been taken out and maintained and that the
current premiums have been paid.
3.5 Consultants‟ Actions Requiring Client‟s Prior Approval
The Consultants shall obtain the Client‟s prior approval in writing before taking
any of the following actions:
a) entering into a subcontract for the performance of any part of the Services,
it being understood (i) that the selection of the Sub-consultant and the
terms and conditions of the subcontract shall have been approved in
writing by the Client prior to the execution of the subcontract, and (ii) that
the Consultants shall remain fully liable for the performance of the Services
by the Sub-consultant and its Personnel pursuant to this Contract;
b) appointing such members of the Personnel not listed by name in Appendix
C (“Key Personnel and Sub-consultants”), and
c) Any other action that may be specified in the Contract.
3.6 Reporting Obligations
The Consultants shall submit to the Client the reports and documents specified in
Appendix B in the form, in the numbers, and within the periods set forth in the
said Appendix
3.7 Documents Prepared by the Consultants to Be the Property of the Client
All plans, drawings, specifications, designs, reports and other documents and
software submitted by the Consultants in accordance with Clause 3.6 shall
become and remain the property of the Client, and the Consultants shall, not later
than upon termination or expiration of this Contract, deliver all such documents
and software to the Client, together with a detailed inventory thereof. The
Consultants may retain a copy of such documents and software. Restrictions
about the future use of these documents, if any, shall be specified in the Contract.
3.8 Equipment and Materials Furnished by the Client

Equipment and materials made available to the Consultants by the Client or
purchased by the Consultants with funds provided by the Client shall be the
property of the Client and shall be marked accordingly. Upon termination or
expiration of this Contract, the Consultants shall make available to the Client an
inventory of such equipment and materials and shall dispose of such equipment
and materials in accordance with the Client‟s instructions. While in possession of
such equipment and materials, the Consultants, unless otherwise instructed by
the Client in writing, shall insure them at the expense of the Client in an amount
equal to their replacement value.
4 Consultants‟ Personnel and Sub-Consultants
4.1 Description of Personnel
The titles, agreed job descriptions, minimum qualifications and estimated periods
of engagement in the carrying out of the Services of the Consultants' Key
Personnel are described in Appendix C. The Key Personnel and Sub-consultants
listed by title as well as by name in Appendix C are hereby approved by the Client.
4.2 Removal and/or Replacement of Personnel
a) Except as the Client may otherwise agree, no changes shall be made in the
Key Personnel. If, for any reason beyond the reasonable control of the
Consultants, it becomes necessary to replace any of the Key Personnel, the
Consultants shall forthwith provide as a replacement a person of equivalent
or better qualifications.
b) If the Client finds that any of the Personnel have (i) committed serious
misconduct or has been charged with having committed a criminal action,
or (ii) have reasonable cause to be dissatisfied with the performance of any
of the Personnel, then the Consultants shall, at the Client's written request
specifying the grounds therefor, forthwith provide as a replacement a
person with qualifications and experience acceptable to the Client.
c) The Consultants shall have no claim for additional costs arising out of or
incidental to any removal and/or replacement of Personnel.
5 Obligations of the Client
5.1 Assistance and Exemptions
Unless otherwise specified in the Contract, the Client shall use its best efforts to
ensure that the Government shall:
a) issue to officials, agents and representatives of the Government all such
instructions as may be necessary or appropriate for the prompt and
effective implementation of the Services;
b) assist the Consultants and the Personnel and any Sub-consultants
employed by the Consultants for the Services from any requirement to
register or obtain any permit to practice their profession or to establish
themselves either individually or as a corporate entity according to the
Applicable Law;
c) Provide to the Consultants, Sub-consultants and Personnel any such other
assistance as may be specified in the Contract.
5.2 Services and Facilities
The Client shall make available to the Consultants and the Personnel, for the
purposes of the services and free of any charge, the services, facilities and property
described in Appendix D at the times and in the manner specified in said Appendix
D, provided that if such services, facilities and property shall not be made
available to the Consultants as and when so specified, the Parties shall agree on (i)

any time extension that it may be appropriate to grant to the Consultants for the
performance of the Services, (ii) the manner in which the Consultants shall
procure any such services, facilities and property from other sources, and (iii) the
additional payments, if any, to be made to the Consultants as a result thereof.
6 Payment to the Consultants:
6.1 Lump Sum Remuneration
The Consultant‟s total remuneration shall not exceed the Contract Price and shall
be a fixed lump sum including all staff costs, Sub-consultants‟ costs, printing,
communications, travel, accommodation, and the like, and all other costs incurred
by the Consultant in carrying out the Services described in Appendix A. Except as
provided in Clause 5.2, the Contract Price may only be increased above the
amounts stated in clause 6.2 if the Parties have agreed to additional payments in
accordance with Clause 2.4.

6.2 Contract Price


The Contract price is set forth in the Contract.
6.3 Payment for Additional Services
For the purpose of determining the remuneration due for additional services as
may be agreed under Clause 2.4, a breakdown of the lump sum price is provided
in Appendices D and E.
6.4 Terms and Conditions of Payment
Payments will be made to the account of the Consultants and according to the
payment schedule stated in the Contract. Unless otherwise stated in the Contract,
the first payment shall be made against the provision by the Consultants of a bank
guarantee for the same amount, and shall be valid for the period stated in the
Contract. Any other payment shall be made after the conditions listed in the
Contract for such payment have been met, and the Consultants have submitted an
invoice to the Client specifying the amount due.
