ARTICLES OF INCORPORATION

KNOW ALL MEN BY THESE PRESENTS:
The undersigned incorporators, all of legal age and majority of whom

are residents of the Philippines, have this day voluntarily agreed to
form a stock corporation under the laws of the Republic of the
Philippines.
THAT WE HEREBY CERTIFY:
FIRST: That the name of this Corporation shall be:
TEKKKA, Inc.
SECOND: A. That the primary purpose for which the Corporation is

incorporated is to engage and operate a Business Process Outsourcing
(BPO) and any and all of its allied and related businesses, servicing
clients all over the world whether offshore, nearshore or onshore, by
providing a vast range of customer relationship management services
through various media including, but not limited to, social, telephone,
facsimile, e-mail, web chat and Voice-over Internet (VOIP), to
optimize telephone answering services, appointment setting and
confirmation, customer support, sales, lead qualifications, market
research, and management solutions, among others.
B. That the Corporation shall have all the express powers of a

corporation as provided for under the Revised Corporation Code of
the Philippines.
THIRD: That the place where the principal office of the Corporation
is to be established is in No. 5, Cedex Apt., Lopez Jaena North,
Lapaz, Iloilo City, Philippines.
FOURTH: That the Corporation shall have perpetual existence from

and after the date of issuance of the certificate of incorporation.

of One Peso (P1.00) per share.
No stockholder of the Corporation shall have any preemptive or

preferential right to subscribe to, purchase or otherwise acquire any
class of shares of stock of the Corporation, or any other securities
convertible into shares of stock, issued or sold by the Corporation.

TENTH: That BYRON D. DELFIN has been elected by the

subscribers as TREASURER of the Corporation to act as such until
his successor is duly elected and qualified in accordance with by-laws;
and that as such Treasurer, he has been authorized to receive for and
in the name and for the benefit of the Corporation, all subscriptions or
donations paid or given by the subscribers.
ELEVENTH: That the incorporators undertake to change the name of

the corporation immediately upon receipt of notice from the
Commission that another corporation, partnership or person has
acquired a prior right to the use of such name, that the name has been
declared not distinguishable from a name already registered or

reserved for the use of another corporation, or that it is contrary to

law, public morals, good customs or public policy.
TWELFTH: That no transfer of stock or interest which will reduce the

ownership of Filipino Citizens to less than the required percentage of
the capital stock as provided by existing laws shall be allowed or
permitted to be recorded in the proper books of the corporation and
this restriction shall be indicated in all the stock certificates issued by
the corporation.
THIRTEENTH: That the incorporators and directors undertake to

change the name of the corporation as herein provided, or as amended
thereafter, immediately upon receipt of notice or directive from the
Securities and Exchange Commission that another corporation,
partnership or person has acquired a prior right to the use of that name
or that the name has been declared as misleading, deceptive,
confusingly similar to a registered name or contrary to public morals,
good custom or public policy.
